UB Bancorp stockholders approved the proposed merger at a special meeting on September 21. As announced on June 1, UB Bancorp stockholders will be entitled to receive 1.61 shares of FNB common stock for each share of UB Bancorp common stock they own. The exchange ratio is fixed, and the transaction is expected to qualify as a tax-free exchange for UB Bancorp stockholders. "The proposed merger between FNB and UB Bancorp will further increase FNB's presence in North Carolina, where the combined organization will operate approximately 100 convenient locations and assume the eighth largest deposit market share position1. Following the proposed merger with UB Bancorp on a proforma basis, FNB will have approximately $43 billion in total assets, $35 billion in deposits and $29 billion in total loans," the company said. The completion of the merger remains subject to the satisfaction of certain routine and customary closing conditions. The merger is expected to close and convert in December 2022.

"The company's main product is Qatalyst: software that makes quantum computer programming easier and connects to multiple hardware providers - such as IonQ and D-Wave - without the need for programming changes. Demand for Qatalyst has been poor. QUBT reported zero sales for the 2018-2021 period. Liscouski announced that QUBT would subsidize some early customers in August 2021. This strategy fell flat as QUBT booked sales of $96,724 in the first half of this year, of which ~86% had not been collected at the end of June. We believe most of these sales come from OTC-listed staffing company Quad-M Solutions. The company said at the start of this year that Quad-M was its first consulting customer. But it failed to mention that Liscouski has been serving as a Quad-M director since August last year. QUBT may never collect the money. The staffing company reported just $1m cash against $16.2m of liabilities due in the next 12 months," the report reads. "QUBT has to deal with tough competition too. Its playbook - to connect quantum computing and non-experts - is similar to cloud leaders such as Amazon (AMZN) and Google (GOOGL) who plan to offer both hardware and software solutions... QUBT failed to sell its software and we do not expect it to be any better at selling hardware, its latest venture. Beyond the constant PR hype, the truth is that QUBT is poorly capitalized, and has to compete with companies with far more resources. The past of some executives makes it hard for investors to have any confidence. Shareholders can also expect heavy dilution as QUBT won't last for more than 10 months without raising fresh capital." The current campaign requires the coordination of 250 people across three vessels and also marks the initial trials of components of TMC's Adaptive Management System - being developed in partnership with Kongsberg Digital - which is expected to enable near-real-time 3D visualization in the deep sea and the simulation and analysis of the impacts of NORI's proposed operations at depths of 4kms. Having established a baseline of the NORI-D collector test area, scientists will proceed to monitor the environmental impacts of deployment and testing of the fully integrated nodule collection system. They will also undertake post-collection surveys to compare the status of the environment before and after the test. The data collected, together with many terabytes of existing baseline data collected by NORI throughout 16 offshore campaigns, will form the basis of NORI's application to the International Seabed Authority for an exploitation contract, which the Company expects to submit in the second half of 2023. Last month NORI announced that it received the ISA's recommendation to commence its pilot nodule collection system trials in the CCZ after its review of the Environmental Impact Statement and Environmental Monitoring and Management Plan. Those decisions ruled in favor of defendants Activision Blizzard (ATVI), Blizzard Entertainment, and Activision Publishing, and concluded that the patents asserted by Worlds were invalid as directed to abstract concepts. Worlds' request to have the SCOTUS accept its case as a companion case to the American Axle & Manufacturing v. Neapco Holding petition for writ of certiorari and to clarify the test applied by courts when deciding questions of patent eligibility were also denied, as was American Axle's request. However, there is a glimmer of hope on the patent front in that on October 4, one day after the Supreme Court rejected Worlds' request, the U.S. Solicitor General Elizabeth Prelogar recommended that the SCOTUS clarify how to determine whether or not an invention is worthy of patent protection. As reported in Bloomberg Law, the Solicitor General's Oct. 4 brief noted that The U.S. Court of Appeals for the Federal Circuit was wrong in finding that a method of manufacturing driveshafts to reduce vibrations was too abstract to be eligible for a patent, citing hundreds of years of patent law that patented similar inventions. The Solicitor General further stated that a step in the Supreme Court's test for eligibility has created uncertainty and urged the court to review the case. "We are disappointed in the ruling relating to Worlds, as we addressed constitutional issues of patent law and the ambiguity of the SCOTUS ruling on the Alice case," stated Thom Kidrin, CEO of Worlds Inc. "Unfortunately, the courts recently have shown they do not understand or value the innovations that often serve as the foundation for subsequent developments and are willing to strip patents granted by the USPTO experts from patent holders who incurred great expense and time to maintain them without even granting a hearing on appeal. We appreciate the extraordinary legal expertise of Susman & Godfrey and Davidson & Berquist during this 10-year legal journey." At this time, Worlds has exhausted all legal remedies in pursuing equity and fairness from infringement, having taken this matter to the Supreme Court to no avail. Hole ERS-2022-033: 11.1 g/t Au over 3.0 m core length; Hole 355-E-31: 26.5 g/t Au over 2.0 m core length; Hole 355-E-28: 20.3 g/t Au over 1.7 m core length; All assays capped at 125 g/t Au. True widths are estimated based on 3D model construction. The safety and tolerability profile of dostarlimab in the PERLA phase II trial was consistent with previous clinical trials of similar regimens. The most common treatment-emergent adverse reactions were anemia, asthenia, nausea, constipation, cough, dyspnoea, vomiting, decreased appetite, and neutropenia. In addition, GSK is also advancing both arms of the COSTAR Lung trial into phase III. The decision follows the recommendation of the Independent Data Monitoring Committee, given that the trial met its pre-specified expansion criteria per protocol. The COSTAR Lung phase III trial is a randomised, open label 3-arm trial comparing cobolimab, an investigational selective anti-TIM-3 monoclonal antibody, plus dostarlimab plus docetaxel to dostarlimab plus docetaxel to docetaxel alone in patients with advanced NSCLC who have progressed on prior anti-PD-L1 therapy and chemotherapy. The clinical study outcomes measured reduction of dyskinesia, captured with the Unified Dyskinesia Rating Scale and effects on parkinsonian symptoms, captured with the Unified Parkinson's Disease Rating Scale. The study enrolled 10 subjects with moderate to advanced Parkinson's disease with a target infusion rate being 0.30 mg/kg/hr. These data highlight that ketamine was safe, well-tolerated, and demonstrated that 100% of subjects treated with ketamine had a reduction in dyskinesias as measured by UDysRS indicating possible efficacy with a large effect size that warrants further investigation in a pivotal Phase 3 clinical study. UDysRS showed a clinically meaningful reduction from baseline through 3 months. The maximum tolerated infusion rate ranged from 0.20-0.30 mg/kg/hr which was dependent on either discomfort due to dissociation or hypertension. There were no adverse events post-infusion. Analyses of the patient diaries and the pharmacokinetic data are ongoing. Based on these data, the Company is preparing to engage the FDA to establish the next steps for a planned Phase 3 clinical study to allow for the Company's proprietary ketamine intravenous product, KETARX, approval for Parkinson's disease under the 505(b)(2) regulatory pathway. The drug exposure levels from the recently executed single dose part of the Phase 1 pharmacokinetic trial were compared with the population pharmacokinetic model built with data from healthy subjects evaluated in the original, previously disclosed Phase 1 trials. Results demonstrated that at the 60-milligram dose, there was no meaningful difference between exposures obtained with different batches, and that the low exposures observed in the Phase 1b PSE trial are within the range of previously reported moderate variability. In addition, and upon extensive investigation, no irregularities or differences were observed with chemistry, manufacturing, and controls associated with the drug product and the drug substance batches used in the PSE trial or with other newly produced drug substance and product. Given the encouraging safety, tolerability, and pharmacokinetic profile of the 60-milligram dose in the prior two Phase 1 repeat dose trials and well-tolerated single dose data with a 75-milligram dose in the ongoing Phase 1 pharmacokinetic trial, the Company plans to evaluate a 75-milligram dose of ETX-155 in the repeat dose part of the ongoing Phase 1 pharmacokinetic trial in healthy subjects prior to making a decision on the dose for the planned Phase 2a MDD trial. Final results from the Phase 1 pharmacokinetic trial, including the repeat dose cohort, are expected in the fourth quarter of 2022. The Company is positioned to initiate the Phase 2a MDD trial in the first quarter of 2023 using either the 60-milligram or 75-milligram dose of ETX-155, depending on the final exposure, safety and tolerability results from the ongoing Phase 1 pharmacokinetic trial. Assuming initiation in the first quarter of 2023, the topline data for the Phase 2a MDD trial would be expected in mid-2024. The Company also has determined it will not reinitiate the PSE proof-of-concept trial but will continue to pursue development of ETX-155 in focal onset seizures, given compelling existing clinical validation of the GABAA PAM mechanism in this indication.
