After the transaction closed, Covenant and Triumph had a dispute over the nature of approximately $66M of the assets included in the portfolio. The dispute has been resolved through entering into an amendment of the purchase agreement and related funding arrangements, with the primary terms including the following: The purchase price was reduced to approximately $108.4M, representing the cash amount received by Covenant at closing and a premium to the approximately $103.3M in net funds employed in the portfolio. Covenant will sell the Triumph stock it received at closing and deliver the net proceeds to Triumph. The earnout was terminated. Approximately $62M of specifically identified accounts within the portfolio, which related to advances on services that had not yet been performed, were placed in a loss sharing pool to be repaid with proceeds other than those generated from ordinary working capital factoring. To the extent losses on covered accounts are incurred, Covenant will indemnify Triumph on a dollar for dollar basis for up to the first $30M of losses, and on a 50% basis for up to the next $30M of losses, for total indemnification exposure of up to $45M. Triumph provided Covenant with an up to $45M line of credit, secured by previously unencumbered tractors and trailers, that may be drawn through September 2025 to fund Covenant's portion of any loss sharing. This will allow Covenant to maintain its existing cash and line of credit for liquidity and general corporate purposes. The parties executed mutual releases. From a cash perspective, Covenant will retain the approximately $108.4M of cash received at closing. However, indemnification obligations on the covered accounts could result in cash payments by Covenant in future periods. To the extent any such payments are required, Covenant expects to fund them with available cash or borrowing. Covenant currently has approximately $16.2 million in unrestricted cash, $58.3 million of available borrowing under its primary revolving credit facility, and $45 million of available borrowing under the new credit facility with Triumph. The purchase accounting for the transaction has not yet been finalized. The previously disclosed $26.5 million estimated gain is expected to be reduced to a modest third quarter gain or loss reflecting the impact of the amended terms. Chairman and CEO, David Parker, commented: "We are pleased to reach an amicable resolution of our dispute with Triumph Bancorp and its affiliates concerning the sale of our TFS factoring division. The resolution will result in lower total value and more risk sharing for Covenant, while providing a clear path forward and a fair outcome. At the end of the day, we will have sold the most stable portion of the TFS portfolio for a premium to net asset value while sharing the risk on the balance of the portfolio with a leading provider of factoring and other financial services to the transportation industry. Working with Triumph, we feel well positioned to optimize the results for Covenant, Triumph, and the clients that helped grow the portfolio. Just as important, resolving the dispute allows our management team to remain intently focused on executing our strategic plan."

Following the order, the California Air Resources Board will develop regulations to mandate that 100% of in-state sales of new passenger cars and trucks are zero-emission by 2035. In addition, the Air Resources Board will develop regulations to mandate that all operations of medium- and heavy-duty vehicles shall be 100% zero emission by 2045 where feasible, with the mandate going into effect by 2035 for drayage trucks. To ensure needed infrastructure to support zero-emission vehicles, the order requires state agencies, in partnership with the private sector, to accelerate deployment of affordable fueling and charging options. It also requires support of new and used zero-emission vehicle markets to provide broad accessibility to zero-emission vehicles for all Californians. The executive order will not prevent Californians from owning gasoline-powered cars or selling them on the used car market. To protect the health and safety of our communities and workers, the Governor is also asking the Legislature to end the issuance of new hydraulic fracturing permits by 2024. Patients who received Avigan recovered from COVID-19 symptoms 2.8 days earlier, on average, compared with the control group. Analysis showed patients had a statistically significant higher probability to recover when administered Avigan compared with the patients not receiving the drug. The study involved 156 hospitalized patients showing COVID-19 induced pneumonia. A statistically significant percentage of patients receiving Avigan had a rapid reduction in viral loads. The study aimed to measure recovery from pneumonia and COVID-19 symptoms. It monitored patients' temperature, oxygen saturation and CT scan imaging of the lungs. Avigan was developed by FujiFilm Toyama Chemical in the 1990s as an anti-influenza drug. GRA, Dr. Reddy's Laboratories, and FujiFilm Toyama recently entered a global licensing agreement covering the production, marketing and distribution of Avigan. Results of the Japan trial suggest the effectiveness of Avigan(R) as a treatment to prevent COVID-19 patients from progressing from mild to more severe or critical clinical stages of the disease, and to accelerate recovery from COVID-19 symptoms. Avigan is the subject of clinical trials in COVID-19 patients in several countries. It was used to treat COVID-19 patients in studies in China's Hubei province, led by the China-Japan Friendship Hospital. It is undergoing testing in the U.S. in a multi-site Phase 2 study involving initially hospitalized patients, a trial sponsored by FujiFilm Toyama Chemical. It also is the subject of an investigator-initiated Phase 2 study in subjects with mild or asymptomatic COVID-19 being conducted by the Stanford University School of Medicine.

B7-H3 has been identified as a cell surface protein with limited expression on normal tissues but over-expressed on the epithelium and tumor-associated vasculature in solid tumors. Overexpression of this molecule has been shown to be associated with cancer disease severity, risk of recurrence and reduced survival. The Company's early studies showed that ligation of B7-H3 by select monoclonal antibodies led to mAb internalization and antitumor activity toward B7-H3-expressing tumor cells when conjugated to a toxic payload. Based on these results, MacroGenics selected a lead candidate mAb and developed MGC018, an ADC targeting B7-H3 for the treatment of cancer. As described in the paper "Preclinical Development of MGC018, a Duocarmycin-based Antibody-drug Conjugate Targeting B7-H3 for Solid Cancer," the authors report on preclinical studies that showed that MGC018 mediated specific in vitro killing across a range of B7-H3-expressing solid tumor cell types. Furthermore, the preclinical studies showed that MGC018 mediated bystander in vitro killing of B7-H3-negative tumor cells in the presence of B7-H3-positive tumor cells. MGC018 displayed potent antitumor activity in preclinical tumor xenograft models of breast, ovarian and lung cancer, as well as melanoma. Additionally, antitumor activity was observed toward patient-derived tumor xenograft models of breast, prostate and head and neck cancer displaying heterogeneous expression of B7-H3. Importantly, MGC018 exhibited an acceptable pharmacokinetic and safety profile in cynomolgus monkeys following repeat-dose administration.

CLS-AX is intended to be a targeted therapy to affected tissue layers via suprachoroidal injection and has the potential to be a bi-annual therapy for wet AMD. Title: Post Hoc Analysis of Clinical Suprachoroidal Injection Experience Across Indications. Conclusions: To date, this is the most robust aggregate dataset of clinical suprachoroidal injections with mounting evidence pointing to the potential reliability and consistency of the procedure. The results from the retrospective analysis demonstrated the robustness of the suprachoroidal injection regardless of indications. The two needle length options successfully accommodated for anatomical variations across patients. Title: Suprachoroidal Delivery of Small Molecule Suspensions and Nanoparticles Conclusions: Delivery of small molecule suspensions may provide targeted, well-tolerated, and long-acting delivery of a wide variety of pharmacologic agents, including corticosteroids, tyrosine kinase inhibitors, and complement inhibitors to the RPE, sclera and choroid. Preclinical models for these compounds were promising and based on the favorable clinical results of a small molecule corticosteroid for macular edema associated with noninfectious uveitis, further testing is warranted for these other molecules. Additionally, suprachoroidal delivery of DNA nanoparticle-based gene has potential as an office-based retinal gene therapy; and further testing is warranted. Title: Suprachoroidally delivered non-viral DNA nanoparticles transfect chorioretinal cells in non-human primates and rabbits. Conclusions: Suprachoroidal injections of DNA Nanoparticles may address several unmet needs in ocular gene delivery. DNA nanoparticles are relatively non-immunogenic compared to viral vector-based gene therapy, and suprachoroidal injection facilitates the potential for office-based repeat dosing with fewer safety risks compared to subretinal injection via pars plana vitrectomy surgery. In addition, DNA nanoparticles can transfer genes beyond the capacity of viral vectors, including those in common inherited retinal diseases such as Stargardt disease and Usher syndrome. Additional research evaluating suprachoroidal injection in non-human primates and delivery of a therapeutic transgene is needed. Title: Results from the Phase 3 PEACHTREE Clinical Trial: Systemic Therapy and the Efficacy of CLS-TA, a Post-Hoc Analysis. Conclusions: These post hoc results corroborate the pre-specified study analyses in the PEACHTREE trial. With respect to best corrected visual acuity and central subfield thickness, CLS-TA showed a clinically meaningful relative benefit over control in patients receiving systemic immunosuppression and patients not receiving systemic immunosuppression. Title: Correlation of Best Corrected Visual Acuity and Central Subfield Thickness in Macular Edema Due to Retinal Vein Occlusion, Diabetic Retinopathy and Uveitis. Conclusions: In this cohort of over 1,000 eyes, there were moderate baseline relationships between BCVA and CST in patients with macular edema due to retinal vein occlusion, diabetic macular edema (DME) and noninfectious uveitis. There were also moderate relationships between BCVA and CST across these disease states with respect to change from baseline to 6 months. These correlations provide context around the use of CST in clinical decision making.

Along with approximately $425M in cash held in Gores Holdings IV's trust account, additional investors have committed to participate in the proposed business combination via a $500M private placement, led by Alec Gores, chairman and CEO of The Gores Group, and including large institutional investors.
