A respective application will be made at the Frankfurt Stock Exchange prior to the expiration of the acceptance period of the delisting offer. The withdrawal from the regulated market of the Frankfurt Stock Exchange requires a public delisting offer to the Axel Springer SE shareholders as a precondition so that shareholders can sell their shares prior to the termination of the stock listing. According to an agreement signed today with Axel Springer SE, KKR (KKR) will make such an offer with an offer price amounting to EUR63 in cash per share. This payment is equal to the offer price for the previous public tender offer which was closed in December 2019. In 2019, Axel Springer and KKR entered into an investment agreement for a strategic partnership aimed at supporting the long-term growth strategy. Through a public tender offer as well as additional purchases, KKR has acquired approximately 44.9% of Axel Springer's share capital. In the public tender offer document of 5 July 2019 KKR has already announced its intention to propose a delisting to the other consortium members and to the Executive Board of Axel Springer SE following the successful tender offer.

Based on the facts and circumstances of each individual's actions, the relief sought may include a lifetime prohibition from participating in the banking industry, a personal cease and desist order, and/or CMP. A personal cease and desist order would require the individual to take certain affirmative actions or refrain from certain conduct in any future involvement in the banking industry. Pursuant to federal law, the respondents may request a hearing challenging the allegations and relief sought by the OCC. The OCC also announced the issuance by consent of a prohibition order and a $17,500,000 CMP against former bank Chairman and CEO John Stumpf; a personal cease and desist order and a $2,250,000 CMP against the bank's former Chief Administrative Officer and Director of Corporate Human Resources Hope Hardison; and a personal cease and desist order and assessment of a $1,250,000 CMP against its former Chief Risk Officer Michael Loughlin for their roles in the bank's sales practices misconduct.

On May 9, 2017, Mirror Worlds Technologies initiated litigation against Facebook in the U.S. District Court for the Southern District of New York, for infringement of U.S. Patent No. 6,006,227, U.S. Patent No. 7,865,538 and U.S. Patent No. 8,255,439. The lawsuit alleged that the asserted patents are infringed by Facebook's core technologies that enable Facebook's Newsfeed and Timeline features. The lawsuit further alleged that Facebook's unauthorized use of the stream-based solutions of the company's asserted patents has helped Facebook become the most popular social networking site in the world. The company is seeking, among other things, monetary damages based upon reasonable royalties.

The plans outline an additional $572M in capital investments that will be made over the next five years across FirstEnergy's Pennsylvania utilities. The newly approved LTIIP II plans are the second phase of accelerated distribution improvement projects in Pennsylvania. The first phase included nearly $360 million in investments made from 2016-2019. "The improvement plan for each utility is designed to complement the work we already perform on our distribution network, year-in and year-out, to reduce the number and duration of outages experienced by our customers," said Scott R. Wyman, president of FirstEnergy's Pennsylvania Operations. "These investments build on earlier improvement plans and include rebuilding critical infrastructure such as overhead circuits, as well as replacing key equipment in our substations." LTIIP II projects will include replacing older poles, underground and overhead lines and fuses; installing new substation equipment, network vaults and manhole covers; and reconfiguring circuits. FirstEnergy's Pennsylvania utilities also will submit separate plans in the coming months to address additional replacements and reinforcements of wooden distribution poles. Approximately $123M of the work is expected to be completed in 2020 across FirstEnergy's Pennsylvania service areas, with the remainder spent over the next four years.

A long circulating half-life of Promitil was associated with stable disease and longer survival. This finding is consistent with the enhanced tumor localization of long circulating liposomes that could result in improved disease and underscores the relevance of personalized pharmacokinetic evaluation in the use of nanomedicines.

08:42 EST Evoke Pharma enters commercialization agreement with EVERSANA for gimoti - Evoke Pharma announced a collaboration to utilize EVERSANA's integrated suite of outsourced services to commercialize and distribute Gimoti in the United States. Gimoti is Evoke's nasal spray product candidate for the relief of symptoms in adult women with acute and recurrent diabetic gastroparesis. The U.S. Food and Drug Administration has set a target goal date under the Prescription Drug User Fee Act of June 19, 2020. Subject to FDA approval, EVERSANA will fund and commercialize Gimoti and manage substantially all activities related to marketing, market access, distribution, sales team, patient reimbursement, and provide related support services. Under the terms of the agreement, Evoke maintains ownership of the Gimoti New Drug Application as well as all legal, regulatory, and manufacturing responsibilities. Evoke will record sales for Gimoti to EVERSANA's third party logistics division and retain more than 80% of product profits. EVERSANA will utilize its internal sales organization along with other commercial functions for market access, marketing, distribution and patient support services. EVERSANA will receive reimbursement of certain costs and a percentage of product profits in the mid to high teens when Gimoti net sales surpass certain administrative, manufacturing and commercialization costs. In addition, EVERSANA has agreed to provide up to $5.0 million revolving credit facility to Evoke subject to NDA approval, and certain other conditions. Evoke and EVERSANA retain the right to terminate the agreement upon certain events, including any change of control of Evoke. The term of the agreement is five years following FDA approval, after which Evoke will recapture all product sales and corresponding commercialization responsibilities. Gimoti is under patent protection in the United States until 2030 and upon approval would be the only non-oral out-patient treatment for women suffering from diabetic gastroparesis in the United States. In addition, Evoke and Novos Growth Partners have mutually agreed to terminate the commercialization agreement dated January 5, 2019.

In contrast, with testing, emerging pathogens need to be identified and could take time for new tests to be developed and licensed.

Combined with Enterprise's existing Panola cryogenic facility, this new plant gives the company the capacity to process a total of 320 MMcf/d and produce in excess of 18,000 BPD of NGLs within the region. The Bulldog plant is currently running near 100% of its capacity and is integral to helping facilitate continued growth of natural gas production from the Cotton Valley and Haynesville formations in East Texas and Louisiana. The Bulldog plant is a complement to the Enterprise value chain as NGLs produced at the plant will be transported on the Panola Pipeline to Mont Belvieu, Texas for fractionation services. Residue gas from the tailgate of the Bulldog plant will have connectivity with Enterprise's North Texas Intrastate pipeline system, along with other major pipelines and markets in the East Texas - Carthage area. The Bulldog plant fully integrates Enterprise's existing Fairplay gathering system with the BTA gathering system, which was acquired in 2017.

RDC is currently owned by Vista Equity, an investment firm focused on enterprise software, data and technology-enabled businesses. The transaction is expected to close in Q1, subject to the satisfaction of customary closing conditions, including the expiration or termination of any applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976. The transaction will be funded with a combination of cash on hand, commercial paper and debt financing. Moody's expects the acquisition of RDC to generate approximately $55M of annualized revenue in 2020, and to be accretive to earnings per share on an adjusted basis in 2022. Due to the estimated impact of amortization expense relating to acquired intangible assets, the transaction is expected to be accretive to earnings per share on a GAAP basis in 2024. In addition, Linde will supply hydrogen and helium to HLMC. The new plant includes on-site nitrogen generators and a compressed dry air system. The compact and energy efficient nitrogen generator has been specially designed by Linde to meet the increasing demands of electronics and semiconductor customers for higher purity industrial gas products.

The new 15-story building is expected to be designed to LEED standards. Total development and construction costs for Ten Tryon are expected to approximate $95M. Armada Hoffler Construction Company, a wholly-owned subsidiary of Armada Hoffler Properties, will serve as the general contractor for the project; the company anticipates breaking ground during Q2 with expected completion in the summer of 2022.
