The PUCO also ordered DP&L to file new rates reflecting this change by no later than November 29, 2019. DP&L expects to withdraw its current Electric Security Plan, and file new rates consistent with its most recent Standard Service Offer approved by the PUCO in 2016 and based on DP&L's first ESP. The acquisition of US Premium Finance and the sale of loans to CEBV, with respect to which the SEC and the U.S. Attorney are seeking information, are also the subject of various proceedings between the Company and William J. Villari, the former owner of US Premium Finance and the owner of CEBV, brought about by the termination of Mr. Villari's employment by the Bank in November of 2018 from his role as the managing officer of the premium finance division of the Bank. In these actions, Mr. Villari has made various claims that the Company believes are patently false and inaccurate. In the first of these proceedings to be adjudicated, the Company and the Bank received on November 20, 2019, an Order and Award from the American Arbitration Association in which the arbitrator ruled that the Company and the Bank had cause to terminate Mr. Villari and had properly exercised that right and that, as a result, Mr. Villari is not entitled to any additional payments under his employment agreement or a separate management and licensing agreement with the Bank. As previously disclosed in Part II., Item 1., Legal Proceedings, in the Company's Quarterly Report on Form 10-Q for the quarter ended June 30, 2019, Mr. Villari filed a demand for arbitration against the Company and the Bank on December 13, 2018, claiming that the termination of his employment for "cause" was improper and that as a result he was entitled to additional compensation from the Company and the Bank. The Company is unable to make any assurances regarding the outcome of the investigation or litigation or the impact, if any, that the investigation or litigation may have on the Company's business, results of operations, liquidity or capital resources. The other remaining issues to be resolved in the cases include the Energy Recovery Mechanism deferral and the extension of the electric and natural gas decoupling mechanisms. The parties have agreed that the final ERM rebate determined by the Commission, after it resolves the remaining ERM contested issues, should be returned to customers over a two-year period. The ERM rebate is approximately $34.0 million.

In response to this development, the PUCT issued an order delaying the hearing on the merits in order to assist in reaching a unanimous settlement. EPE and IIF issued the following statement: "We appreciate the constructive dialogue we have had with the PUCT Staff and intervenors. We look forward to submitting the settlement agreement for review and approval to the PUCT." Frankly, we are confused by this reasoning in that your own financial advisor, Goldman Sachs & Co., set a $14 price target with a "sell" rating for HP's stock after you announced your restructuring plan on October 3, 2019. 09:09 EST Firefly Value Partners issues letter to Gulfport Energy board - Firefly Value Partners, which manages funds that, together with affiliates, collectively beneficially own 9.9% of the outstanding common stock of Gulfport Energy, issued a public letter to the Gulfport board. The letter said, "...We have had a meaningful investment in Gulfport since 2013. Over the past six years, two things have remained constant: Gulfport has had a first-rate asset in the Utica Shale, and Gulfport's Board of Directors (the "Board") has seemingly done its best to prevent the full value of this asset from accruing to shareholders. In late 2018, after years of underperformance in the Company's shares, Firefly initiated a private dialogue with the Board. Throughout that dialogue, we expressed our concerns about the Board's history of poor governance and its approval of value-destructive capital allocation policies. To address these issues and promote alignment between stockholders and Company directors, we proposed an action plan, including the addition of meaningful shareholder representation in the boardroom. The Board refused, instead promising that the Company's latest personnel changes would lead to improvements in governance and strategy. Disappointed by the Board's unwillingness to work constructively with shareholders, Firefly published a public letter on January 17th outlining proposals to improve the Company's capital allocation. Later that day, the Board announced a capital plan that substantially adopted our suggestions. Following that announcement, we chose to give the Company time to implement its plan without distraction in the hope that the Board would finally display a true commitment to creating value for shareholders. In our March 6th public letter, we underscored the importance of Gulfport following through on its commitments with urgency. Almost a year has passed since Firefly first engaged with the Board. Unfortunately, things have not improved. The Company has not even come close to fulfilling its commitments to urgently pursue non-core asset sales and return cash proceeds to shareholders. While the Company has issued presentations and press releases regarding its plans, these steps have been half-measures at best and do not show real progress or strategic direction from the Board. The market has reacted negatively to this state of affairs, sending Gulfport's shares down another 66% since our first public letter. Over six years, Gulfport's shares have lost an incredible 95% of their value.1 Gulfport's performance lags those of its peers and the overall market by a massive margin. We strongly believe that a Board refresh is needed. In fact, we have expressed this view repeatedly to the Company, both in public and private discussions. In our most recent discussions, we specifically identified the need for three directors to be replaced and for a shareholder representative to be added to the Board. We proposed that the Company collaborate with us to identify three candidates who possess the right mix of skillsets and experience-and add a Firefly principal to the Board to ensure that the best interests of all shareholders are represented. However, in the middle of our most recent private discussions, instead of engaging with us in good faith to add true shareholder representation and necessary skills to the Board, the Company rushed out a press release with vague commitments to Board refreshment. On November 18th, the Company announced the planned resignations of nearly half of the Board without naming their replacements or providing a timeline to do so. We view this half-baked proposal as yet another example of poor strategic planning and a deafness to the urgency of shareholder concerns. This defensive response does nothing to satisfy the need for shareholder perspective in the boardroom. Unsurprisingly, the market reacted poorly, sending the shares down another 12%..."

Patients with at least one injectable lesion and who were candidates for KEYTRUDA were eligible. Eligible subjects received the combination treatment of PV-10 and KEYTRUDA every three weeks for up to five cycles, followed by only KEYTRUDA every three weeks for up to 24 months. The primary endpoint for the Phase 1b trial was safety and tolerability. Objective response rate and progression-free survival were key secondary endpoints. Updated Checkpoint-Naive Results from the Presentation at SMR 2019 Congress: Baseline characteristic: median age of 69 years. Disease characteristics: 52% Stage IV M1b-c; median of 2 injectable lesions 5; most patients had substantial uninjected systemic disease burden. Treatment summary: patients received a median of 5 cycles of PV-10 and a median of 5 total injections of PV-10; PV-10 was not administered after week 12. Safety: adverse events were consistent with the established patterns for the single-agent use of each drug; principally Grade 1-2 injection site reactions to PV-10; principally Grade 1-3 immune-mediated reactions to KEYTRUDA. Injected target lesion efficacy: 75% complete response, 79% objective response rate, and 86% disease control rate for 28 injected lesions in 21 patients; 85% CR and 92% DCR for 13 injected lesions in 11 M1b-c patients. Overall patient efficacy: 10% CR and 67% ORR for 21 patients; 9% CR and 82% ORR for M1b-c patients. Durability: 95% 12-month overall survival rate; 100% 12-month disease-specific survival rate; median OS and DSS were not reached; median progression-free survival of 11.7 months.

The much anticipated Notice of Proposed Rulemaking for the reduced nicotine product standard, which was expected in October, was listed as being "Withdrawn" as of October 23, 2019, on the White House Office of Information and Regulatory Affairs website. The unified agenda was updated with the new information on Wednesday, November 20, 2019, as part of a semiannual review. "22nd Century Group is disappointed that FDA appears to have delayed its efforts to enact a product standard rule to lower the amount of nicotine in all cigarettes sold in the United States to non-addictive levels," said Cliff Fleet, CEO of 22nd Century Group. "We believe such a rule, when enacted, will dramatically reduce the death and disease caused by cigarette smoking. We are encouraged, however, that FDA publicly stated that the Agency continues to work on the nicotine-reduction rule. Furthermore, we remain optimistic about the approval of our Modified Risk Tobacco Product application for very-low nicotine content cigarettes. We believe this application is moving quickly through the Agency's scientific review process, and we plan to launch this product in the U.S. after we receive an MRTP marketing order for this application." As publicly reported yesterday by both Barron's and CNBC, FDA officials said the omission from the unified agenda does not mean the FDA will stop working on it. In a March 2019 Clinical Guidance meeting with the U.S. Food and Drug Administration, Tonix received guidance from the FDA to advance the development of TNX-102 SL 5.6 mg for the management of fibromyalgia. The Phase 3 study design features were discussed and agreed upon to test the safety and efficacy of TNX-102 SL at a dosage of 5.6 mg in a pivotal study to support the fibromyalgia indication with targeted enrollment of approximately 470 patients. A lower dose of TNX-102 SL taken daily at bedtime was studied previously in fibromyalgia in a Phase 2 study and a Phase 3 study. In both studies, the 2.8 mg dose missed the primary endpoint of reduction in daily pain at Week 12. However, both studies showed broad clinical activity, evidenced by reduction of daily pain by other standard analytic approaches and improvements on the Fibromyalgia Impact Questionnaire - Revised, Patient Global Impression of Change, and measures of sleep quality. In Tonix's posttraumatic stress disorder program, TNX-102 SL 5.6 mg demonstrated acceptable tolerability in PTSD patients. Furthermore TNX-102 SL 5.6 mg showed activity in reducing pain in PTSD patients with baseline chronic pain. In the clinical studies of TNX-102 SL in both the PTSD and fibromyalgia program, there were no serious and unexpected adverse events reported at the 2.8 mg or 5.6 mg doses; the most common adverse events were primarily related to local administration site reactions, such as transient oral hypoaesthesia or paresthesia or abnormal product taste after dosing. The company said, "Supported by the previous safety and efficacy findings of TNX-102 SL in fibromyalgia and PTSD, Tonix believes that increasing the dose of TNX-102 SL from the 2.8 mg to 5.6 mg in the new RELIEF Phase 3 fibromyalgia study has the potential to provide clinical evidence to support the efficacy and safety of TNX-102 SL for the management of fibromyalgia. The registration of TNX-102 SL 5.6 mg for the fibromyalgia indication will be supported by the long-term safety exposure data from the PTSD program. "

STAR is a randomized, masked, prospective, parallel-controlled group Phase 3 study that enrolled 170 adult males with CHM. The study is evaluating the safety and efficacy of a single subretinal injection of timrepigene emparvovec. The primary endpoint is the proportion of patients with an improvement of at least 15 letters from baseline in best corrected visual acuity at 12 months post treatment as measured by the Early Treatment Diabetic Retinopathy Study visual acuity protocol. The STAR study was initiated based on proof-of-concept data from Phase 1/2 studies, which indicated that at month 24, over 90 percent of patients treated with timrepigene emparvovec via targeted subretinal injection maintained visual acuity instead of experiencing the natural decline in BCVA expected in this degenerative disease. In a subset of treated patients with moderate to severe visual acuity loss, 21 percent experienced a gain in visual acuity of at least 15 ETDRS letters from baseline as compared to one percent of untreated patients in a natural history study.

Seaspan also entered into a definitive agreement to acquire APR Energy, a provider of fast-track, mobile power solutions. In the proposed acquisition, Atlas will acquire APR, the world's largest lessor of mobile gas turbines, in an all-stock transaction valued at $750M including the assumption of debt, for an expected equity value at closing of approximately $425M. The submission is based on the positive results from a Phase 3 study, which were presented earlier this year. The study was conducted among 132 adults with type 1 diabetes in Europe and North America to evaluate the liquid stable glucagon auto-injector as a treatment for severe hypoglycemic events as compared with Novo's GlucaGen HypoKit. The results demonstrated comparable efficacy between the two groups in achieving a plasma glucose of greater than70 mg/dl or greater than or equal to20 mg/dl increase in plasma glucose concentration within 30 minutes of administration. No safety or tolerability concerns were noted. If approved, the company could launch its RTU glucagon in certain European countries in 2021.

05:38 EST Harpoon Therapeutics, AbbVie announce licensing, option collaboration - Harpoon Therapeutics (HARP) and AbbVie (ABBV) announced an exclusive worldwide option and license transaction for HPN217, Harpoon's B cell maturation antigen, or BCMA,-targeting Tri-specific T cell Activating Construct, or TriTAC, and an expansion of their existing discovery collaboration for up to six additional targets. These agreements build upon the discovery collaboration established by the two companies in October 2017 and are expected to advance and broaden the use of Harpoon's proprietary TriTAC platform. The TriTAC platform produces novel T cell engagers targeting both solid tumors and hematologic malignancies. Under the terms of the license and option agreement, Harpoon granted to AbbVie an option to license worldwide exclusive rights to HPN217. Harpoon will be responsible for development of HPN217 through Phase 1/2 clinical trials. Upon exercise of the option, AbbVie will conduct all future clinical development, manufacturing and commercialization activities. AbbVie may exercise its option to license HPN217 after completion of the Phase 1/2 clinical trial. The license and option agreement represents a potential transaction value of up to $510 million in upfront, option and milestone payments, plus royalties on global commercial sales. Under the terms of the expanded discovery collaboration agreement, AbbVie will receive worldwide exclusive rights to develop and commercialize two new TriTAC molecules engineered for two selected targets. AbbVie has the option to select up to four additional targets for a total of up to six new targets. For each selected target under the Amended Discovery agreement, Harpoon is eligible to receive up to $310 million in upfront and potential development, regulatory and commercial milestone payments, plus royalties on global commercial sales. Consistent with the existing discovery collaboration agreement, Harpoon and AbbVie will conduct certain initial research and discovery activities for each designated target, after which AbbVie will be solely responsible for further development and commercialization efforts.

In total, approximately 50,000 customers in portions of the following counties were impacted: Butte, Colusa, Glenn, Lake, Mendocino, Napa, Shasta, Solano, Sonoma, Tehama and Yolo. Due to improved weather conditions, including some precipitation and increased humidity levels, approximately 6,800 customers were removed from the scope of the event late this afternoon in Tehama, Butte and Yuba counties. This is in addition to the approximately 83,000 customers who were removed from the event earlier today in many other counties. Wind speeds exceeding 50 mph were recorded in most of these counties, including wind speeds over 70 mph in Sonoma County. Winds are expected to subside Thursday morning. Once the all-clear is given, inspections and any necessary repairs will be performed before lines are re-energized. PG&E has already staged resources, including 45 helicopters and 5,500 employees, in the impacted areas to expedite inspections as soon as the all-clear is received and it is light enough to do so. Restoration will occur in stages depending on inspections and any repairs of wind damage to the electric system. Current weather predictions point to a possible restoration for most customers by late Thursday. Approximately 4,800 customers in Napa and Sonoma counties were restored as of 6:00 p.m.
