The Settlement Agreement does not resolve the two pending litigations previously disclosed by the Company filed by TSR stockholder Susan Paskowitz. Pursuant to the Settlement Agreement, the Parties concurrently entered into a share repurchase agreement providing for the purchase of the shares of common stock of the company, par value $0.01 per share, beneficially owned by the Investor Parties as of the date of the Settlement Agreement, by the company and Christopher Hughes, the Chairman of the Board of Directors of the company, President and Chief Executive Officer of the company, for an aggregate purchase price of $5,956,712.50 in cash or $6.25 per share, subject to the terms and conditions contained in the Repurchase Agreement. In addition, the company has agreed to make a payment of $1,543,287.50 to the Investor Parties for the settlement of the pending litigation. TSR and the Investor Parties have also agreed that the Company shall hold its 2018 Annual Meeting on October 22, 2019. In connection with the 2018 Annual Meeting, the Company will solicit proxies for two alternative Class I director slates for election at the 2018 Annual Meeting: one slate for the company's nominees, and one slate for nominees selected by Zeff Capital, L.P. If the company completes the Repurchase and makes the Settlement Payment prior to the 2018 Annual Meeting, Zeff Capital, L.P. will withdraw its director slate from consideration at the 2018 Annual Meeting. If the Repurchase is not completed or the Settlement Payment is not made prior to the 2018 Annual Meeting, then the Company will withdraw its director slate and will support the slate proposed by Zeff Capital, L.P. TSR and the Investor Parties have further agreed that if the Repurchase is not completed or the Settlement Payment is not made as of 5:00 pm, Eastern Time, on December 30, 2019, all of the then-current members of the board of directors of the company will resign from the company's board of directors. If the Repurchase is completed after the 2018 Annual Meeting and prior to December 30, 2019, the two directors nominated by Zeff Capital, L.P. will resign from the company's board of directors.

(VWGoA) announced that it has reached an agreement with private plaintiffs to resolve outstanding claims concerning the fuel economy ratings of certain Volkswagen Group Model Year 2013-2017 gasoline vehicles sold or leased in the United States. The fuel economy information for approximately 98,000 affected gasoline vehicles, or approximately 3.5% of Model Year 2013-2017 gasoline vehicles sold or leased in the United States, will be restated to reflect a discrepancy of one mile per gallon, when rounded according to the U.S.-specific "Monroney" label requirements. Under the proposed settlement, Volkswagen Group of America has agreed, among other terms, to reimburse eligible customers for the fuel economy restatement. Eligible customers will receive payments ranging from $5.40 to $24.30 for each month the vehicle is owned or leased. The total value of the settlement, which is subject to court approval, is approximately $96.5M. Volkswagen will also adjust its greenhouse gas credits to account for any excess credits associated with the fuel economy discrepancy. The adjustment is subject to final approval from the U.S. Environmental Protection Agency. "The settlement removes the uncertainty of protracted litigation and does not include any admission of liability or wrongdoing by Volkswagen," it added.

The union members will now schedule a vote on the proposed contract, the result of extensive negotiations between the company and the United Steelworkers. On May 15, the parties agreed to honor the existing contract, which was set to expire at midnight on that day, so negotiations for a new contract could continue without a work stoppage. The United Steelworkers will now set the date for its members to vote on the proposal, which will cover employees represented by the union at Warrick Operations in Indiana, Massena Operations in New York, Gum Springs in Arkansas, Wenatchee Works in Washington, and Point Comfort in Texas.

The company believes "all of the outstanding Notes are void ab initio as the Company believes they were entered into fraudulently by the Company's prior management and without the knowledge or necessary authorization of the Company's board of directors." As a result, the company intends to dispute the judgements and the claims of such holders and to "vigorously defend" the litigations commenced by such investors. In addition, FTE Networks believes that holders of the notes have violated the NY Lien Law and have also engaged in other activities that are prohibited by the terms of the notes themselves. It added, "That conduct has injured the Company's business and reputation and has adversely affected the Company's common stock, causing significant financial loss to the Company's stockholders. The Company intends to hold such holders liable for the full amount of such damages."

A total of 7 patients with prior progression on anti-PD1/PD-L1 treatment were enrolled in the Dose Escalation portion of the study. Tumor types included melanoma, urothelial carcinoma, neuroendocrine carcinoma, and esophageal squamous cell carcinoma. The median number of lines of prior systemic therapy was 3. Median age of patient population was 61. In the two dose levels tested, there were no dose-limiting toxicities. The maximally tolerated dose was not reached, and the recommended Phase 2 dose is abexinostat 45 mg/m2 BID on days 1-4, 8-11 of a 21 day cycle in conjunction with pembrolizumab 200 mg IV on day 1. There were no treatment-related grade greater than or equal to 3 or serious adverse events. The most common Grade 1-2 adverse events were diarrhea, rash, thrombocytopenia, and dysgeusia. 2 out of 7 patients experienced stable disease for greater than 6 months. 1 of these 2 patients has pembrolizumab-refractory urothelial carcinoma and remains on treatment for 6+ months with ongoing 20% reduction in tumor size from baseline. Enrollment in Dose Expansion portion of this trial is ongoing to ascertain the response rate and disease control rate across tumor types. The trial is targeting to enroll a total of approximately 42 patients in the U.S.

The presentations include: A preliminary read-out by Professor Brynn Levy, Director of Cytogenetics at Columbia University, regarding 11 patient samples analyzed and unblinded from a multi-center clinical validation study. This study compares Saphyr to technologies used in traditional cytogenetics workflows for patient testing in oncology and is being run by a consortium of leading cytogenetics teams at institutions in the United States, including Columbia University, MD Anderson Cancer Center, Mayo Clinic, University of Washington, Penn State University, Augusta University and PathGroup. In each of the 11 samples, Saphyr detected all known clinical variants identified by various combinations of karyotype, Fluorescent In-Situ Hybridization , and Chromosomal MicroArray, which define the current standard of care in cytogenetics. Some of the variants identified include: in Acute Myeloid Leukemia samples, a large inversion on chromosome 16, which creates a CBFB MYH11 fusion; in one B-Cell Acute Lymphoblastic Leukemia sample, a BCR-ABL1 translocation, and deletions of tumor suppressor genes IKZF1 and CDK6; and in a separate B-ALL sample, a NF1 deletion, which is a well-known risk factor for childhood leukemia. This detailed characterization of variants potentially helps to enable a precise treatment tailored to the specific patient's tumor. During his presentation, Dr. Levy discussed the strong concordance of the size of the deletions and the breakpoints identified by Saphyr with those determined by microarray results. Based on the preliminary results, Dr. Levy concluded that Saphyr has the potential to be a powerful new tool in cytogenomics for assessing chromosome structure and copy number. Upon completion of the clinical validation phase, Dr. Levy's team plans to evaluate the benefits of using the Saphyr system for discovery of novel variants by analyzing samples previously deemed "normal" by karyotype, FISH, and CMA to identify the existence of any recurring abnormalities with prognostic and therapeutic value that may have been missed by traditional methods. A preliminary summary by Rashmi Kanagal-Shamanna, Microarray Director in the Molecular Diagnostics Lab of MD Anderson Cancer Center, of a study regarding results from the analysis of 7 patient samples with Myelodysplastic Syndrome, a precursor to leukemia. In addition to identifying all clinically relevant variants previously detected by karyotyping and CMA, Saphyr revealed additional structural variants of research interest that were missed by these methods, including deletions of the TP53 and TET2 genes, which potentially have prognostic and therapeutic implications. Use of the Saphyr system further enabled elucidation of a complex rearrangement involving three chromosomes, with deletions and duplications at the breakpoints, all of which were not captured by other cytogenetic methods. Additionally, Saphyr facilitated precise mapping of variants within genomic coordinates, especially in cases involving complex rearrangements. Dr. Kanagal-Shamanna stated that the high concordance between results of Saphyr and conventional techniques provides proof-of-concept for potential use of Saphyr as a single-platform for comprehensive assessment of all structural variants, including copy number variants and balanced rearrangements. In hematological malignancies, this eliminates the need for cell culture and provides higher resolution than standard of care assays.

Farmers expects the transaction to be accretive to earnings per share for the first full year of operation, excluding one-time merger costs, and expects any tangible book value dilution created in the transaction to be earned back in under two years. Following consummation of the transaction, it is expected that Farmers National Bank will exceed "well-capitalized" thresholds under all regulatory definitions. As of June 30, Maple Leaf had total assets of $277.8M, which included gross loans of $186.4M, deposits of $191M and equity of $32.9M.

These transactions are expected to close in the first half of fiscal 2020. This portfolio of businesses referred to as Campbell International, which was previously included in the Global Biscuits and Snacks segment, is now reported as discontinued operations along with Campbell Fresh. Effective as of Q4, Campbell is reporting operating results in two segments: Meals & Beverages; and Snacks. The results for Campbell Fresh and Campbell International are reported as discontinued operations. The company completed the divestiture of the Campbell Fresh segment on June 16. As stated above, the company expects to close the Campbell International transactions in the first half of FY20. The company reported a loss from discontinued operations for FY19 of 87c per share compared to a loss of $1.53 per share in the prior year. Excluding items impacting comparability, the adjusted earnings from discontinued operations were 31c per share compared to 36c per share in the prior year.

07:04 EDT DMC Global discontinuing production at Siberia plant - DMC Global announced its DynaEnergetics oilfield products business has completed a series of capacity expansion initiatives at its plants in North America and Germany. The new capacity has significantly improved DynaEnergetics' operating efficiencies and enabled the business to more effectively serve its global customer base. Capitalizing on its more efficient manufacturing footprint, DynaEnergetics is discontinuing production at its plant in Tyumen, Siberia. DMC expects to record $15M to $20M in non-cash charges associated with the closure during the second half of 2019. Approximately half of the charges relate to foreign currency translation losses incurred since the Tyumen plant commenced operations in 2011. Management expects an additional $2M to $2.5M in cash wind-down and severance expense, as the closure will reduce DynaEnergetics' workforce by 47 people. DMC's management said it is maintaining its prior 2019 financial guidance, including for sales and adjusted earnings per diluted share. Moreover, the consolidation of manufacturing capacity is expected to further strengthen DMC's operating performance and returns on invested capital.

07:02 EDT Allergan announces settlement with two Ohio plaintiffs in opioid litigation - Allergan (AGN) announced that the company and its U.S. subsidiaries have reached a settlement with plaintiffs scheduled for trial in October in the federal opioid multidistrict litigation. As part of the agreement, Allergan will pay $1.9M to Summit County, Ohio and $3.1M to Cuyahoga County, Ohio. The settlement resolves all claims against Allergan in connection with the upcoming October 2019 Cleveland trial. The company believes that settling with these plaintiffs is in its interest in light of anticipated time and defense costs for this first multi-defendant bellwether trial in the federal multidistrict litigation. The company is seeking indemnification from other parties relating to one of its products involved in the litigation. Allergan does not have liability for generic claims. All generic assets were sold to Teva (TEVA) in 2016.

In both head-to-head studies, ofatumumab demonstrated superiority over Aubagio in patients with relapsing forms of multiple sclerosis. The ASCLEPIOS studies investigated the efficacy and safety of monthly subcutaneous ofatumumab 20mg versus once daily oral Aubagio 14mg in adults with RMS. Both studies met the primary endpoints where ofatumumab showed a highly significant and clinically meaningful reduction in the number of confirmed relapses, evaluated as the annualized relapse rate. Key secondary endpoints of delaying time to confirmed disability progression were also met. The top line results of the Phase III ASCLEPIOS studies will be presented at the 35th Congress of the European Committee for Treatment and Research in Multiple Sclerosis, taking place September 11-13, 2019, in Stockholm, Sweden. Overall ofatumumab, a potent, fully-human antibody targeting CD20 positive B-cells, delivered sustained efficacy with a favorable safety profile. The safety profile of ofatumumab as seen in the ASCLEPIOS studies is in line with the observations from Phase II results. Novartis plans to initiate submissions to health authorities by end of 2019. The ASCLEPIOS I and II studies are twin, identical design, flexible duration, double-blind, randomized, multi-center Phase III studies evaluating the safety and efficacy of ofatumumab 20mg monthly subcutaneous injections versus Aubagio 14mg oral tablets taken once daily in adults with a confirmed diagnosis of RMS. The studies enrolled 1,882 patients with MS, between the ages of 18 and 55 years, with an Expanded Disability Status Scale score between 0 and 5.5. The studies were conducted in over 350 sites in 37 countries. The primary endpoint of both studies was to demonstrate that ofatumumab is superior to Aubagio in reducing the frequency of confirmed relapses as evaluated by the ARR in patients treated up to 30 months. Secondary endpoints included time to disability progression confirmed at three and six months respectively, confirmed disability improvement at 6 months, gadolinium enhancing T1 lesions, number of new or enlarging T2 lesions, serum levels of neurofilament light chain, and rate of brain volume loss. Safety and the pharmacokinetic properties of ofatumumab were also measured throughout the treatment period.

As part of the deal, Airbus will expand its maintenance, repair and overhaul presence in Malaysia and establish the Airbus Malaysia Digital Initiative to enhance the competitiveness of the local aerospace sector through the application of new digital technologies, in line with the government's vision to make Malaysia a regional aerospace hub. Airbus will also boost its commitment to the Aerospace Malaysia Innovation Centre - of which it is a founding member - by appointing an Innovation Technical Director and increasing its funding for joint research programmes, including into the production of sustainable aviation biofuels in Malaysia. AirAsia also signed an agreement for a firm order of 12 additional Airbus A330neo aircraft, and 30 state-of-the-art A321XLR aircraft, to join AirAsia's future long-haul fleet.

BASF has more than 15 polyurethane, or PUR, amine catalysts in its product portfolio. The company markets reaction accelerators under the Lupragen brand, including low-emission PUR catalysts. Such catalysts are usually tertiary amines. They are required to facilitate the reaction of the main components' isocyanate and polyol. Depending on the catalyst choice, the polyurethane forming process can be controlled to favor the gelling or blowing reaction. This behavior leads to PUR material with the desired properties, depending on whether the final product is to be a rigid, semi-rigid or flexible foam.

The three agreements include the Southeast wireline agreement, BellSouth Telecommunications - Utility Operations and AT&T Billing Southeast. The five-year agreements collectively cover about 20,000 employees in CWA District 3, which includes Alabama, Florida, Georgia, Kentucky, Louisiana, Mississippi, North Carolina, South Carolina, and Tennessee. The agreements will be submitted to the union's membership for ratification votes in coming days.
