The Cariboo region in which the company's 100 Mile House mill is located has been under mounting wood supply pressure for the past decade as a result of the mountain pine beetle epidemic. This challenge has been more recently exacerbated by the significant wildfires that the province of British Columbia experienced in the summers of both 2017 and 2018. The resulting wood supply shortage and high wood prices do not support the economic operation of the mill at this time. Norbord will continue to supply its current customers and meet expected future customer demand with production from its 11 other operating North American OSB mills, including High Level and Grande Prairie, Alberta. The 100 Mile House mill has a stated annual production capacity of 440M square feet. Approximately 160 employees will be impacted by this curtailment.

They stated in part: "At the U.S. Food and Drug Administration, increasing our scientific knowledge and capabilities is a cornerstone to ensuring the safety of the foods that Americans consume. We do this by reviewing all available scientific evidence to determine the safety of foods and food packaging and conducting our own research to fill in gaps in the science. As part of these efforts, the FDA has been working to develop new methods to quantify certain per- and polyfluoroalkyl substances, or PFAS, in foods. We have employed these new methods to test samples of foods Americans typically consume for certain types of PFAS, and today we are making available recently analyzed data from these initial testing initiatives. Overall, our findings did not detect PFAS in the vast majority of the foods tested. In addition, based on the best available current science, the FDA does not have any indication that these substances are a human health concern, in other words a food safety risk in human food, at the levels found in this limited sampling. These data give our scientists a benchmark to use as we continue our critical work studying this emerging area of science." 13:47 EDT 3M deconsolidates Venezuelan subsidiary as of May 31 - In a regulatory filing, 3M said that "in light of continuing challenging circumstances in Venezuela, including its unstable environment and heightened unrest that have led to a sustained lack of demand, and our expectation that these circumstances will continue for the foreseeable future," the company has concluded that it no longer meets the criteria of control to continue consolidating its Venezuelan operations, and therefore deconsolidated its Venezuelan subsidiary as of May 31. "3M notified relevant employees today that it has suspended local operations of this subsidiary for the foreseeable future. The deconsolidation results in a pre-tax charge of approximately $160M, or 27c per diluted share, in the second quarter of 2019. This charge was not part of the "2019 Updated Outlook" for full-year earnings expectations projected in the company's first quarter earnings release dated April 25, 2019. While reporting GAAP-basis results, 3M also expects to provide certain non-GAAP income and earnings per share measures that will exclude the charge associated with this deconsolidation. There is no economic impact to 3M from the deconsolidation of the subsidiary. The operations were immaterial to 3M's overall operations. The charge is non-cash and primarily relates to foreign currency translation losses previously included in accumulated other comprehensive losses associated with foreign currency movements before Venezuela was accounted for as a highly inflationary economy," the filing stated.

Taubman's 11 "Jewel Box1" assets are more productive, account for more of the value of the Company (in our view, the substantial majority of TCO) and are generating stronger net operating income (NOI) growth than we could have imagined. As such, we believe these assets are likely worth nearly double the current TCO share price based on property by property cap rates applied by a leading REIT research firm. 2. As I experienced firsthand, one independent shareholder voice in the boardroom was simply not enough to implement the changes necessary to drive shareholder value at Taubman. At next year's Annual Meeting of Shareholders (the "2020 Annual Meeting"), the Board will be fully de-staggered for the first time, which means that all directors will be up for re-election, including Chairman, President and Chief Executive Officer Bobby Taubman. We intend to continue to monitor the Company and take any action that we deem necessary to hold this Board and Bobby Taubman accountable at the 2020 Annual Meeting, including the nomination of director candidates. All directors and specifically, Bobby Taubman, can be held accountable by shareholders for the Company's atrocious absolute and relative performance for the first time since 2017 at the 2020 Annual Meeting. Their best defense against a proxy contest in 2020 is to drive material outperformance by maximizing value for all shareholders. Actions they can take include: 1. Exit Asia, which would likely drive nearly 10% accretion to annual earnings, materially reduce debt and eliminate future capital commitments for development. Blackstone's recent purchase of 50% of Taubman's Asia assets confirms both valuation and investor interest in these assets. Sell or spin-off (think SITE Centers/Retail Value) the "Jewel Box" assets, which alone are likely worth nearly double the current share price applying property by property cap rates used by a leading REIT research firm. We believe the "Jewel Box" portfolio would be a must-own given the superior NOI growth, clean balance sheet, and fortress nature of the malls and would likely trade close to net asset value (NAV) (think premium brands like LVMH, Welltower, Federal Realty, Equity Residential, Prologis, etc.). The non-Jewel Box company (remain co) would have substantial cash flow, and material asset value as a standalone company. 3. Reverse a nearly decade long trend of meaningfully lowering forward consensus estimates - focus is shifting to beat and raise.I did not stand for re-election at the 2019 Annual Meeting because it was clear that the Company did not intend to re-nominate me for election to the Board. I decided not to run a proxy contest this year in order to let the Company focus on improvements and because Bobby Taubman, who I believe bears most of the responsibility for Taubman's terrible track record, was not up for election. However, shareholders are clearly disappointed with the actions the Board has taken - including in our view the decision to not re-nominate me - as the shares are down 14% and have underperformed Class A Mall Peers by 7% since the announcement.2 Accordingly, assuming no meaningful progress in the coming months, we intend to take action to hold this Board accountable at the 2020 Annual Meeting - including by nominating directors."

Approximately two-thirds of patients with Hunter Syndrome suffer from progressive cognitive impairment in addition to other severe clinical manifestations. Standard enzyme replacement therapy does not result in sufficient brain concentrations to adequately address cognitive impairment. Pre-clinical studies with DNL310 in a relevant disease model demonstrated increased brain uptake and a more robust reduction of downstream markers of disease in the central nervous system compared to standard ERT. The TV technology enables improved uptake and distribution of therapeutic antibodies, enzymes and other proteins in the brain after i.v. administration by binding to natural transport receptors in the vasculature of the brain. Pre-clinical studies with the TV technology have shown up to 30-fold increased uptake and superior pharmacological activity compared to standard antibodies, enzymes and other proteins. Denali is developing a broad portfolio of biologic drug candidates that are enabled by its TV technology. Based on pre-clinical proof of concept with DNL310, Denali initiated two additional ERT programs that are enabled by the TV technology. A Phase 1/2 patient study of DNL310 in Hunter Syndrome is planned for 2020.

This revision removed EVZIO as a Reference Listed Drug and withdrew the associated Paragraph IV certification. Narcan injectable now remains as the sole RLD and, because there are no Orange Book listed patents for NDA 016636, no patent certification is required. With this change, it is Adamis' opinion that the amended NDA will not be subject to a 30-month stay and that the FDA will be free to issue an approval as soon as the agency completes a satisfactory review of the Adamis naloxone NDA. Adamis decided to amend its original NDA after consulting with the FDA regarding the proposed change. The removal of the Paragraph IV certification does not terminate the previously announced lawsuit filed by kaleo Inc. in the United States District Court for the District of Delaware, which alleges, among other things, that Adamis' product infringes patents purportedly held by kaleo. As previously stated, Adamis believes that its higher dose naloxone injection product does not infringe any valid and enforceable patent held by kaleo and that kaleo's patent infringement allegation is without merit. Adamis has separately demanded that Cooley LLP withdraw as counsel for kaleo. Cooley has served as counsel to Adamis since Adamis' formation in 2006, has counseled Adamis on all areas of its business and has a clear conflict of interest. Adamis will continue to vigorously defend its naloxone injection product against any and all patent infringement allegations.

The city is home to major league teams and sports events like the Indianapolis 500, which air on NBC. WBNS serves Columbus, Ohio's state capital, which is the 34th largest television market. WBNS will join Tegna's WKYC, the NBC affiliate in Cleveland, and WTOL, the CBS affiliate in Toledo, in serving audiences and advertisers in Ohio, a political battleground state. Once the transaction concludes, Tegna stations will serve two-thirds of all television households in Ohio. The transaction, structured as a stock purchase, represents a purchase price multiple for the company of 7.9 times expected average 2018-2019 EBITDA, including run rate synergies. Tegna expects the transaction to be EPS accretive within a year after close and immediately accretive to free cash flow per share. Tegna will finance the transaction through the use of available cash and borrowing under its existing credit facility. Upon close, leverage is expected to increase to approximately 4.8 times, inclusive of the previously announced acquisition of the Nexstar-Tribune divestiture stations and the remaining portion of Cooper Media. Substantially all free cash flow will subsequently be used to reduce debt, reducing total leverage to approximately 4 times by the end of 2020.

Key findings of the study include:CRV431 decreased liver HBV DNA levels dose-dependently, where the low and high doses of CRV431 reduced HBV DNA levels by 13% and 91%, respectively, compared to the vehicle group. 07:12 EDT CymaBay reports topline 12-week data from ongoing Phase 2b study of seladelpar - CymaBay Therapeutics announced 12-week topline results from an ongoing 52-week Phase 2b dose-ranging, paired liver biopsy study of seladelpar for the treatment of nonalcoholic steatohepatitis. Seladelpar is a potent and selective peroxisome proliferator-activated receptor delta agonist currently in development for NASH and primary biliary cholangitis. The double-blind, placebo-controlled study randomized 181 subjects with biopsy-confirmed NASH and a liver fat content greater than 10% to receive either placebo or seladelpar 10 mg, 20 mg, or 50 mg once-daily. The enrolled subjects had established NASH with a mean NAFLD Activity Score of 5.2 at baseline, with 83% of subjects having stage 2 or stage 3 fibrosis. Other key baseline characteristics include a mean LFC by magnetic resonance imaging-proton density fat fraction of 21% as well as elevated mean ALT and AST levels of 62 U/L and 46 U/L, respectively. Approximately half of the subjects enrolled had a diagnosis of type 2 diabetes. The primary endpoint was the relative change in LFC from baseline to 12 weeks. The study remains blinded and will continue to 52 weeks with assessments including a liver biopsy, non-invasive imaging evaluations, and biomarker assessments of inflammation and fibrosis. Reductions in LFC as measured by MRI-PDFF at week 12 are highlighted in the table below. Treatment with seladelpar resulted in minimal reductions in liver fat that were not significant when compared to placebo. Treatment with seladelpar resulted in robust and clinically meaningful reductions in markers associated with liver injury as highlighted in the table below. Alanine aminotransferasedeclined up to 37.5% or 32 U/L in 12 weeks. These reductions in ALT are significantly greater than the 17 U/L threshold that has been correlated with histologic improvement in NASH. Gamma glutamyl transferase also decreased significantly, suggesting a reduction in hepatocellular oxidative stress. Significant reductions in alkaline phosphatase at 12 weeks were observed, supportive of a decrease in hepatocellular bile acids. The marked changes in these liver enzymes collectively suggest the potential to impact ballooning and lobular inflammation, the two key components of NASH resolution. Treatment with seladelpar also resulted in reductions in low-density lipoprotein cholesterol and triglycerides. At 12 weeks, the median percent changes in LDL-C were 7.8, -7.5, -8.4, and -14.4 in the placebo, seladelpar 10, 20, and 50 mg groups, respectively. The median percent change in triglycerides were 14.4, -9.1, -4.0, and -10.0 in the placebo, seladelpar 10, 20, and 50 mg groups, respectively. There were no significant changes in high-density lipoprotein cholesterol. High sensitivity C-reactive protein, a key marker of inflammation and cardiovascular risk, decreased by a greater magnitude in seladelpar-treated subjects, with median percent changes were -3.1, -16.7, -20.7, and -22.6 in the placebo, seladelpar 10, 20, and 50 mg groups, respectively. Seladelpar demonstrated a favorable safety and tolerability profile at all doses evaluated in this study. The most common treatment emergent adverse events included nausea, constipation, dizziness, headache, gastroesophageal reflux disease and upper abdominal pain. The majority of treatment emergent adverse events were mild to moderate in severity and deemed unrelated to study drug. In the study, at week 28 patients who achieved a static Physician Global Assessment, or sPGA, score of clear or almost clear were re-randomized to continue treatment with SKYRIZI or withdrawal. After 94 weeks of continuous treatment with SKYRIZI, 73% and 72% of these patients achieved a sPGA score of clear and a 100% improvement in the Psoriasis Area and Severity Index, respectively, compared to 2% of patients re-randomized to withdrawal. These two-year results from the Phase 3 IMMhance study, evaluating the efficacy and safety of SKYRIZI in adult patients with moderate to severe psoriasis, will be presented today at the 24th World Congress of Dermatology in Milan. The outcome of the 254-subject, ORCA-1 trial is the selection of 3.0 mg, three times daily, or TID, for Phase 3 development. The primary endpoint was the reduction in daily smoking, a self-reported measure. Across all treatment arms, over the 25-day treatment period, subjects on cytisinicline experienced a 74-80% median reduction in the number of cigarettes smoked, compared to a 62% reduction in the placebo arms. The secondary endpoint of the trial was a 4-week continuous abstinence rate, which is the relevant endpoint for regulatory approval. Cytisinicline treatment showed significant improvements in abstinence rates compared to placebo. The Company expects to conduct further analyses of the ORCA-1 trial and submit data for presentation at a future medical meeting. Additionally, Achieve plans to discuss the trial's outcome with the FDA and finalize Phase 3 protocol details in the second-half of 2019.

The approval is based on results from the pivotal Phase 3 KEYNOTE-048 trial, where KEYTRUDA demonstrated a significant improvement in overall survival compared with the EXTREME regimen, a standard treatment, as monotherapy in patients whose tumors expressed PD-L1 and in combination with chemotherapy in the total study population. With these new indications, KEYTRUDA is the first anti-PD-1 therapy approved in the first-line setting as monotherapy in patients whose tumors express PD-L1 or in combination with chemotherapy regardless of PD-L1 expression for patients with metastatic or with unresectable, recurrent HNSCC and the first anti-PD-1 therapy to demonstrate a statistically significant improvement in OS in these patients.

To facilitate the financial restructuring and implement the pre-arranged plan of reorganization contemplated by the restructuring agreement, the company expects to file voluntary petitions for reorganization in the United States Bankruptcy Court for the Southern District of Texas pursuant to chapter 11 of the United States Bankruptcy Code. The plan, which the RBL lenders and second lien lenders have agreed to support, will provide for de-leveraging of the company's capital structure by over $900M, including an infusion of at least $200M in equity capital through a rights offering and a committed equity backstop and payment in full of the company's other secured creditors, tax and other priority claimants, trade creditors and employees. Consummation of the plan, including the infusion of new equity, will be subject to confirmation by the court in addition to other conditions to be set forth in the plan and related transaction documents. The plan is expected to be filed within 30 days following the commencement of the chapter 11 cases. The company is also in active discussions with the advisors for a group of the company's noteholders regarding terms for their support of the restructuring agreement. The company will continue to operate its business in the normal course without material disruption to its vendors, partners or employees, and expects to have sufficient liquidity to meet its financial obligations during the restructuring. The restructuring agreement contemplates that the company will obtain debtor-in possession, or DIP, financing provided by certain of its existing RBL lenders. The DIP financing, subject to court approval, will refinance portions of the company's existing reserve-based credit facility and provide an additional $100M in new money to support the company's day-to-day operations and finance the restructuring process. The restructuring agreement further provides that, upon confirmation of the plan and emergence from chapter 11, the company will obtain access to a senior secured asset-based lending credit facility in a maximum amount of $500M provided by certain of the existing RBL lenders.

The license agreement was previously expanded for use in wound healing in patients with Epidermolysis Bullosa, or EB, and JCR filed to extend marketing approval of TEMCELL in Japan for this indication in March 2019. The license agreement has now been further expanded to provide JCR with rights to sell TEMCELL for HIE and to access Mesoblast's broad patent portfolio for this indication. JCR plans to initiate a clinical trial of TEMCELL in newborns with HIE in July 2019 in order to further extend the label in this indication. Mesoblast has the right to use all safety and efficacy data generated by JCR in Japan to support its development and commercialization plans for its MSC product candidate remestemcel-L in the U.S. and other major healthcare markets, including for GVHD, wound healing, and now HIE.

The findings were reported at the American Diabetes Association's 79th Scientific Sessions in San Francisco. The trial met its primary endpoint, defined as non-inferiority for Tradjenta versus glimepiride in time to first occurrence of cardiovascular death, non-fatal myocardial infarction or non-fatal stroke, which occurred in 11.8% of the Tradjenta group compared with 12% of the glimepiride group. The overall safety profile of Tradjenta in CAROLINA was consistent with previous data, and no new safety signals were observed. The study assessed Tradjenta safety over the longest period ever studied in a DPP-4 inhibitor cardiovascular outcome trial, with a median follow-up of more than 6 years. Tradjenta was similar to glimepiride in the secondary endpoint of 3P-MACE plus hospitalization for unstable angina.
