12:52 EDT ENGlobal granted 180-day extension by Nasdaq to regain compliance - ENGlobal Corporation announced it had received notification from the NASDAQ Stock Market indicating that the company will have an additional 180-day grace period, or until November 25, 2019, to regain compliance with NASDAQ's $1.00 minimum bid requirement. The notification indicated that the company did not regain compliance during the initial 180-day grace period provided under the rule. In accordance with NASDAQ Marketplace Rule 5810c3A, the company is eligible for the additional grace period because it meets the initial listing requirements for the NASDAQ Capital Market, except for the bid price, and the provision of written notice to NASDAQ of ENGlobal's intention to cure the deficiency during the additional grace period by effecting a reverse stock split, if necessary. If, at any time during this additional grace period, the closing bid price of the company's common stock is at least $1 per share for a minimum of 10 consecutive business days, NASDAQ will provide the company with written confirmation of compliance and the matter will be closed. If the company chooses to implement a reverse stock split, however, it must complete the split no later than 10 business days prior to the expiration of the additional grace period in order to timely regain compliance. If ENGlobal does not meet the minimum bid requirement during the additional 180-day grace period, NASDAQ will provide written notification to the company that its common stock will be subject to delisting. At that time, the company can request NASDAQ for a hearing to present a plan to regain compliance.

The contract described in this email is entered into with the first-class charterer, Equinor, an energy company headquartered in Norway. Equinor is a major stocklisted company and one of the largest of its type worldwide. Last year we entered into a term contract with the same user for a period of minimum 3 years. Over the years, NAT has bought several vessels built at Samsung Shipyard in South Korea, including the Nordic Zenith. The vessels of NAT consist of suezmaxes. The NAT fleet is trading all over the world. The contract has a value between USD 9 mill and USD 11 mill depending upon the detailed scheduling of the vessel. The contract is producing positive cashflow and earnings for NAT, cementing the relationship with Equinor. Major energy and gas companies, including oil traders both in the West and the East, are prioritized customer groups for NAT. Going forward, we sense a strong upward trend for the tanker industry. NAT is in a positive phase of development. Historically, all contracts of the tanker industry and of the NAT fleet (now 23 vessels), over a certain length, as a standard need the approval of the technical management arrangement associated with all our contracts. At this time almost all NAT vessels are trading in the spot market."

08:46 EDT Windtree Therapeutics says istaroxime Phase 2b study achieves primary endpoint - Windtree Therapeutics announced the presentation of new safety and efficacy data from a phase 2b study of istaroxime in patients hospitalized with acute heart failure at a late-breaker session of the European Society of Cardiology. The study achieved its primary endpoint by demonstrating a significant improvement in cardiac function at both istaroxime study doses. The study further showed that stroke volume, a key secondary endpoint, was substantially increased. Importantly, certain toxicities and complications experienced with many existing acute heart failure therapies were not observed in istaroxime-treated patients, including no signals of increased arrhythmias or increased troponin levels, a common marker of heart muscle damage. Istaroxime significantly increased or maintained systolic blood pressure during treatment which may have contributed to a short-term trend toward improvement in renal function. The phase 2b study in 120 patients was designed to assess the safety and efficacy of 24-hour infusions of two doses of istaroxime, compared to placebo, in the treatment of patients with acute heart failure. The primary endpoint of this study was a change from baseline to 24 hours after start of infusion in E/e' with istaroxime 0.5 or 1.0 microg/kg/min vs. placebo. The E/e' ratio is a marker of the function of the left ventricle of the heart and was measured using doppler echocardiography read by a central laboratory. Secondary endpoints included change in other parameters of cardiac function, such as diastolic function, stroke volume, left ventricle ejection fraction, LV volumes, left atrial area, and interior vena cava diameter. Investigators of this study concluded that a 24-hour infusion of istaroxime was associated with significant improvements in cardiac function, in both dosing groups, with a mean E/e' of -4.55 for the 0.5 microg/kg/min group and -3.16 for the 1.0 microg/kg/min group, compared with mean placebo E/e' ratios of -1.55 and -1.08, respectively. Twenty-four-hour infusions of istaroxime were also associated with substantial increases in stroke volume in both dosing groups, with a mean SVI value of 5.33 ml/beat/m2 for the 0.5 microg/kg/min group and 5.49 ml/beat/m2 for the 1.0 microg/kg/min group, compared with the mean placebo SVI of 1.65 ml/beat/m2 and 3.18 ml/beat/m2, respectively. Importantly, subjects also maintained or increased systolic blood pressure, with a mean change in SBP of 2.82 mmHg for the 0.5 microg/kg/min group and 6.1 mmHg for the 1.0 microg/kg/min group, compared with the mean placebo SBP values of -2.47 mmHg and 2.7 mmHg, respectively. Istaroxime was generally well tolerated. Istaroxime did not appear to be associated with an increase in risk for arrhythmias or increases in cardiac troponin T. Cardiovascular related adverse events were 23 percent for placebo, 10 percent for istaroxime low dose, and 18 percent for istaroxime high dose with cardiac failure occurring in 3 percent, 5 percent and 8 percent of placebo, low and high dose of istaroxime patients, respectively. The most common adverse drug reactions reported included pain at infusion site, generally associated with use of short catheters, and dose-related gastrointestinal adverse events in 5 percent, 10 percent and 35 percent of placebo, low and high dose istaroxime, respectively.

The toxicology studies were conducted in rodent and non-rodent species for six and nine months, respectively. SCYNEXIS remains on track to submit its first New Drug Application to the FDA in 2020. Many fungal infections, including chronic pulmonary aspergillosis, bone fungal infection, chronic disseminated candidiasis, chronic mucocutaneous candidiasis and prophylaxis, require long-term antifungal therapy. Regulatory guidelines recommend that drugs intended for long-term use be tested for their safety in rodent and non-rodent species for six and nine months, respectively, in order to identify toxicities that may not have been seen in shorter-term studies but may arise after long-term exposure. Oral ibrexafungerp, administered chronically in these long-term toxicology studies, was not associated with any new safety findings. These results, together with the reproductive and developmental toxicity studies recently reported, complete the core nonclinical toxicology package necessary to support our first NDA planned for 2020.

08:17 EDT Mack-Cali Realty calls Bow Street's statements 'misleading', 'outright lies' - Mack-Cali Realty Corporation responded to a letter sent by Bow Street Special Opportunities Fund XV to Mack-Cali stockholders. The company said, "During the course of its self-serving and deceptive campaign, Bow Street has repeatedly used false and misleading statements to disparage the Company's Board of Directors and disguise Bow Street's self-interested objectives...Mack-Cali believes it is important to set the record straight about the misleading statements and outright lies contained in Bow Street's letter...In its letter, Bow Street again claims that its objective is to create value for all Mack-Cali stockholders and attempts to portray itself as a long-term investor whose interests are aligned with those of long-term Mack-Cali stockholders. In reality, however, Bow Street is a recent stockholder who began to accumulate Mack-Cali shares just a few months before launching a proxy contest to facilitate its grossly inadequate, illusory, unfinanced and unworkable proposal to acquire the Company's premium office assets at a price far below their fair market value. Despite Bow Street's claims that it has "repeatedly called on the Board to establish a truly independent committee tasked with evaluating all strategic alternatives," Bow Street is not interested in any strategic alternatives other than a "fire sale" of the Company or its premium assets...In its letter, Bow Street falsely states that Mr. William Mack, Chairman of the Mack-Cali Board of Directors, "has competed directly against Mack-Cali for assets." These baseless claims are nothing more than deliberate lies designed to disparage Mr. Mack's character and reputation...In its letter, Bow Street falsely claims that over the last several weeks, the Mack-Cali Board was presented with "credible third-party proposals to acquire all or meaningful portions of Mack-Cali for all-cash consideration" and that the Board "explicitly discouraged suitors." These statements are outright lies...As previously announced, following the Company's upcoming Annual Meeting of Stockholders, the Mack-Cali Board intends to form a committee of independent directors to conduct a review of the Company's strategy, asset portfolio and business opportunities to ensure that all available alternatives for continuing stockholder value creation are carefully and thoughtfully considered. The Board's decision to form the Strategic Review Committee is the result of an ongoing, constructive dialogue between the Company and its stockholders and demonstrates that the Board remains open-minded and is not opposed to any action that is in the best interests of Mack-Cali stockholders. Contrary to Bow Street's baseless assertions, the Strategic Review Committee will have full authority to conduct an independent review of all available alternatives for maximizing stockholder value, including a potential sale of the Company... The Mack-Cali Board believes that the formation of the Strategic Review Committee will allow the Company to be responsive to the wishes of Mack-Cali stockholders and ensure that all available alternatives for maximizing stockholder value are carefully and thoroughly considered."

07:45 EDT Biogen announces new interim data from EVOLVE-MS-1 study - Biogen (BIIB) announced new interim data from the ongoing open-label EVOLVE-MS-1 study indicate that the investigational treatment diroximel fumarate was generally well tolerated in people with relapsing multiple sclerosis, or MS. Diroximel fumarate, an oral fumarate candidate in development with Alkermes (ALKS), is under review with the FDA with a Prescription Drug User Fee Act target action date in Q4. Biogen intends to market diroximel fumarate under the conditionally approved brand name Vumerity. EVOLVE-MS-1 is an ongoing, single-arm, open-label, two-year, Phase 3 study evaluating the safety and exploring the efficacy of diroximel fumarate in patients with relapsing-remitting MS. The study plans to enroll approximately 1,000 patients. Interim results from 696 patients treated with diroximel fumarate for a median of approximately one year were presented in safety and efficacy analyses at the CMSC meeting. Researchers explored the efficacy of diroximel fumarate in a sub-group analysis of EVOLVE-MS-1 that included patients naive to prior disease-modifying therapy treatment or those previously treated with an interferon, or IFN, or glatiramer acetate, or GA. New results in patients treated with prior IFN/GA showed that diroximel fumarate was associated with improvements in radiological and clinical endpoints over one year compared to baseline. Adjusted annualized relapse rate was reduced by 72% with diroximel fumarate between baseline and Week 48. Additionally, the mean number of gadolinium-enhancing, or Gd+, lesions was reduced by 64% with diroximel fumarate compared to baseline and the percentage of patients with no Gd+ lesions at Week 48 was 89% compared to 74% at baseline. Additional new data illustrate the tolerability profile of diroximel fumarate in relapsing-remitting MS patients over one year. In the study, diroximel fumarate demonstrated low rates of gastrointestinal, or GI, adverse events leading to discontinuation. The incidence of GI adverse events in patients treated with diroximel fumarate over the one-year treatment period was 30.9%. The GI events were generally mild or moderate in severity, typically appeared within the first month of treatment and tended to resolve quickly in the vast majority of patients. The data presented at CMSC add to the current knowledge base of diroximel fumarate and the interim results Biogen shared at the American Academy of Neurology annual meeting earlier this month on the potential safety and effectiveness of diroximel fumarate in relapsing MS, particularly in newly diagnosed patients. In addition, the GI tolerability of diroximel fumarate as compared to dimethyl fumarate is being evaluated in the ongoing EVOLVE-MS-2 study, with results expected later this year.

07:07 EDT Duke Energy announces plan to decommission retired Florida plant by 2027 - Duke Energy announced a plan to decommission its previously retired Crystal River Nuclear Plant in Florida by 2027 - nearly 50 years sooner than originally scheduled. The plan has no impact on customer bills. Duke Energy's accelerated decommissioning plan is subject to approval by the U.S. Nuclear Regulatory Commission and the Florida Public Service Commission. The process will take about a year to complete. If approved, decommissioning work will begin in 2020 and end in 2027. Duke Energy previously announced its decision to retire the plant on Feb. 5, 2013, and to decommission it by 2074. To perform the work, Duke Energy has contracted with Accelerated Decommissioning Partners, a joint venture between NorthStar Group Services and Orano USA. The contract structure provides Duke Energy customers financial protection and transfers project execution risks to Accelerated Decommissioning Partners, including potential cost overruns and unknown conditions. Accelerating the decommissioning also allows for faster restoration and redevelopment of the nuclear plant property for Duke Energy's reuse one day. The company has not yet determined how it might repurpose the property but has no plans to sell it. The company said, "Duke Energy is pursuing accelerated decommissioning for two reasons. First, the trust fund that pays for the decommissioning, a Nuclear Regulatory Commission requirement, is currently sufficient to accelerate the plant's decommissioning without increasing customer bills. Duke Energy's trust fund had about $717 million as of March 31, 2019. Accelerating the nuclear plant's decommissioning also gives Duke Energy a potential opportunity to return the majority of unused trust fund dollars back to customers more than three decades sooner than the current 60-year decommissioning model. Second, Duke Energy has cost-effectively completed the initial phase of decommissioning, placing the plant in an ideal condition to attract bidders to complete the work. This progress, coupled with increased competition in the industry, has lowered decommissioning costs, making the accelerated model financially feasible."
