The Rebuild Alabama Act provides for a ten-cent increase in Alabama's tax on gasoline and diesel fuel that will be phased in over three years, with an increase of six cents per gallon on October 1, 2019, two cents per gallon on October 1, 2020, and two cents per gallon on October 1, 2021. Beginning in 2023, the tax will be tied to the National Highway Construction Cost Index and will be subject to automatic adjustments of up to one cent every two years. The law, which represents the first increase in Alabama's gas tax since 1992, is expected to generate approximately $320M in additional annual funding for investment in Alabama's roads and bridges when fully implemented.

As of August 2019, the amount increases to 300 kilograms per month, with an option to increase to 500 kilograms per month. Following the ODAC meeting, at the FDA's request, Karyopharm submitted additional, existing clinical information as an amendment to the NDA, which allowed the FDA to extend the PDUFA action date by three months.

11:03 EDT FDA approves new indication for Abbott's MitraClip - The U.S. Food and Drug Administration approved a new indication for a heart valve repair device that is intended to reduce moderate-to-severe or severe mitral regurgitation, a leakage of blood backward through the mitral valve into the heart's left atrium that can cause heart failure symptoms such as shortness of breath, fatigue and swelling in the legs. When first approved in 2013, the MitraClip Clip Delivery System was indicated to reduce mitral regurgitation in certain patients whose significant mitral regurgitation and heart failure symptoms result from abnormalities of the mitral valve and whose risks for mitral valve surgery are prohibitive. 09:29 EDT Kitov Pharmaceuticals to acquire clinical stage candidate CM-24 - Kitov Pharma announced it has signed an agreement to acquire FameWave, a privately held biopharmaceutical company developing CM-24, a clinical stage monoclonal antibody targeting CEACAM1, a novel immune checkpoint. Kitov is planning initiation of a Phase I/II study in early 2020 to evaluate the safety and efficacy of CM-24 in combination with an anti PD-1 inhibitor. Kitov to host a conference call to discuss the transaction. Preclinical studies provide strong justification for CM-24's mechanism of action in activating the immune system through multiple pathways as validated by world renowned researchers at Harvard Medical School and MIT, in an article published in Nature as well as by Prof. Gal Markel from the Tel Hashomer Medical Center. Additional preclinical studies showed that a combination of CM-24 with a PD-1 antibody resulted in a synergistic anti-cancer effect. Kitov plans to explore higher doses and to test CM-24 in combination with an anti PD-1 inhibitor. A significant amount of data is available for the existing Investigational New Drug to support the continuation of the clinical studies. FameWave will enter into a joint clinical collaboration agreement, which is now in an advanced stage of negotiation with a major pharmaceutical company, for a planned Phase I/II study of CM-24 in combination with a PD-1 antibody in early 2020, with preliminary data expected in late 2020. As part of the agreement, three leading life science focused investment funds, Orbimed, Pontifax, and Arkin Holdings, who collectively hold approximately 90% of FameWave, will invest $3.5M in Kitov in exchange for newly issued ADSs of Kitov, priced at $1.23 per ADS. Following this investment and the FameWave share exchange transaction, Orbimed, Pontifax, and Arkin Holdings will each hold approximately 10% of Kitov's shares on a fully diluted basis. Kitov is also currently in discussions with a number of leading healthcare-focused institutional investors, which have expressed interest in investing in Kitov following completion of the acquisition. Kitov is acquiring 100% of FameWave from its shareholders in exchange for $10M worth of its newly issued ADSs with a long term lock-up period, priced at $1.23 per ADS, plus 50% warrant coverage based on an exercise price of $1.98 per ADS with a 4-year term. In addition, Kitov will provide a loan to FameWave of up to approximately $2M in to be paid to cCAM BioTherapeutics,which discovered CM-24, or to repay certain loans provided by FameWave's shareholders. In an initial Phase I dose ranging study of CM24 as single agent, no efficacy signals were detected and the decision was made to discontinue development, although such decision was not due to any known safety risks. MSD is therefore returning the rights to CM-24 to former cCAM shareholders and founders of FameWave. Based on a review of the Phase I study results by external scientific advisors retained by Kitov, coupled with their assessment that CM-24 was found to be generally safe, Kitov plans to explore higher doses in order to reach receptor saturation, and test CM-24 in combination with an anti PD-1 inhibitor in a well-defined patient population. The transaction has been approved by the boards of Kitov and FameWave and is expected to close during 3Q19, subject to: approval of Kitov shareholders; closing of the transaction for the return of CM-24 to FameWave by MSD; finalization by FameWave of the joint clinical collaboration agreement; and satisfaction of other customary closing conditions. Should the complete transaction not close, Kitov will be entitled to repayment of the amounts loaned by Kitov out of amounts actually received by FameWave from commercialization transactions of CM-24. If no such commercialization transaction is consummated within 36 months from termination, Kitov will be entitled to 20% of FameWave in return for the approximately $2M loan which was previously provided. Furthermore, should the transaction not close due to the failure of FameWave to finalize the clinical collaboration agreement, or the failure of certain other closing conditions to be fulfilled by the current shareholders of FameWave, then Kitov will be entitled to 100% of FameWave in return for the approximately $2M loan which was previously provided.

The devastating loss of lives, homes and businesses is tragic, and SCE will continue to provide assistance and support to those affected by wildfires. The safety of our customers, our employees and our communities remains our most important focus. SCE believes evidence shows there were at least two separate ignitions on Dec. 4, 2017, that led to two fires that together are commonly referred to as the Thomas Fire - one in the Anlauf Canyon area of Ventura County and another near Koenigstein Road in the city of Santa Paula. Based on currently available information, SCE has not determined whether its equipment caused the ignition in the Anlauf Canyon area. SCE has evidence that the ignition at Anlauf Canyon started at least 12 minutes prior to any issue involving SCE's system and at least 15 minutes prior to the start time indicated by VCFD in its report. SCE provided this evidence to CAL FIRE and VCFD investigators; however, the report does not suggest this evidence was considered. SCE believes the Anlauf Canyon ignition may have been independently responsible for a significant portion of the Thomas Fire damages. SCE also is not aware of any basis for criminal liability. Separately, the company previously disclosed that its equipment appears to have been associated with the Koenigstein ignition. The specific cause cannot be determined until SCE can analyze the equipment currently in CAL FIRE's possession and any other evidence that may be described in a separate report, relating to the Koenigstein ignition, which has not yet been issued. SCE fully cooperated with fire officials throughout their investigation."

08:41 EDT Atossa Genetics gets FDA 'Safe to Proceed' letter for patient use of Endoxifen - Atossa Genetics announced that the FDA has issued a "Safe to Proceed" letter under their "expanded access" program permitting the use of Atossa's oral Endoxifen as a post-mastectomy treatment in a pre-menopausal, estrogen-receptor positive, or ER+, breast cancer patient. This patient completed a 3-week course of Atossa's oral Endoxifen prior to her surgery under an FDA-approved expanded access program. The tumor activity from the initial biopsy was compared to the tumor activity at surgery, finding that the cancer cell biological activity was reduced by two measures: the Ki-67 activity decreased by 50% and the estrogen receptor content decreased by over 20%. There were no safety or tolerability issues, including vasomotor symptoms such as hot flashes and night sweats. The latter symptoms are often a tolerability challenge for patients on tamoxifen. The importance of Ki-67 as a marker of estrogen-receptor breast cancer cell activity has evolved over the past few years. In a 2017 peer-reviewed paper in which a meta-analysis was conducted and included 49 studies and 14,046 patients, five studies reported and compared the change of Ki-67 following pre-surgery hormonal therapy treatment and the disease-free survival, or DFS. The authors reported that from their analysis, a Ki-67 change that is either low or none, as well as an increase, is associated with worse DFS. The reduction of Ki-67 in the tumor of the patient who received oral Endoxifen prior to her mastectomy is considered large, based on the criteria of this paper. Under the FDA expanded access IND program, the use of Atossa's proprietary oral Endoxifen is restricted solely to this patient. Approval from the Institutional Review Board must be obtained prior to providing oral Endoxifen to this patient.

Without Progenics' knowledge or consent, the invention claimed in the worldwide patent filings was exclusively licensed to ABX GmbH, and, thereafter sub-licensed to Endocyte, which was recently acquired by Novartis. MIP filed a complaint against the University in the District Court of Mannheim in Germany. On February 27, Endocyte, a wholly owned subsidiary of Novartis, filed a motion to intervene in the German litigation. Endocyte is the exclusive licensee of the patent rights that are the subject of the German proceedings. On December 10, 2018, the European Patent Office granted MIP's request and stayed the examination of these patent applications effective November 27, 2018. MIP's filing with the USPTO takes the position that, in light of the collaboration and contracts between MIP and the University, MIP is the co-owner of these pending U.S. patent applications.

This approval is based on data from the Phase 3 Keynote-407 trial, which demonstrated that Keytruda in combination with chemotherapy significantly improved overall survival in adults with metastatic squamous NSCLC regardless of PD-L1 tumor expression status, reducing the risk of death by 36% compared to chemotherapy alone. The approval allows marketing of the Keytruda combination in all 28 EU member states plus Iceland, Lichtenstein and Norway, at the approved dose of 200 mg every three weeks until disease progression or unacceptable toxicity.

In the letter, the long-term stockholders called on the board to engage with them to address the company's ongoing "value destruction" by bringing in new and independent board members and tendering for up to $700M of the company's common stock. The letter said, "... While we applaud the Board for running a strategic process, we are left with many questions and concerns about the inability of the Board to sell a company that currently trades at an estimated EV/EBITDA of 1.12x, based on estimated pro forma cash of $1.53 billion, debt of $825 million at 1/31/2019, a current market capitalization of $1.17 billion and pro forma estimated 2018 EBITDA of $431 million. While there are countless reasons a process can end without a sale, the inability of the Board to attract reasonable offers for the Company is a failure and suggests that meaningful introspection and change is needed.
