Campbell Soup (CPB) and Daniel Loeb's hedge fund Third Point are close to an agreement over composition of the food company's board of directors that will end a proxy contest that was due to come to a head this week, according to Reuters, citing a person familiar with the matter. Under the deal being negotiated, Third Point will have two of its nominees appointed to Campbell Soup's board and will be given a say over who will be the company's new CEO, source said. The two Third Point nominees to join Campbell Soup's board would be comScore (SCOR) president Sarah Hofstetter and former Blue Buffalo CEO Kurt Schmidt, the report added. 3. Target (TGT) plunged 11% after the company fell short of estimates for same-store sales and earnings in its third-quarter report and it is down 15.5% for the week, but is unlikely that the business is really that bad, Jack Hough wrote in the week's edition of Barron's. More likely, investors want out of retail stocks because the entire stock market has looked balky of late, the report added. Bargain hunters might want to look beyond this past week's market carnage and lock in a discount on Target stock, Hough argued. 4. Disney's (DIS) "Ralph Breaks the Internet" topped the Wednesday-Sunday chart with $84.5M from 4,017 theaters, the second-best opening of all time for the five-day corridor behind fellow Disney's blockbuster "Frozen," not adjusted for inflation. The movie earned an A- CinemaScore and sports an 86% Rotten Tomatoes score. 5. Summer Nuclear costs - Plaintiffs Richard Lightsey, LeBrian Cleckley, and Phillip Cooper have reached an agreement with Scana (SCG) and South Carolina Electric & Gas Company to settle a lawsuit filed in the state Court of Common Pleas in Hampton County on behalf of themselves and current and former SCE&G electric customers. The settlement addresses these customers' claims and the Attorney General's arguments related to the Base Load Review Act. Scana and SCE&G deny the allegations made in the lawsuit, but have agreed to resolve this matter. Scana and SCE&G have agreed to a Common Benefit Fund comprised of the following amounts, to be distributed to the class members: a credit of up to $2B in future electric rate relief will inure to the benefit of the Common Benefit Fund in favor of class members over a period of time established in the proceeding pending before the Public Service Commission of South Carolina; and a cash payment of $115M, which will include the full value of the Scana rabbi trust funded in January 2018 that was created in whole or in part for executive change-in-control payments; and transfer of SCE&G owned real estate or sales proceeds from the sale of real properties, including among others, the Ramsey Grove Plantation; the original Charleston Gas & Light Building at 141 Meeting Street in Charleston; and certain Otarre properties in Cayce. Distribution of any settlement funds is subject to court approval, as well as a final order by the PSC approving a merger between Scana Corporation and Dominion Energy (D), and a closing of the proposed merger between the parties.
