The merger remains contingent upon approval from the Public Service Commission of South Carolina, which has been holding evidentiary hearings since Nov. 1, 2018. A decision is expected by Dec. 21, 2018. If the combination is completed, as expected, around the end of the year, the combined company would deliver energy to approximately 6.5 million regulated customer accounts and have an electric generating portfolio of about 33,000 megawatts and 93,600 miles of electric transmission and distribution lines. It also would have a natural gas pipeline network totaling 106,400 miles and operate one of the nation's largest natural gas storage systems with 1 trillion cubic feet of capacity.

Under the terms of these agreements, Societe Generale has agreed to pay penalties totaling approximately $1.3B to the U.S. authorities, including $53.9M to OFAC, $717.2M to SDNY, $162.8M to DANY, $81.3M to the Federal Reserve, and $325M to DFS. "This amount is entirely covered by the provision for disputes booked in Societe Generale's accounts. These agreements will not have an additional impact on the Bank's results for 2018," the company added. The bank has signed deferred prosecution agreements with SDNY and DANY, which provide that, following a three-year probation period, it will not be prosecuted if it abides by the terms of the agreements, to which Societe Generale said it is fully committed. The bank has also "committed to continue to enhance its compliance program to prevent and detect potential violations of U.S. economic sanctions laws and New York state laws."

Safety and efficacy were monitored for up to 27 weeks and included Expanded Disability Status Scale, or EDSS, score, fatigue, cognitive and other neurological assessments as well as analysis of magnetic resonance imaging and cerebrospinal fluid, or CSF, immunoglobulin G , or IgG, production. Prior to ATA190 T-cell immunotherapy, patients had experienced progressive neurological deterioration for a mean of 10.1 years. ATA190 was well-tolerated and no severe adverse events were observed in the study. Adverse events of grade 1 or 2 severity occurred in two participants, with only one grade 1 dysgeusia definitely related to treatment. Seven patients in the study showed symptomatic and objective neurological improvement, which commenced two to 14 weeks after the first infusion. Reduction in fatigue, one of the most frequent and disabling symptoms of MS, was a consistent and prominent feature in patients showing neurological improvement. Reactivity of ATA190 against target EBV antigens as well as other mechanistic markers of T cell function were assessed. Six participants in the study who received ATA190 with strong EBV reactivity experienced clinical improvement, including three with decreased EDSS scores. One of four participants who received ATA190 with weak EBV reactivity showed improvement and no change in EDSS score was observed. One of ten patients had neurological deterioration during the study.

The highest dose tested is 4 multiples of the highest dose being used in the ongoing Phase 3 trial with this compound, under development for the treatment of negative symptoms of schizophrenia. The primary objectives of the study included the evaluation of the pharmacokinetics, dose-proportionality and the effect of plasma concentrations of roluperidone and its main metabolites on pharmacodynamic parameters using electrocardiogram, or ECG, Fridericia-corrected QT interval, or QTcF, a measurement of cardiac function. Secondary objectives included evaluation of safety and tolerability. A third objective was to provide an estimate of the supra-therapeutic dose to be used in the thorough QT study planned as part of the new drug application. The trial included a total of 90 subjects. 72 received 7 different doses of roluperidone, and 18 received placebo. All subjects who were dosed completed the study as planned except for one male subject who received placebo and subsequently withdrew his consent. The pharmacokinetics of roluperidone and its metabolites were dose proportional. No QTcF duration greater than 480 milliseconds or increases greater than 60 milliseconds compared to baseline values were observed in any subject. The 160 mg dose was the only roluperidone dose to show an adjusted QTcF mean increase from baseline of 10.7 msec. All other doses showed means -1.3 to 5 msec. No significant change in repolarization was observed. Two subjects in the placebo group and nine subjects in the roluperidone group reported adverse events that were mild to moderate in severity and resolved without sequelae. Doses up to 160 mg or 2.5 multiples of the highest dose being tested in the ongoing Phase 3 trial had no effect on any cardiac safety parameters. Slight but not clinically relevant increases in heart rate were observed in the placebo group and some of the roluperidone doses. No serious adverse events were reported.

The properties, 95% of which are operated, currently produce 800 boe/d from 20 wells. Estimated annualized EBITDAX from this level of production is $6M. The effective date of the acquisition is August 1, 2018. Lonestar has identified 26 Lower Eagle Ford drilling locations, with additional drilling potential in the Upper-Lower Eagle Ford, the Upper Eagle Ford and the Austin Chalk. Lonestar internally estimates that Proved reserves associated with the acquisition total 13.0 MMBOE, 3.2 MMBOE of which is Proved Developed Producing. 100% of these reserves are associated with the Lower Eagle Ford Shale. Based on the NYMEX Strip on November 15th, the Proved reserves have PV-101 of $77M. To account for the additional volumes associated with the acquired producing wells, Lonestar is raising its 2019 outlook. The company is increasing its 2019 production outlook from a range of 13,000 - 14,000 boe/d to 13,700-14,700 boe/d and increasing its 2019 EBITDAX outlook from a range of $140M-$160M to $145M-$165M.

Under the terms of the definitive merger agreement, Resolute shareholders will have the right to receive 0.3943 shares of Cimarex common stock, $35 per share in cash, or a combination of $14 per share in cash and 0.2366 share of common stock. The amount of stock and cash is subject to proration for total stock and cash mix of 60% and 40%, respectively. The consideration represents an approximate 14.8% percent premium to Resolute's closing price of $30.49 on November 16. Upon closing of the transaction, Cimarex shareholders will own approximately 94.4% of the combined company, and Resolute shareholders will own approximately 5.6%. The transaction, which is expected to be completed by the end of Q1 2019, is subject to the approval of Resolute shareholders, and the satisfaction of certain regulatory approvals and other customary closing conditions. The cash portion of the transaction is expected to be funded through a combination of cash on hand and borrowings under Cimarex's revolving credit facility. Upon closing, the board and executive team of Cimarex will remain unchanged. The resulting capital structure is consistent with Cimarex's strategy of maintaining a conservative financial position and is expected to have no impact on the company's investment grade credit rating.

Vemlidy is a novel, targeted prodrug of tenofovir that has demonstrated antiviral efficacy similar to Gilead's Viread 300 mg but at one-tenth of the dose. Data show that because Vemlidy has greater plasma stability and more efficiently delivers tenofovir to hepatocytes compared to Viread, it can be given at a lower dose, resulting in less tenofovir in the bloodstream. In clinical trials, Vemlidy demonstrated improved renal and bone laboratory safety parameters compared to Viread.
