18:56 EDT Class action suit filed against Elon Musk, Tesla - Keller Lenkner LLC announced that a class action has been commenced on behalf of all purchasers of securities of Tesla after 12:48pm eastern standard time on August 7, 2018 through and including August 8, 2018. The action was filed in the Northern District of California and is captioned Kalman Isaacs v. Elon Musk, et al., No. 3:18-cv-04865. The complaint charges that defendant Elon Musk, the company's Chairman and CEO, and Tesla, violated the Securities Exchange Act of 1934 by issuing false and misleading statements regarding Musk taking the company private. In particular, and importantly, at 12:48pm eastern standard time on August 7, 2018, Musk issued a statement via Twitter that "funding" for the deal had been "secured." In reaction to Musk's Tweet, the price of Tesla's stock soared to an intra-day high of $387.46, $45.47 above the previous day's closing price, closing at $379.57 per share. Musk, however, was not telling the truth. Rather, he had Tweeted to decimate the company's short-sellers who were forced to cover their positions over the succeeding days at artificially inflated prices. Indeed, the price of Tesla stock also remained inflated throughout the next day, August 8, 2018. The plaintiff is represented by Keller Lenkner.

Galafold is an oral, precision medicine for the treatment of adults with a confirmed diagnosis of Fabry disease and an amenable galactosidase alpha gen variant based on in vitro assay data. Galafold was approved under the Subpart H Accelerated Approval pathway based on reduction in kidney interstitial capillary cell globotriaosylceramide substrate. As a condition of accelerated approval, Amicus Therapeutics will continue to study Galafold in a confirmatory Phase 4 program. Galafold is a capsule taken once every other day, at the same time of day. The FDA has approved Galafold for 348 amenable GLA variants. Galafold is the first oral medicine for Fabry disease, and the first new therapy approved to treat Fabry disease in the United States in more than 15 years. Fabry disease is a rare, progressive genetic disorder characterized by a defective gene that causes an enzyme deficiency. This enzyme is responsible for breaking down disease substrate that, when deficient in patients with Fabry disease, builds up in the kidneys, which is one of the organ systems impacted by Fabry disease. In the U.S., it is estimated that more than 3,000 people are living with Fabry disease, and an estimated more than 50 percent of these diagnosed patients are currently untreated. Globally, it is estimated that 35 to 50 percent of Fabry disease patients may have an amenable GLA variant. Amicus Therapeutics will launch Galafold immediately, and will begin shipping to a limited distribution network in the coming week.

The ACA mandates that private health plans provide coverage with no out-of-pocket costs for one treatment per class of in each of the classes identified by the FDA for women in its Birth Control Guide. The company is also adding primary country location and Page merge details to the Page Info tab it introduced in June. Now, people who manage these Pages will be asked to complete an authorization process in order to continue to post, making it harder for people to administer a Page using a fake or compromised account. Authorization asks people who manage these Pages to secure their account with two-factor authentication and confirm their primary country location. If a Page manager requires authorization, they'll receive a notice at the top of their News Feed to begin the process. This should only take a few minutes to complete. People won't be able to post on their Page if they don't complete the process. Enforcement will follow shortly this month. People will also start seeing more details in the Info and Ads section of Pages. Going forward, the company will show when a Page has merged with another Page under Page History and will add a section called People Who Manage This Page, which will surface the primary country locations Pages are managed from, initially appearing on Pages with a large US audience. 13:03 EDT Aegon to divest last block of U.S. life reinsurance business - Aegon announced it has agreed to divest the last substantial block of its life reinsurance business to SCOR Global Life. Under the terms of the agreement, Aegon's Transamerica life subsidiaries will reinsure approximately $700M of liabilities through SCOR Global Life. The transaction covers the last substantial block of life reinsurance business that Transamerica retained after it divested the vast majority of its reinsurance business to SCOR Global Life in 2011 and 2017. It is expected that the transaction has a one-time benefit of approximately $50M on Transamerica's capital position and a slightly positive effect on recurring capital generation. As a result of the transaction, Aegon will significantly reduce the size of a related captive insurance company and the related letter of credit facility in place to finance redundant reserves, generally referred to as XXX term life insurance reserves. "Future underlying earnings are not affected by this transaction as earnings of this block of reinsurance business are part of run-off businesses, which are not included in underlying earnings before tax. The transaction is expected to result in a pre-tax IFRS loss of approximately $105M, or EUR90M, and will be reported in Other charges in the second half 2018 results," Aegon said.

12:26 EDT BWS backs hold on Avid Technology following weak Q2 results - Shares of Avid Technology (AVID) declined on Friday after the company reported quarterly results, reiterated its full year guidance, and instituted a new cost savings initiative. WHAT'S NEW: After the close last night, Avid Technology reported a second quarter loss per share of (20c) on revenue of $98.6M, compared to last year's Q2 results of (26c) and $102.37M, respectively. Bookings for the quarter were $110.3M, an increase of 12% year-over-year and 9% sequentially. The company noted that it saw continued strong software revenue growth from subscription and e-commerce sales in the quarter. Looking ahead, Avid reaffirmed and narrowed its FY18 revenue view to $410M-$420M from $404M-$434M. Analysts expect Avid to report FY18 revenue of $409.9M. The company noted that the guidance reflects the adoption of the new revenue recognition standard ASC 606 as of January 1, 2018. With the reaffirmation of its annual guidance, the company said it will not be issuing quarterly guidance for the balance of the year. SAVINGS PLAN: Additionally, Avid CFO Ken Gayron said that the company's leadership team is executing on a new $20M non-personnel-related savings plan that he expects will "directly improve" the company's EBITDA and free cash flow. STREET RESEARCH: After the report, BWS Financial analyst Hamed Khorsand maintained a Hold rating and $5 price target on the stock, saying that the quarter marked the second straight quarter where Avid experienced an issue in the business for "not fully achieving their goals in the quarter." The analyst noted that the stock could end up trading near the $5 level for another three months until the firm reports Q3 results. Investors would be "well served" to watch from the sideline until there is some "tangible" improvement in revenue and free cash flow, Khorsand contends in the note. PRICE ACTION: In afternoon trading, shares of Avid Technology are off earlier lows, but are still down 3.2% to $5.40.

The upgraded PAC-3 MSE expands the lethal battlespace with a dual-pulse solid rocket motor, providing increased performance in altitude and range. PAC-3 MSE is a high-velocity interceptor that defends against incoming threats, including tactical ballistic missiles, cruise missiles and aircraft. The missile uses Hit-to-Kill technology, which engages threats through kinetic energy via body-to-body contact.

SEC DELAYS DECISION ON CRYPTO ETF: Bitcoin fell on Wednesday after the U.S. Securities and Exchange Commission postponed a decision on a proposed bitcoin exchange-traded fund, CNBC reported. Investment firm VanEck partnered with Solid X in an effort to launch an ETF backed by actual bitcoins rather than futures in VanEck's third attempt to push the ETF through after being rejected by the SEC twice previously. The SEC said it is postponing its decision until September 30. 2. GOLDMAN CONSIDERS CRYPTO CUSTODY OFFERING: Goldman Sachs (GS) is mulling a plan to offer custody for cryptocurrency funds, meaning the bank would hold the digit assets on behalf of the funds, reducing risk for clients looking to protect against the threat of losing investments to rogue attacks, Bloomberg reported Monday. Deliberations are ongoing and no timeline has been established for when the firm will roll out the services. 3. COINBASE ANNOUNCES HIGHER CRYPTO TRADING LIMITS: Coinbase said in a blog post on Tuesday: "Today we're announcing immediate trading and significantly higher default limits for Coinbase accounts...With this update, customers will receive an immediate credit for the funds being sent from their bank account. They can then buy and sell crypto to and from their USD wallet right away, but cannot send their funds off the Coinbase platform until the funds coming from their bank have settled. We are also increasing limits for the majority of our US customers. Until now, the maximum allowable purchase was $25,000 weekly. For verified customers, the limit will now be $25,000 daily, a 7x increase over our prior limits. And once your funds are transferred to Coinbase, there are no longer any limits to how much you can buy or sell at a time." 4. GSR CAPITAL TO INVEST IN TZERO: Overstock.com (OSTK) and t0.com announced Thursday that the companies have both signed term sheets with GSR Capital to invest up to $374.55M in exchange for common equity in blockchain subsidiary tZERO and common equity in Overstock.com. GSR Capital has also agreed to purchase $30M in tZERO Security Tokens. 5. SSC RAISES $12M: Seven Stars Cloud Group (SSC) announced Friday that it has raised $12M from Advantech Capital Investment II and restructured its Private Placement from GT Dollar to $10M. The company will use these investments to accelerate the adoption of its artificial intelligence and blockchain-based technologies into various business verticals. Advantech has subscribed to $12M via a Convertible Note with SSC. CRYPTO STOCK PLAYS: Cryptocurrency revenues have been pointed to as reasons to be bullish on Advanced Micro Devices (AMD) and Nvidia (NVDA) in select research. Overstock, DPW Holdings (DPW), Kodak (KODK), Seven Stars Cloud, Riot Blockchain (RIOT), Pareteum (TEUM) and Social Reality (SRAX) are other stocks that have been touted, or promoted themselves, as a way to play the crypto theme. Through this transaction, Astellas has acquired Quethera's ophthalmic gene therapy program, which uses a recombinant adeno-associated viral vector system to introduce therapeutic genes into target retinal cells for the treatment of glaucoma. The lead pre-clinical candidate of the program has demonstrated significantly improved survival of retinal ganglion cells in pre-clinical models. Under the terms of the purchase agreement, Astellas may pay up to GBP 85M in aggregate consideration (upfront and contingent payments) to Quethera shareholders to acquire Quethera. 06:12 EDT Aralez enters two purchase agreements worth $250M to sell almost all assets - Aralez announced that it intends to enter into purchase agreements with two separate stalking-horse purchasers to sell its main operating businesses: an agreement to sell its Vimovo royalties and Canadian operations to Nuvo Pharmaceuticals in a transaction valued at $110M and an agreement to sell its Toprol-XL franchise to its secured lender, certain funds managed by Deerfield Management, in a transaction valued at $140M. The company is also engaged in ongoing efforts to sell the assets not being sold in either of the proposed transactions and intends to wind down its operations following the consummation of the sales. The letters of intent signed with each of Nuvo and the company's secured lender included the material terms of each of the proposed transactions. Each proposed transaction is subject to entry into mutually agreeable definitive agreements, and in the case of Nuvo, obtaining committed financing, which is expected to be provided by the company's secured lender. Aralez has agreed to negotiate exclusively with Nuvo until August 19. Closing of each proposed transaction is subject to the receipt of applicable regulatory approvals and the satisfaction or waiver of other customary closing conditions. The proposed transactions are not conditioned on one another and will be subject to approval by the applicable courts supervising the restructuring proceedings described below. Aralez, together with its subsidiaries, intends to seek and obtain customary relief from the courts to permit it to continue to operate its business in the ordinary course without interruption during the sale process. In addition, Aralez has obtained commitments for debtor-in-possession, or DIP, financing of approximately $15M, from its secured lender, which is subject to approval of the courts. The company intends to use the proceeds from the DIP financing, in addition to cash flow from operations, to pay for all goods and services from vendors provided after the CCAA and Chapter 11 filing date in accordance with their current terms. In addition, the company and its subsidiaries have filed a number of customary pleadings seeking authorization from the courts to pay certain pre-petition obligations, support their business operations and transition them through the restructuring proceedings and the sale process. These include the payment of employee wages, salaries and benefits, and certain obligations to vendors. The sales and restructuring proceedings are the culmination of a previously announced financial and strategic review undertaken by the board of directors of the company. While the company continued to address and improve its financial profile through several cost savings initiatives, corporate restructurings and the payment In kind deferral of its July 1 interest payment until August 15, it became increasingly apparent during the course of the board's financial and strategic review, that absent the legal protection afforded through the restructuring proceedings, the company's cash position would continue to deteriorate. Following completion of the board's strategic review, after careful consideration of all available alternatives and having given due consideration to the interests of all stakeholders, the boards of directors of the company and each of its North American and Irish subsidiaries, with the assistance, input and advice from legal and financial advisors, have unanimously determined that a sale process under court supervision is in the best interests of the companies. Rob Harris, a director of the company, abstained from voting on these matters due to a potential conflict of interest relating to the ongoing sale process. In connection with the filing and to facilitate the administration of the restructuring proceedings more efficiently, the size of the board has been reduced to four members.

06:03 EDT Gemphire Therapeutics announces termination of Phase 2a trial of gemcabene - Gemphire Therapeutics announces that the Data and Safety Monitoring Board at Emory University School of Medicine overseeing the investigator-led open label Phase 2a proof-of-concept trial evaluating gemcabene in pediatric patients with non-alcoholic fatty liver disease has recommended that the trial be terminated due to unanticipated problems. This pediatric NAFLD trial was initiated in early 2018. Patients were treated with gemcabene at a dose of 300 mg once daily. The primary endpoint is a measure of the change in serum alanine transaminase, an enzyme that serves as a biomarker of liver function, from baseline to 12 weeks, and secondary endpoints include, among others, change in hepatic steatosis (liver fat) as measured by non-invasive magnetic resonance imaging - proton density fat fraction. Data on the first three patients who underwent 12 weeks of treatment showed that all three experienced an increase in liver fat content, as measured by MRI-PDFF, and demonstrated increases in ALT. The increase in liver fat was deemed an unexpected problem by the trial investigator because it was an unexpected consistent pattern of worsening of the disease, rather than improvement, creating risk to the patients, which the investigator believed was likely due to the drug. Other patients currently enrolled in the trial have now been taken off gemcabene and early termination visits are being scheduled. The DSMB has recommended additional follow-up of the study subjects to gather additional safety data. The DSMB will provide Gemphire with a written report of their findings in the future once all the patient results have been collated and analyzed.

The transaction will further advance Lydall's engineered materials offering in new markets with similar technologies utilized in our Performance Materials business. Interface is a leading globally-recognized brand that delivers complete sealing solutions with a comprehensive product portfolio, deep in-house technical capabilities and vertical integration. The transaction is expected to close in Q3, subject to the completion of specified closing conditions, including receipt of customary merger control approval from U.S. authorities. Interface's reported sales and adjusted EBITDA for the fiscal year ended December 31, 2017 were $142 million and $26 million, respectively. The business is expected to achieve sales of approximately $150 million and adjusted EBITDA of approximately $29 million in the trailing 12 months ending August 31, 2018. Lydall expects to leverage its business efficiencies, operating discipline and economies of scale to generate an estimated annual cost savings of approximately $4 million by 2020. The acquisition is expected to be accretive to Lydall's earnings, net of the effects of purchase accounting approximately six months after closing. Lydall's financial results for the Second Quarter 2018 included approximately $1.1 million of expenses related to this transaction, and it is estimated that approximately $3 million of additional non-recurring transaction and integration expenses will be incurred over the second half of 2018 and approximately $1 million in 2019. The Interface business will become part of the Performance Materials operating segment with the expectation to complete integration within one year of closing. The transaction is expected to be financed predominantly from borrowings under the company's amended credit facility; the provisions of which are being finalized with our banking partners.

05:05 EDT Qualcomm, Taiwan Fair Trade Commission reach settlement - Qualcomm announced that it has reached a mutually agreed settlement with the Taiwan Fair Trade Commission, or TFTC, resolving the TFTC's investigation of Qualcomm and Qualcomm's litigation challenging the TFTC's decision alleging violations of Taiwan's Fair Trade Act. As a result, the whole TFTC decision is replaced by the settlement terms and the decision shall be deemed revoked ab initio and Qualcomm's litigation filed in the Taiwan Intellectual Property Court is closed. As part of the resolution, Qualcomm has agreed to certain process-related commitments confirming principles of mutual good-faith and fairness in the negotiation of agreements with handset licensees to Qualcomm's cellular standard essential patents, or SEPs. The resolution does not require component-level licensing or set specific financial terms; instead it is focused on commitments that ensure good-faith negotiations for the benefit of licensees and SEP owners. As part of the settlement, the parties agreed that the approximately $93M Qualcomm paid towards the monetary fine through the end of July will be retained by the TFTC and no other amounts will be due. In addition, Qualcomm will drive certain commercial initiatives in Taiwan over the next five years for the benefit of the mobile and semiconductor ecosystem, SMEs and consumers, including 5G collaborations, new market expansion, start-up and university collaborations and the development of a Taiwanese center for operations and manufacturing engineering. Qualcomm will work with the TFTC and sister agencies within the Taiwanese government to implement these initiatives and investments.
