Anchor, headquartered in Lacey, Washington, is the parent company of Anchor Bank, with approximately $480M in assets as of March 31, 2018, primarily serving Western Washington through nine full-service banking offices within Grays Harbor, Thurston, Lewis, and Pierce counties, and one loan production office located in King County. Under terms of the Agreement, each share of Anchor common stock will receive fixed consideration consisting of 0.2921 shares of FS Bancorp common stock and $12.40 per share in cash. FS Bancorp will pay aggregate consideration of 725,585 shares of FS Bancorp common stock and $30.8Min cash. Based on the 10-day volume weighted average closing price of FS Bancorp common stock of $63.68 on July 13, 2018, the consideration value for Anchor was $77.0M, or approximately $31.00 per share. Giving effect to the merger, Anchor shareholders would hold, in aggregate, approximately 16% of FS Bancorp's outstanding common stock following the merger based on March 31, 2018 reported data. FS Bancorp expects the merger to be immediately accretive to tangible book value per share at closing and accretive to earnings per share estimates for 2019, excluding one-time transaction costs. Earnings per share accretion estimates are based off of consensus street estimates and assume costs savings of approximately 35% of Anchor's non-interest expense, with 50% of the cost savings phased-in during 2019 and 100% phased-in thereafter.

Upon the close of the transaction, NCI shareholders will own 53% of the Company's common equity, with Ply Gem shareholders owning 47%. The transaction is generally expected to be tax-free to the Ply Gem owners for U.S. federal income tax purposes. On a combined basis for calendar year 2018, the company is expected to generate revenue of approximately $4.5B and Pro Forma Adjusted EBITDA of $660M-$680M, including run-rate synergies and cost savings. The company expects that, after three years following close, cost reduction initiatives and merger-related synergies will yield over $150M in annual cost savings. Clearly scoped standalone cost reduction initiatives are already well underway at both NCI and Ply Gem. Combination-specific synergies include manufacturing efficiencies and procurement and general & administrative savings. The transaction is expected to be immediately accretive to adjusted cash earnings per share and free cash flow. "These consultancies are rising fast by gaining a foothold in marketing departments and wooing chief marketing officers with their vast array of strategic and data analytics solutions to big business problems that traditional advertising can no longer solve alone. And in some cases, they are layering on creative services and content marketing, putting them solidly on the same turf as traditional shops," AdAge said. In another signal that its pitched battle with the e-commerce giant is intensifying, the world's largest retailer is also reportedly considering launching a subscription streaming video service to compete with Prime Video and Netflix (NFLX). CLOUD PARTNERSHIP: Walmart announced it is establishing a strategic partnership with Microsoft to "further accelerate Walmart's digital transformation in retail, empower its associates worldwide and make shopping faster and easier for millions of customers around the world." Through this partnership, Walmart has chosen Microsoft as its preferred and strategic cloud provider. Walmart, which is already using Microsoft services for critical applications and workloads, will now embark on a broad set of cloud innovation projects that leverage machine learning, artificial intelligence, and data platform solutions for a wide range of external customer-facing services and internal business applications. In a five-year agreement, Walmart has selected the full range of Microsoft cloud solutions, including Microsoft Azure and Microsoft 365, for enterprise-wide use to help standardize across the company's family of brands. As part of the partnership, Walmart and Microsoft engineers will collaborate on the assessment, development, and support phase of moving hundreds of existing applications to cloud native architectures. SUBSCRIPTION STREAMING VIDEO SERVICE: According to The Information, Walmart is considering launching a subscription streaming video service to compete with Netflix and Amazon Prime Video, even though such a move could be "enormously costly" for the retailer. Walmart is thinking of a service priced below $8 per month, a source told the publication. WHAT'S NOTABLE: Walmart already owns a video streaming service called Vudu, which the retailer fully integrated with Walmart.com back in 2011, allowing for customers to shop for digital titles. The service is closer to Apple's (AAPL) iTunes model than Netflix or Hulu Plus, as rather than stream movies based on a monthly subscription, users are able to rent individual titles or purchase them outright. UPS began preliminary tests in Manhattan earlier this year and has now expanded to Brooklyn. The system works like this: A UPS driver taking packages to a Latch-enabled building receives a unique credential on a handheld UPS Delivery Information Acquisition Device. The credential works only for a specific building receiving deliveries. Any time a driver uses a credential to enter a building, Latch records the entry digitally to create an audit trail that identifies the user and the time of access, establishing a secure record of the transaction. Latch's smart access system lets residents and others use smartphones to unlock doors throughout a building, including at the main entrance. An embedded wide-angle camera within each device captures a visual record of every interaction by a non-resident that authorized users can monitor from the Latch mobile app. UPS, however, is using Latch systems only to enter buildings, not individual apartments. Residents can use Latch to enter the building and to manage guest access. To manage deliveries, they use the UPS My Choice mobile app or website.

The presentation will highlight the efficacy, safety and tolerability data from the completed Phase 2 clinical trial. The ASBMR 2018 annual meeting is being held September 28 - October 1, 2018 in Montreal, Quebec, Canada. VK5211, Viking's lead program for musculoskeletal disorders, is an orally available, non-steroidal selective androgen receptor modulator designed to selectively stimulate muscle and bone formation with reduced activity in peripheral tissues such as skin and prostate. The Phase 2 clinical trial was a randomized, double-blind, placebo-controlled, parallel group, international study designed to evaluate the efficacy, safety and tolerability of VK5211 in patients recovering from hip fracture surgery. As previously reported, the top-line data from this study showed that the trial successfully achieved its primary efficacy endpoint, demonstrating statistically significant, dose dependent increases in lean body mass, less head, among patients treated with VK5211, as compared to placebo. The study also achieved important secondary endpoints, demonstrating statistically significant improvements in appendicular lean body mass and total lean body mass compared to placebo. Patients receiving VK5211 also demonstrated numerical improvements in certain exploratory assessments of functional performance. VK5211 demonstrated encouraging safety and tolerability, with no drug-related serious adverse events reported in this study. Shares of Viking Therapeutics are down 5.6% in monring trading.

The Claris Warning Letter is based on observations identified during that inspection. Prior to issuance of the Claris Warning Letter, the company had timely responded to the Claris 483. Additionally, the company has already implemented corrective actions to many of the issues raised in the Claris Warning Letter. Coming out of the 2017 inspection, the company did not include any 2018 revenue for new Claris product launches in the U.S. in its 2018 financial guidance. Receipt of the Claris Warning Letter does not cause the company to make any changes to its Long Range financial guidance issued in May 2018 at this time. In addition, the company is evaluating other potential locations, including contract manufacturing organizations, to support the production of new products for distribution in the U.S., to mitigate the risk of any delay in its ability to fully remediate the Claris Injectables facilities to FDA's satisfaction beyond the first half of 2020. These other locations could also be used to support the production of any pending product approvals. As set forth in the Claris Warning Letter, FDA has requested a Regulatory Meeting with the company. The company expects for that meeting to occur in 2018, with a reinspection of the former Claris Injectables facility to follow. While the company cannot guarantee the timing of any FDA inspection, the company expects for it to occur by the end of the first half of 2019. The company will respond to the Claris Warning Letter in the time frame required by FDA.

Meanwhile, both BMO Capital and Stifel upgraded the stock to Buy-equivalent ratings as they see the post-earnings weakness in the shares as a buying opportunity. RESULTS: Last night, Netflix reported second quarter earnings per share of 85c and revenue of $3.91B, with consensus at 79c and $3.94B, respectively. The company also announced second quarter streaming net additions of 5.15M, and reported that first quarter U.S. memberships rose by 670,000 and international added 4.47M memberships. For the third quarter, Netfliz expects streaming net additions of 5M members. The streaming company also said it sees third quarter earnings per share of 68c and revenue of $3.99B. MOVING TO THE SIDELINES: Despite continuing to like Netflix's story, Deutsche Bank's Kraft downgraded Netflix to Hold from Buy and lowered his price target on the shares to $350 from $360. The analyst argued that the "slowdown in growth" is not thesis changing, but does require a "reevaluation" and consideration of the stock's year to date appreciation from $200 per share. Furthermore, Kraft added that he just does not see much upside over the next 12 months at current valuation levels, but still thinks the stock can double by 2025 to $700. Meanwhile, his peer at Wedbush contended that Netflix's valuation remains "unwarranted," and reiterated an Underperform rating and $125 price target on the shares. Analyst Michael Pachter expects content acquisition spending to trigger substantial cash burn for many years. Notwithstanding three Netflix price increases in the last five years, cash burn continues to grow, he added. The analyst also told investors that he believes international profits may remain elusive due to competition for content and subscriptions, and last year's price increases could cause a deceleration in subscriber growth. Loop Capital, Barclays, UBS, Credit Suisse and KeyBanc also lowered their prices targets for Netflix stock. BMO CAPITAL, STIFEL UPGRADE NETFLIX: Bullish on the streaming service, BMO Capital analyst Daniel Salmon upgraded Netflix to Outperform from Market Perform, with a $400 price target, saying the 14% decline in the stock price following quarterly results offers investors an attractive level to build positions. The analyst pointed out that he expects the India growth stories to build into 2019, Netflix to continue to transition to more originals from licensed studio content well, and he thinks its "small but steady" growth of consumer product licensing revenue can create a more dynamic company over time. His peer at Stifel also upgraded Netflix to Buy from Hold, with a $406 price target. Analyst Scott Devitt cited the potential for near-term subscription add expectations to reset, a strong second half of the year content slate, and a domestic and international runway, which supports a doubling of the company's subscriber base in the next five to ten years. Overall, Devitt views Netflix's long-term outlook positively, given the upside case he believes exists for the company's domestic and international opportunities, and thinks shares are again at an attractive entry point. PRICE ACTION: In morning trading, shares of Netflix are down about 8% to $368, which is well off the stock's earlier low of $344.

While the judgment may be appealed by Hytera GmbH, it is immediately enforceable upon Motorola Solutions' posting of a required security, which will be completed very shortly.

These standards necessitate the use of particulate filtration in the treatment of gasoline exhaust. Together with the previously reported results from Cohorts 2-4, the MRI results-to-date for 95% of the Cohort 2-5 subjects provide supportive evidence that AST-OPC1 cells have durably engrafted at the injury site and helped to prevent cavitation. According to fleet data, there are more than 900 airplanes today that are over 25 years old. By the mid 2020's, more than 500 airplanes a year will reach 25 years of age - double the current rate - fueling the retirement wave. Tinseth said the data explain why 44 percent of the new airplanes will be needed to cover replacement alone, while the rest will support future growth. Including airplanes that will be retained, the global fleet is projected to essentially double in size to 48,540 by 2037. The single-aisle segment will see the most growth over the forecast period, with a demand for 31,360 new airplanes, an increase of 6.1 percent over last year. This $3.5 trillion market is driven in large part by the continued growth of low-cost carriers, strong demand in emerging markets, and increasing replacement demand in markets such as China and Southeast Asia. Walmart is already using Microsoft services for critical applications and workloads and is now embarking on a broad set of cloud innovation projects that leverage machine learning, artificial intelligence, and data platform solutions for a wide range of external customer-facing services and internal business applications. In a five-year agreement, Walmart has selected the full range of Microsoft cloud solutions, including Microsoft Azure and Microsoft 365 for enterprise-wide use to help standardize across the company's family of brands. As part of the partnership, Walmart and Microsoft engineers will collaborate on the assessment, development, and support phase of moving hundreds of existing applications to cloud native architectures.
