17:03 EDT TransAtlantic Petroleum reports Q2 production 2.8 boe/d - TransAtlantic Petroleum says total production for the second quarter was approximately 2,777 barrels of oil equivalent per day. The company's current average seven-day net production rate is approximately 3,082 BOEPD, comprised of approximately 2,984 barrels of oil per day and approximately 585 thousand cubic feet per day ("MCFPD") of natural gas. The increase in production is primarily due to workovers and new well completions in Southeast Turkey, which commenced in January 2018. In January 2018, the company commenced a planned drilling program in Southeast Turkey. In the Selmo field, commercial production of 68 BOPD was established in the company's Selmo-81H2 well following its vertical completion. In the Molla area, the company's Yeniev-1 well was drilled to a total depth of 10,306 feet. The company's initial log analysis indicates prospective pay in the Bedinan, Hazro and Mardin zones for this well. Completion operations are currently ongoing. The first zone tested in the Bedinan was perforated on June 26, 2018. This well tested at a flowing oil rate of approximately 700 BOPD and is currently flowing approximately 390 BOPD at 16/64 choke size to temporary production facilities. The company continues testing at its Cavuslu well following the discovery of hydrocarbons in the lower Bedinan formation and in the Dadas shale. The well has produced a cumulative 184 barrels of oil from the Dadas shale. The company intends to test two additional zones in this well. Following this testing, we expect to begin long term production in one or more of the tested zones.

16:18 EDT United Continental to record $105M Q2 special charge related to Brazil routes - For second quarter 2018, the company expects to record a special charge of $105M ($82M net of taxes) related to an expected non-cash impairment associated with its Brazil routes. In May 2018, the Brazil-United States open skies agreement was ratified, which provides air carriers with unrestricted access between the United States and Brazil. The company determined that the approval of the open skies agreement impaired the entire value of its Brazil route authorities because the agreement removes all limitations or reciprocity requirements for flights between the United States and Brazil. Accordingly, the company expects to record this special charge to write off the entire value of the intangible asset associated with its Brazil routes. This asset is not part of any collateral pledged against any of the company's borrowings.

16:15 EDT SEC bars ex-ITT CEO, CFO from serving as officers of public companies for 5 yrs - The Securities and Exchange Commission announced settlements with two former senior executives of ITT Educational Services Inc., which the SEC charged hid its true financial condition from investors. This resolution successfully concludes the SEC's case, which was scheduled to begin trial on July 9. Former CEO Kevin Modany and former CFO Daniel Fitzpatrick are barred from holding senior positions at public companies and ordered to pay penalties in the settlements filed in federal court in Indiana. The SEC charged both Modany and Fitzpatrick in 2015, alleging they fraudulently concealed the poor performance and looming financial impact of two student loan programs that ITT financially guaranteed. ITT previously settled fraud charges based on the same alleged conduct. Modany and Fitzpatrick settled to the SEC's claims charging them as control persons for ITT's fraud and other violations. The court's judgments, entered today: Barred each of them from serving as officers and directors of public companies for five years; ordered Modany and Fitzpatrick to pay penalties of $200,000 and $100,000, respectively; enjoined each of them from controlling persons who violate antifraud and periodic reporting provisions of the federal securities laws. Modany and Fitzpatrick also have agreed to be suspended from appearing and practicing before the SEC as accountants. Pursuant to their agreement, they will be permitted to apply for reinstatement after five years. Modany and Fitzpatrick agreed to the settlements without admitting or denying the allegations in the SEC's complaint. Reference Link

15:57 EDT USTR outlines process for companies to get their products excluded from tariffs - The Office of the U.S. Trade Representative announced a process to obtain product exclusions from the additional tariffs in effect on certain products imported from China under the U.S. response to China's trade practices related to the forced transfer of U.S. technology and intellectual property. Today, additional tariffs of 25% come into effect for Chinese products imported under 818 tariff lines, covering a trade value of approximately $34B in 2018. These tariff lines contain products identified as benefiting from China's industrial policies, including the "Made in China 2025" program. The list of products subject to tariffs was determined by a 90-day process that included public hearings and a notice and comment period. USTR is providing an opportunity for the public to request exclusion of a particular product from the additional duties to address situations that warrant excluding a particular product within a subheading, but not the tariff subheading as a whole. The exclusion process has the following important dates and features: The public will have 90 days to file a request for a product exclusion; the request period will end on October 9, 2018. Following public posting of the filed request on Regulations.gov, the public will have 14 days to file responses to the request for product exclusion. After the close of the 14 day response period, interested persons will have an additional 7 days to reply to any responses received in support of or opposition to the request. Exclusions will be effective for one year upon the publication of the exclusion determination in the Federal Register, and will apply retroactively to July 6, 2018. Because exclusions will be made on a product basis, a particular exclusion will apply to all imports of the product, regardless of whether the importer filed a request. The U.S. Customs and Border Protection will apply the tariff exclusions based on the product. Reference Link

13:27 EDT Lawmakers send questions to Toys 'R' Us PE backers over retailer's failure - Nineteen members of Congress, including Senator Bernie Sanders, sent a letter to the heads of KKR (KKR), Bain Capital, and Vornado Realty Trust (VNO), all private equity backers of Toys 'R' Us, questioning their roles in the company's bankruptcy and criticizing leveraged buyouts. In the letter, the members of Congress expressed their support for Toys 'R' Us workers, noting that leveraged buyouts often result in "mass job loss, closure of profitable businesses, and unnecessary financial burdens for local government." According to the letter, such buyouts "harm communities, while investment managers walk away with significant gains." The members of Congress expressed concerns that the investment firms "deliberately" chose to leave Toys 'R' Us workers "with nothing" and requested responses from the firms to a number of questions. The questions were about whether changing the toy retailer's capital structure to 78% debt was deliberate, what services, if any, were provided by the firms, whether the firms plan to offer immediate severance pay to all Toys 'R' Us workers, and whether any individual associated with any firms was involved in the layoff decision. The letter requests "prompt" attention to such inquiries, noting the Representatives and Senator "would appreciate" a response by no later than July 15. Reference Link

11:41 EDT Before the Move: Watch Akorn ahead of trial on Fresenius merger - Akorn's (AKRX) trial with Fresenius (FSNUY) over the companies' $4.3B merger agreement is set to begin on July 9 in Delaware Chancery Court and analysts at RBC Capital and Deutsche Bank are weighing the risks and rewards. AKORN FILES COMPLAINT: In April, Akorn filed a complaint in court asking that Fresenius Kabi be required to fulfill its obligations under the companies' definitive merger agreement. Akorn said at that time that "Fresenius' attempt to terminate the transaction on the pretext that the findings from the ongoing investigation are a breach of the merger agreement is completely without merit. The previously disclosed ongoing investigation, of which we have voluntarily notified and are in regular communication with the Food and Drug Administration, has not found any facts that would result in a material adverse effect on Akorn's business and therefore there is no basis to terminate the transaction...We intend to vigorously enforce our rights, and Fresenius' obligations, under our binding merger agreement." Akorn had agreed to be acquired by Fresenius in April 2017 for approximately $4.3B, or $34 a share, plus the assumption of approximately $450M of debt. In February, Fresenius began an investigation into alleged FDA data breaches at Akorn and in April, the company decided to terminate the merger agreement saying the decision was "based on, among other factors, material breaches of FDA data integrity requirements." Following Akorn's filing in court, Fresenius said its probe uncovered fraud and accused the company of submitting phony data to the FDA on its antibiotic drug. RBC SEES 'PATH TO CLOSING': In a note published this Monday, RBC Capital analyst Randall Stanicky said the trial should bring some clarity to the ongoing deal uncertainty. He said he continues to see a path to closing and notes risk and reward are both high, as Akorn's stock is trading at $16-$17 versus the $34 deal price. The analyst added he has not yet seen persuasive evidence justifying the deal break based on his review of litigation documents and a call with legal experts. AKORN UPSIDE/DOWNSIDE 'LOOKS INTERESTING': On Tuesday of this week, Deutsche Bank analyst Gregg Gilbert noted that Akorn is seeking a ruling that Fresenius be required to complete its acquisition per the merger agreement. The analyst believes the upside versus downside profile for Akorn from the current price is worth considering. He sees three potential scenarios: Fresenius is required to acquire Akorn for $34 per share, representing 102% upside; the deal breaks and Akorn trades down to single digits on a standalone basis, or 69% downside; the companies settle for a price below $34 but well above the current stock price, which could yield more upside than downside. Gilbert believes Akorn's upside/downside "looks interesting" ahead of the key event, he told investors. PRICE ACTION: Akorn was up 3.5% to $18.15, while Fresenius rose 1.4% to $20.41 in late morning trading on Friday. The trial is set to begin on Monday and is scheduled to last through Friday July 13 at this point, RBC recently told investors. Lee, who estimated mining costs around $9,000 at year-end, said those estimates "imply fair value over $20,000, roughly $22,000," but added, "We still think bitcoin can reach $25,000 by the end of the year or something like that." CRYPTO STOCK PLAYS: Cryptocurrency revenues have been pointed to as reasons to be bullish on Advanced Micro Devices (AMD) and Nvidia (NVDA) in select research. Overstock (OSTK), DPW Holdings (DPW), Kodak (KODK), Seven Stars Cloud (SSC), Riot Blockchain (RIOT), Pareteum (TEUM) and Social Reality (SRAX) are other stocks that have been touted, or promoted themselves, as a way to play the crypto theme.
