STRATEGIC PRIORITIES: In an effort to optimize its U.S. store portfolio, Starbucks said it will increase the closure of underperforming stores in its most densely penetrated markets to approximately 150 in FY19 from a historical average of up to 50 annually. In addition, the company is expanding its digital relationships with current and new customers and expects newer digital initiatives to contribute one to two points of comp growth in the U.S. in FY19. The company also noted it is making progress toward closure of the Global Coffee Alliance transaction with Nestle (NSRGY) to accelerate and grow the global reach of Starbucks brands in Consumer Packaged Goods and Foodservice. CAPITAL RETURNS: As a result of its new strategic priorities, Starbucks now expects to return roughly $25B in cash to shareholders in the form of share buybacks and dividends through fiscal 2020, an increase of $10B from the cash return target announced in November 2017. As part of the accelerated return, Starbucks' board approved a 20% increase the company's regular quarterly and declared a cash dividend of 36c per share. GUIDANCE SHIFT: As part of the strategic update, Starbucks cut its Q3 global comparable store sales view to 1% from its previous view of 3%. Following the press release, the company said at the Oppenheimer Consumer Growth and E-Commerce Conference that it was reducing its FY18 adjusted EPS guidance to $2.39-$2.43 from its previous view of $2.48-$2.53. Analysts expect the company to report FY18 EPS of $2.49. PRICE ACTION: In after-hours trading, Starbucks shares were lower by 1.6%.

17:15 EDT Vale exposed to about 40% of future cobalt production from Voisey's Bay - On June 11 , Vale concluded separate agreements with Wheaton Precious Metals and with Cobalt 27 to sell an aggregate total of 75% cobalt stream with reference to the cobalt by-product to be delivered from January 1, 2021, which encompasses the ramp-down from the existing Voisey's Bay mine and from the Voisey's Bay underground mine expansion project, VBME, for a total upfront payment of US$690M plus additional payments of 20%, on average, of cobalt prices upon delivery, as detailed below.The streaming deal enables development of VBME, Vale's first significant investment announcement in recent years. The transaction substantially improves the financial returns on invested capital of VBME to more than 35% p.a. at market consensus prices. It is aligned with Vale's rigorous capital allocation process in which projects must be capable to generate returns at current price levels, instead of depending upon future price expectations. Vale remains exposed to approximately 40% of future cobalt production from Voisey's Bay, through Vale's retained interest in 25% of cobalt production and the approximately 20% additional payments on the 75% cobalt stream. The cobalt stream is consistent with Vale's strategy to preserve optionality in nickel, a key input into electric vehicles. VBME will extend the mine life of Voisey's Bay, granting Vale access to nickel, copper and cobalt reserves and, thus, increasing to an estimated annual production of around 45 kt of nickel, on average, about 20 kt of copper and about 2.6 kt of cobalt, in total. In order to secure a smooth transition from the open pit to the underground mine, nickel production from Voisey's Bay mine will be maintained at 38 ktpa from 2018 to 2020, ramping up to 45-50 ktpa of nickel contained in concentrate from 2024 onwards.

Fluor and Marathon Petroleum have worked together on this project since the feasibility stage in 2014. Fluor is providing engineering, procurement and construction management services, which will enable the refinery to achieve updated U.S. Environmental Protection Agency Tier 3 gasoline sulfur standards by 2020 and provide cleaner fuel to U.S. markets. The scope of work includes a new selective hydrogenation unit, a new naphtha desulfurization unit and upgrades to the existing naphtha desulfurization unit and the fluid catalytic cracker. The project also includes the modernization of the utilities and offsites to continue the integration of the former Texas City refinery into the adjacent Galveston Bay refinery. Engineering was performed out of Fluor's offices in Houston, and Manila and Cebu, Philippines. Construction activity is underway at the project site, with aboveground piping and structural steel currently being installed. Construction is scheduled to be completed in 2019.

CNS penetration was demonstrated by a dose-dependent increase in PRX002/RG7935 levels in CSF, and a mean concentration of PRX002/RG7935 in CSF of 0.3 percent relative to serum across all dose levels. Additional results showed a rapid, dose- and time dependent mean reduction of free serum alpha-synuclein levels of up to 97 percent after a single dose, which were statistically significant (pless than0.0001), and maintained following two additional monthly doses. The study results supported advancing PRX002/RG7935 into the PASADENA Phase 2 clinical study in patients with early Parkinson's disease that is currently ongoing.

A strong safety profile was also shown, matching previous clinical studies as well as real-world experience from growing product use globally. The duration of pain reduction was also similar to the previous study as patient improvement after CINGAL injection was maintained near peak levels throughout the 26-week duration of the study. Follow-up of patients continues in a prospectively designed extension phase to the study, which will gather data through 39-weeks.

10:30 EDT Sarepta: DMD gene therapy shows 38.2% of micro-dystrophin in Phase 1/2a study - Sarepta Therapeutics announced that at the company's R&D Day, Jerry Mendell, M.D. of Nationwide Children's Hospital presented positive preliminary results from its Phase 1/2a gene therapy clinical trial assessing AAVrh74.MHCK7.micro-Dystrophin in individuals with Duchenne muscular dystrophy. Dr. Mendell presented the following preliminary data on the first three patients enrolled in the study: All patients showed robust expression of transduced micro-dystrophin, which is properly localized to the muscle sarcolemma, as measured by immunohistochemistry. Mean gene expression, as measured by percentage of micro-dystrophin positive fibers was 76.2% and the mean intensity of the fibers was 74.5% compared to normal control. All post-treatment biopsies showed robust levels of micro-dystrophin as measured by Western blot, with a mean of 38.2% compared to normal utilizing Sarepta's method, or 53.7% compared to normal pursuant to Nationwide Children's quantification of Sarepta's method that adjusts for fat and fibrotic tissue. A mean of 1.6 vector copies per cell nucleus was measured in patients, consistent with the high micro-dystrophin expression levels observed. All patients showed significant decreases of serum creatine kinase levels, with a mean reduction of CK of over 87% at Day 60. CK is an enzyme associated with muscle damage and patients with DMD uniformly exhibit high levels of CK. Indeed, significantly elevated CK is often used as a preliminary diagnosis tool for DMD, which is then followed by confirmatory genetic testing. No serious adverse events were observed in the study. Two patients had elevated gamma-glutamyl transferase that resolved with increased steroids within a week and returned to baseline levels. There were no other significant laboratory findings. Patients had transient nausea generally during the first week of therapy coincident with increased steroid dosing.

10:24 EDT JPMorgan, Deutsche Bank say buy Verizon over AT&T - After a period of restriction, JPMorgan analyst Philip Cusick resumed coverage of AT&T (T) and downgraded the stock to Neutral, saying that while a reversal of the Time Warner (TWX) acquisition by the Department of Justice is "very unlikely," he still prefers shares of Verizon (VZ) given its lesser video-related margin pressure. Meanwhile, his peer at Deutsche Bank upgraded the latter to Buy on moderating competitive intensity. MOVING TO THE SIDELINES ON AT&T: In a research note to investors this morning, JPMorgan's Cusick downgraded AT&T to Neutral, with a $36 price target, following a period of restriction. His firm had an Overweight rating on AT&T before going restricted in October of 2016. The analyst pointed out that while the Department of Justice can still appeal the deal, he believes a reversal of the Time Warner acquisition is "very unlikely." After meeting with management, Cusick noted that entertainment numbers are not expected to turn this year and the company's targeted advertising strategy will not start to impact numbers until 2020 at earliest as AT&T still needs to build the engines of this strategy. The analyst acknowledged that he would not be surprised to see AT&T rebound fairly quickly after a period of deal-related flowback. Nonetheless, he still prefers Verizon among large cap telecom, given its "slightly higher multiple but less video-related margin pressure." DEUTSCHE BANK SAYS BUY VERIZON: Meanwhile, Deutsche Bank analyst Matthew Niknam upgraded Verizon to Buy from Hold, with an unchanged price target of $56. Following a heightened wave of aggressive competitive activity in recent years, wireless fundamentals are "meaningfully improving," he contended. Industry pricing has stabilized, competitive intensity has moderated and the industry's two biggest disruptors - namely T-Mobile (TMUS) and Sprint (S) - have announced plans to merge. Further, the analyst told investors that he expects Verizon's second quarter results to reflect a return to normalized service revenue growth year-over-year, for the first time since late 2014, as well as continued margin improvement. Niknam also sees "upside optionality" for Verizon shares from 5G and Oath. Despite inflecting fundamentals and this optionality, Verizon continues to trade at a discounted valuation, he added. Overall, the analyst sees 18% upside from current share levels along with a 5% dividend yield, representing total return potential of 23%. PRICE ACTION: In morning trading, amid a pullback in the market and a broader "risk-off" posture, shares of AT&T and Verizon have gained almost 1% and 2%, respectively.

According to the report, the video game retailer has hired a financial adviser to help in these talks and Sycamore Partners is one of the firms that has expressed interest in the company. WHAT'S NOTABLE: Earlier this month, GameStop announced that current board member and former Microsoft (MSFT) Xbox executive, Shane Kim would serve as interim chief executive officer until a permanent one is named. The company also announced that Rob Lloyd had been promoted to chief operating officer and chief financial officer and that Daniel DeMatteo would continue to serve as executive chairman of the board. The appointments came after CEO Michael Mauler, who was named to the position on February 6 following the resignation of J. Paul Raines for health reasons, resigned in May for personal reasons and DeMatteo was appointed as interim CEO. Shortly after Mauler began in the CEO role, GameStop disclosed in a regulatory filing that it had terminated the employment of COO Tony Bartel and executive vice president of strategic business and brand development Michael Hogan. Additionally, in May, CNBC reported that GameStop had received a letter from Julian Robertson's Tiger Management urging the company to conduct a strategic review amid recent management shifts. "We view the recent management departures and crisis of confidence as an unprecedented opportunity for the Board to launch a strategic review and revive shareholder confidence in the sustainability of the GameStop business model," the letter said. At the time, Tiger said it planned to "remain a passive shareholder" and had "no intention of becoming an activist investor" but added that it would sell its shares if the retailer failed to implement a turnaround plan. In response, GameStop confirmed it received Tiger's letter and said that it "welcomes" constructive feedback from the hedge fund and all of its investors. Waterberg JV Co. has the requisite skills, expertise and resources to provide water supply solutions in the Capricorn District Municipality and to implement an agreed water management plan.

The project would capture carbon dioxide at White Energy's ethanol facilities in Hereford and Plainview, Texas, and transport it to the Permian Basin, where Occidental would use it in its enhanced oil recovery (EOR) operations. Occidental injects CO2 into oil reservoirs, causing trapped oil to flow more easily and efficiently. The engineering study, expected to last six months, will examine the costs of building a carbon capture facility. If Occidental and White Energy determine the project is economically feasible, operations could begin as soon as 2021. The carbon capture project would be designed to be eligible for 45Q tax credits and California's Low Carbon Fuel Standard Carbon Capture and Storage protocol, both currently in development, demonstrating that these important incentives result in near-term investment, reduced CO2 emissions and jobs.

Crescent Point's capital expenditures guidance for 2018 remains unchanged at $1.775B as minimal capital expenditures were planned for the disposed assets for the remainder of the year.The company's revised business strategy is reprioritizing key value drivers, including continuing improvement of the balance sheet, disciplined capital allocation and cost reductions. These value drivers are expected to result in improved rates of return on capital employed, debt adjusted per share metrics, free cash flow generation and, ultimately, the company's long-term sustainability. Todd Fehniger, M.D., Ph.D., Associate Professor of Medicine, Oncology Division at Washington University School of Medicine, and lead investigator on the Phase 1 trial, said, "This is an important early phase, dose-escalation trial that clearly identified the safety and feasibility of the innovative approach to prime donor NK cells with tumor cell lysates prior to adoptive transfer. The very durable responses that were achieved in several of the AML patients consolidated with CNDO-109-NK are exciting, and warrant further study in a larger number of patients." The multi-center, non-randomized, open-label, dose-escalation Phase 1 trial evaluated the maximum tolerated dose of CNDO-109-activated NK cells in 12 adult AML patients in their first complete remission who were at a high risk of relapsing. Evaluation of the safety profile, the duration of relapse-free survival and overall survival were secondary objectives. CNDO-109-activated NK cells were prepared from a single leukapheresis product of peripheral blood mononuclear cells from a healthy, HLA-haploidentical first or second-degree relative. The NK cells were purified and incubated ex vivo with CNDO-109 lysate. Cytokines were not used in the incubation process. CNDO-109-activated NK cells were well tolerated, with no infusion-related adverse events or graft-versus-host disease reported. Three patients had long-term, relapse-free survivals of 32.6, 42.5+ and 47.6+ months after treatment, with two patients remaining relapse-free at the time of publication.

This proprietary enzyme was designed by Allena to degrade urate in the GI tract and in turn, reduce the urate burden on the kidney and lower the risk of urate-related complications. ALLN-346 is targeted to lower serum uric acid in patients with CKD, who have decreased renal function and diminished capacity for urinary excretion of uric acid. ALLN-346 has demonstrated a robust reduction in both plasma and urine uric acid levels in an established urate oxidase knock-out mouse model, a severe animal model of hyperuricemia with advanced CKD and kidney damage due to urate crystal deposition. Allena expects to present detailed preclinical data for ALLN-346 at a scientific conference in the second half of 2018. Based on the results of this study, Allena is scaling its manufacturing processes and production yield to support customary toxicology and additional preclinical studies and, consistent with prior guidance, expects to file an IND with the U.S. Food and Drug Administration in the first half of 2019.

The rent coverage ratio in the first year after closing is expected to be 1.9x and the tenant's obligations under the lease will be guaranteed by Penn National. The proposed transaction will further expand Penn National's regional gaming platform with a property that is complementary to its pro-forma operating base following the completion of the company's pending acquisition of Pinnacle Entertainment (PNK). Upon closing the Margaritaville transaction and the pending Pinnacle transaction, Penn National's portfolio of regional gaming facilities will increase to 40 properties in 18 jurisdictions. Penn National does not anticipate that this transaction will alter the company's expectation that it will end the year with net rent-adjusted leverage in the mid-5x range, pro forma for the completion of the Pinnacle acquisition. The transaction, expected to close in the second half of 2018, is subject to the approval of the Louisiana Gaming Control Board and other customary closing conditions.

07:04 EDT Can-Fite: Safety data indicates favorable drug safety profile for Namodenoson - Can-Fite BioPharma provided an update on its Phase II clinical trial with drug candidate Namodenoson in the treatment of advanced hepatocellular carcinoma in patients whose disease has progressed on sorafenib therapy. Can-Fite anticipates analyzing the results of this important trial before the end of the current year. The global Phase II study is being conducted in the U.S., Europe and Israel. Patients with advanced HCC, Child Pugh B, who failed Nexavar as a first line treatment are treated twice daily with 25 mg of oral Namodenoson or placebo using a 2:1 randomization. The primary endpoint of the Phase II study is Overall Survival. Secondary endpoints include Progression Free Survival, safety, and the relationship between outcomes and A3AR expression. The trial first opened to enrollment in December 2014 and enrollment of 78 patients was completed in August 2017. While the trial continues treating subjects in a blinded fashion, Can-Fite notes that of the 78 subjects originally enrolled, 19 completed at least 12 cycles of treatment of which three completed at least 24 cycles. The longest-treated subject has been receiving study medication for approximately 3 years. Accumulated safety data to date continues to indicate a favorable safety profile, with no clinically significant novel or emerging events attributed to chronic treatment with Namodenoson. Michael Silverman, MD, FACP, Can-Fite's Medical Director says, "While the final analysis of this trial, based on survival, has been delayed past our original projections, we are very happy that the reason for this is the unexpected longevity of patients enrolled into this trial. Historically, HCC patients who have failed treatment with sorafenib and are Child Pugh B, have very limited life expectancy. Although the trial data are still blinded, we are encouraged by the unexpectedly long survival for some patients and hope that this will translate into a survival advantage for the Namodenoson group over the placebo group, and a critical advance for treating patients with HCC." Can-Fite received Orphan Drug Designation for Namodenoson in Europe and the U.S., as well as Fast Track Status in the U.S. as a second line treatment for HCC.

The Company expects to realize synergies in excess of approximately $6M per year within three years, and expects to incur one-time costs of approximately $7M for transaction fees and integration. Glatfelter plans to finance the acquisition through a combination of cash on hand and borrowing under its existing revolving credit facility. The proposed transaction is subject to customary closing conditions, including receipt of required regulatory approvals. Credit Suisse acted as the financial advisor in connection with the transaction, and Shearman & Sterling LLP as legal advisor. The closing is expected to occur during the fourth quarter.

This error disabled some iPhones and iPads after owners downloaded an update to Apple's 'iOS' operating system. Apple US admitted it had represented to at least 275 Australian customers affected by error 53 that they were no longer eligible for a remedy if their device had been repaired by a third party. These representations were made from February 2015 to February 2016 on Apple US' website, by Apple Australia's staff in-store and on its customer service phone calls.

The works include the engineering, procurement and construction of the Talasol Project and the ancillary facilities for injecting power into the grid, including a 400 kV step-up substation, the high voltage interconnection line to the point of connection to the grid and performance of two years of O&M services. METKA EGN is expected to complete the works under the EPC Agreement within a period of 16 months. The EPC Agreement further provides that in the event the Talasol Project does not reach financial closing within 14 months, both parties can terminate the EPC Agreement. The EPC Agreement includes additional standard provisions, including with respect to liquidated damages in connection with delays and performance, performance guarantees, suspension and termination. Subject to receipt of regulatory approvals and the procurement of project financing by Talasol, it is currently expected that the Talasol Project will become operational during the first half of 2020.

The open label Phase 1 THINK trial is being conducted in the US and in Europe. The dose-escalation segment, conducted in parallel in solid cancers and in hematologic cancer groups, includes three dose levels: 3x108, 1x109 and 3x109 CYAD-01 cells per dose. At each dose level, the patients receive three successive administrations, two weeks apart, of CYAD-01 at the specified dose. We expect that a total of three AML patients will receive the third and final, highest dose level. To date in the THINK trial, CYAD-01 has already shown signs of clinical activity at lower doses in AML patients who have received one cycle of CYAD-01 treatment per protocol ranging from complete response to stable disease. Celyad previously reported the world's first complete response by a CAR-T cell therapy, without pre-conditioning, in a patient with refractory and relapsed AML. Based on the promising signs of activity observed to date, Celyad has started to evaluate if a second cycle of administration of CYAD-01 could improve or prolong the clinical responses. A first patient at the second dose level has successfully started his second cycle of treatment without any toxicity observed to date.

The closing of the tender offer will be subject to a majority of FMI's outstanding shares not already held by Roche being tendered in the tender offer, it noted. In addition, the transaction is subject to other customary closing conditions. Following completion of the tender offer, Roche will acquire all remaining shares at the same price of $137 per share through a second step merger. The closing of the transaction is expected to take place in the second half of 2018.
