In reaching its decision, the Commission adopted the commitments as originally filed in this docket but reserved, on its own motion, the right to incorporate heightened commitments relevant to Montana established in other jurisdictions. The Commission did not accept, for rate making purposes in Montana, an accelerated 2027 depreciation schedule for Colstrip, as otherwise agreed to by the parties in Washington. The Commission also approved the addition of a condition requiring Avista to submit copies of its integrated resource plans to the Commission. The final order reflecting the Commission's vote is expected to be issued in the next couple of weeks. Once the order is issued, the merger will have received all required approvals in Montana.

Southern Missouri reported consolidated assets at March 31, 2018, of approximately $1.8B, including loans, net, of $1.5B, and total deposits of $1.6B. On a pro forma basis, the combined company's total assets will be approximately $2.1B, with total loans, net, of $1.7B, and total deposits of $1.8B. Under the terms of the merger agreement, unanimously approved by the boards of directors of Gideon and Southern Missouri, Gideon shareholders will receive 2.0486 shares of Southern Missouri common stock and $72.79 in cash for each share of Gideon common stock, subject to adjustment for Gideon's capital at closing and assuming all minority shareholders of First Commercial exchange their interest in First Commercial for Gideon stock prior to closing. The prespecified subgroup consisted of azeliragon-treated patients with maximal azeliragon plasma concentrations of less than 7.5 ng/mL and baseline Mini Mental State Examination scores between 19 and 27, and the endpoints were statistically significant improvement in cognitive or functional outcomes as measured by the Alzheimer's Disease Assessment Scale-cognitive subscale and Clinical Dementia Rating Scale Sum of Boxes at 12-months compared to placebo. However, consistent with findings in Part A and the Phase 2b trial, lower maximal plasma concentrations of azeliragon in Part B were associated with improvements in efficacy relative to placebo. For example, when pooling the results of Part A and Part B and comparing change from baseline at 12 months, the azeliragon subgroup had a 1.8 point improvement in ADAS-cog, a 0.4 improvement in CDR-sb and a 2.3 improvement in Alzheimer's Disease Cooperative Study-Activities of Daily Living relative to placebo. Relying upon the program's Fast Track Designation status and study results to date, the company will pursue expedited discussions with the Food and Drug Administration to propose a pathway for further clinical development in support of regulatory approval of azeliragon. "We are eager to obtain early feedback from the FDA based on the results we have achieved and the data that we have observed associating lower plasma levels of the drug and improved efficacy," said Steve Holcombe, chief executive officer, vTv Therapeutics. "As a result, we believe that azeliragon has the potential to address the pressing unmet need in Alzheimer's disease."

At the same time, Paul Marciano also notified the board that, as contemplated by the company's succession plan and in anticipation of the expiration of his employment agreement with the company on January 30, 2019, he has begun transitioning all of his duties and responsibilities at the company to Victor Herrero, Chief Executive Officer of the company, and will fulfill the remainder of his contract. As a result, the analyst raised his Model 3 deliveries estimate for the second quarter by 50% to 30,000. MODEL 3 VOLUMES SHOWING MEANINGFUL RAMP: In a research note to investors, KeyBanc's Erickson said his checks with 20 Tesla sales centers across the U.S. indicate Model 3 volumes are showing a "meaningful ramp," with deliveries tracking about 50% higher than his prior estimates for the quarter. With three weeks to go in the quarter, the analyst estimates the company is tracking to something between 30K-35K Model 3 deliveries in the quarter versus his prior view of 20K-25K. Following the positive checks, Erickson raised his Model 3 deliveries estimate for the second quarter to 30,000 from 20,000 and his 2018 estimate to 118,182 from 98,182. The analyst noted that he continues to expect gross margins on the Model 3 to turn positive in the third quarter and thinks evidence to support the bear case that Model 3 demand is softening or that production is not ramping is not likely to emerge in the near-term. Additionally, Erickson pointed out that concerns surrounding perceived safety quality seem to remain anecdotal. Based on his checks, he believes the perceived quality of Model 3s coming off the lines continues to improve relative to prior checks, and views this as one of the critical factors in Tesla maintaining its "almost legendary status" in the eyes of customers. Nonetheless, the analyst reiterates a Sector Weight rating on Tesla shares, citing his "core belief" there is a significant premium built into the stock on perceptions of the company's innovative superiority around the "five critical aspects" of the story; namely manufacturing, batteries, software, artificial intelligence and competition. PRICE ACTION: In early afternoon trading, shares of Tesla have gained $19.20, or nearly 6%, to $351.30.

Ultimate," which will include every single character from all previous iterations of the franchise. The game is set for release on December 7 of this year. The key is to increase competition among drug companies so pharmacy benefit managers can negotiate even more aggressively to reduce drug costs for patients. As such, we applaud the Administration's efforts to cut through the red tape that keeps competing drugs from coming to market. We support the Administration's call for greater flexibility in benefit design to encourage better price negotiations, including allowing Medicare Part D plan sponsors to promote lower cost generics and biosimilars. The easiest way to lower costs would be for drug companies to lower their prices. Manufacturers have chosen to negotiate price concessions with PBMs using rebates, which are calculated and paid months after a drug has been dispensed. Simply getting rid of rebates and other price concessions would leave patients and payers, including Medicaid and Medicare, at the mercy of drug manufacturer pricing strategies. Rebates are used by payers to reduce premiums and out-of-pocket costs for patients. UK Services Ltd failed to take appropriate technical and organisational measures to protect the data of 515,121 customers against exfiltration by unauthorised persons; The company failed to take appropriate measures to ensure that its data processor - Yahoo! Inc - complied with the appropriate data protection standards; It also failed to ensure appropriate monitoring was in place to protect the credentials of Yahoo! employees with access to Yahoo! customer data; The inadequacies found had been in place for a long period of time without being discovered or addressed. The ICO considered the breach to be a serious contravention of Principle 7 of the Data Protection Act 1998, which states that appropriate technical and organisational measures must be taken against unauthorised or unlawful processing of personal data. Development drilling began in May for the first of 17 wells planned for Phase 1, laying the foundation for production startup in 2020. The company and its co-venturers have so far discovered estimated recoverable resources of more than 3.2 billion oil-equivalent barrels on the Stabroek Block. Liza Phase 1 is expected to generate over $7B in royalty and profit oil revenues for Guyana over the life of the project. Additional benefits will accrue from other development projects now being planned. Liza Phase 1 involves the conversion of an oil tanker into a floating, production, storage and offloading vessel named Liza Destiny, along with four undersea drill centers with 17 production wells. Construction of the FPSO and subsea equipment is under way in more than a dozen countries. Liza Destiny will have a production capacity of 120,000 barrels of oil per day. A second FPSO with a capacity of 220,000 barrels per day is being planned as part of the Liza Phase 2 development, and a third is under consideration for the Payara development. Together, these three developments will produce more than 500,000 barrels of oil per day.

The agreement provides that the exchange ratio will switch to a floating basis if the value of Northwest's shares during a period ending the fifth trading day prior to closing is less than $15.53 or greater than $18.99, in an effort to provide protection to all parties such that the total purchase price shall not be less than $80.75 million or more than $89.25 million. Northwest also has the right to alter the mix of cash and stock to be received if the value of Northwest's shares during the calculation period is less than $15.53. As the owner of 48.2% of DFSC's common stock, DGI will receive a dividend payment from DFSC of approximately $14.5 million and consideration from Northwest that will range in value from $38.9 million to $43.0 million. DGI anticipates that it will realize an after-tax gain, net of transaction-related expenses, within a range of $8.9 million and $12.5 million, or approximately $.32 to $.45 per Class A common share, upon closing of the transaction. When the transaction is consummated, the combination of the two banking companies will create an institution that provides banking services through 182 branch locations and 297 ATMs in three states. Under the terms of the agreement, payment will be 50% cash and 50% stock, with the stock portion consisting of a fixed exchange of 137.84 Northwest shares for each of DFSC's 17,864 outstanding shares. The exchange ratio was based upon the average per share closing price of Northwest's stock for the ten trading days ended June 4, 2018, which was $17.26. The agreement provides that the exchange ratio will switch to a floating basis if the value of Northwest's shares during a period ending the fifth trading day prior to closing is less than $15.53 or greater than $18.99, in an effort to provide protection to both parties such that the total purchase price shall not be less than $80.75M or more than $89.25M. Northwest also has the right to alter the mix of cash and stock to be received if the value of Northwest's shares during the calculation period is less than $15.53. The transaction is expected to close in the first quarter of 2019. The transaction is expected to be immediately accretive to Northwest's earnings, excluding one-time costs. Upon achieving anticipated annual cost savings of approximately 40% of DFSC's expenses, annual earnings are projected to increase approximately $0.05 per share beginning in 2019, excluding merger-related expenses. Using those cost savings assumptions, the purchase price represents approximately 10.6 times the earnings contributed by the acquisition. Based on DFSC's actual earnings (annualized) for the quarter ending March 31, 2018, the purchase price equates to 16.2 times earnings. Taking into consideration the aforementioned dividend payment, the purchase price represents 172% of DFSC's tangible book value as of March 31, 2018. The tangible book value per share dilution is estimated to be less than 3% with an estimated earn back period of less than 4 years. The acquisition is expected to increase Northwest's return on average common equity from approximately 8.4% to approximately 8.7% in the first year of combined operations.

While improvements with use of multimed packaging and MTM services were proven individually and in combination, study participants who received multimed blister cards had the most marked change in adherence scores when compared to pill bottle groups, achieving adherence scores greater than 45% above baseline.

Since that time, LSB management has been involved in the process of assessing the extent of the necessary repairs and has determined that the power outage resulted in tube failures in the ammonia plant's boiler. LSB management estimates that these repairs will be completed, and ammonia production will resume, by the last week of June. Management estimates the total impact to EBITDA in Q2 resulting from unplanned repair expenses, reduced absorption of fixed costs relating to the downtime and lost sales will be approximately $10M-$11M. While El Dorado's ammonia plant is out of service, the company has elected to pull forward work previously planned for the September turnaround, which will further shorten the planned turnaround in Q3 to five days, from the previously revised twelve days, resulting in additional Q3 production and reduced turnaround expense. Additionally, the ammonia plant at LSB's Pryor, Oklahoma chemical facility was taken out of service for short periods at multiple points during the quarter to repair leaks to the waste heat boiler. Management estimates Q2 EBITDA impact from the downtime at Pryor to be approximately $3M-$4M.

The primary objective of the trial was to assess the change from baseline in the Cutaneous Dermatomyositis Disease Area and Severity Index activity score, an outcome measure of skin disease severity, versus placebo. 30 eligible subjects were randomized to 1 of 3 treatment groups to receive once weekly subcutaneous injections of 0.6 or 1.8 mg/kg of IMO-8400 or placebo for up to 24 weeks. The mean CDASI activity score was in the severe range in all three cohorts despite background treatment with immunosuppressive drugs and/or systemic corticosteroid drugs in 17 of the 30 subjects. The trial did not meet its primary endpoint of statistically significant change from baseline in the CDASI activity score versus placebo. The company would like to recognize the efforts of the investigators from this trial and importantly the patients who entered this trial in the hope that IMO-8400 may have been an effective treatment for their disease.

In the ARREST study, patients underwent MRS and biopsy at baseline and week 52, which were centrally read, blinded to treatment allocation. The primary endpoint of the study was the change from baseline to end of study in liver triglycerides ratio as measured by MRS (Aramchol 600mg vs. placebo). Secondary endpoints, demonstrated through biopsy, included fibrosis improvement by at least one stage or more without worsening of NASH (defined by an increase of inflammation and or ballooning) and NASH resolution (defined by ballooning score 0 and inflammation score 0-1 at termination) without worsening of fibrosis. Other secondary endpoints included improvement (2 points or more) in NASH activity index, as measured by NAS or SAF, without worsening fibrosis and change in baseline to week 52/termination in ALT. 247 patients with biopsy-proven NASH who were overweight or obese and had pre-diabetes or type II diabetes mellitus were randomized in a ratio of 2:2:1 (600mg, 400mg and placebo). Baseline histology of enrolled patients demonstrated a population with advanced disease, with 60% having stage 2 and 3 fibrosis and 70% having NASgreater than or equal to5 at baseline. Results from the study showed a statistically significant reduction in liver fat by MRS with Aramchol 400mg vs. placebo and not with 600mg. Further, analysis of MRS responders defined by a reduction of greater than or equal to5% absolute change from baseline demonstrated a clinically and statistically significant effect of Aramchol 600mg vs placebo. Results for the two biopsy endpoints, which may currently constitute a primary endpoint for a Phase 3 trial to support an FDA marketing application, demonstrated the following: (i) significantly more patients treated with Aramchol 600mg vs. placebo achieved NASH resolution without worsening of fibrosis (16.7% vs. 5.0%; p=0.0514) and NASH resolution; and (ii) a higher proportion of patients showed at least one-point improvement in fibrosis score without worsening of NASH in Aramchol 600mg vs. placebo. Statistically significant reductions in live enzymes alanine transaminase and aspartate transaminase were demonstrated in both Aramchol arms vs. placebo, respectively. Secondary endpoints based on NAS and SAF activity score, greater than or equal to 2 points improvement, show a higher proportion of patients with improvement in the Aramchol arms. At 52 weeks of treatment, Aramchol continues to show a favorable safety and tolerability profile. Serious Adverse Events were reported in 12.5%, 8.9% and 9.2% of patients in placebo, Aramchol 400mg and 600mg arms, respectively. No clustering of event type or atypical events for the studied population were reported in either Aramchol arms. Early terminations due to adverse events occurred in 4.2%, 3.0% and 4.1% in placebo, Aramchol 400mg and 600mg arms, respectively.

As a result of the transaction, Cliffs' previously disclosed costs of closing the Australian operations are expected to be reduced by approximately $65M-$75M based on Mineral Resources assuming certain obligations and Cliffs reaching negotiated settlements with other third parties. The transaction is supported by the Western Australian government. The transaction is expected to close before the end of the second quarter of 2018, subject to certain conditions precedent being achieved. Cliffs stated that the deal is structured as a sale of the following assets and assumption of certain related liabilities: mining tenements, mine facility assets, port assets and the benefit of certain contracts. There are currently no approved treatment options for DEB. The WINGS trial, a first-in-human Phase 1/2 clinical trial of QR-313 in patients with DEB, is expected to initiate enrollment of patients in the first half of 2018. The trial is expected to report interim proof of mechanism results later this year, with full results expected in 2019.

06:08 EDT Quality Care Properties announces end of "go shop" period, acquisition proposal - Quality Care Properties (QCP) announced that the 45-day "go-shop" period set forth in its merger agreement with Welltower (WELL) expired on June 9 and also announced that it has received from a third party an acquisition proposal that QCP's board has determined could reasonably be expected to lead to a "Superior Offer," as defined in the merger agreement. During the "go-shop" period, representatives of Goldman Sachs (GS), financial advisor to QCP, contacted 34 potential parties on behalf of the company to determine whether they have an interest in making a proposal to acquire the company. These parties included a diverse selection of REITs, health care providers, operators and other strategic parties, financial sponsors and non-profit health organizations. QCP entered into confidentiality agreements pursuant to which it provided confidential information to five of the parties contacted. As a result of these efforts, QCP received the acquisition proposal from the potential bidder. No other parties submitted an acquisition proposal to acquire the Company during the go-shop period. After consulting with its financial and legal advisors, QCP's board determined that the acquisition proposal could reasonably be expected to lead to a superior offer. Therefore, the potential bidder is an "Excluded Party," as defined in the merger agreement, and QCP is permitted, subject to the provisions of the merger agreement, to continue to solicit proposals from, furnish non-public information to, and engage in further discussions and negotiations with, the potential bidder. Following the expiration of the go-shop period, QCP became subject to customary "no shop" provisions other than with respect to the potential bidder. The "no shop" provisions restrict the ability of the company and its representatives to solicit alternative acquisition proposals from third parties or to provide confidential information to third parties, subject to customary "fiduciary out" provisions. The board has not yet determined that the acquisition proposal constitutes a superior offer under the merger agreement. The acquisition proposal provides that the potential bidder will need to obtain debt financing and is subject to several conditions, including completion of a due diligence review of QCP and HCR ManorCare and the negotiation of a definitive merger agreement.

In each of these study arms, the two administrations were given intramuscularly, 3 months apart. The primary efficacy endpoint was the change from baseline in maximal walking distance at 52 weeks compared to placebo. The key secondary endpoint was the change from baseline in MWD at 52 weeks compared to placebo, in patients treated with 2 doses of PLX-PAD originating from different placentas. Other endpoints included risk of revascularization and other hemodynamic and clinical outcome measures.

05:18 EDT Eli Lilly: IDMC says lanabecestat is unlikely to meet primary endpoints - Eli Lilly (LLY) and AstraZeneca (AZN) are discontinuing the global Phase 3 clinical trials of lanabecestat, an oral beta secretase cleaving enzyme, or BACE, inhibitor, for the treatment of Alzheimer's disease. The decision is based on recommendations by an independent data monitoring committee, or IDMC, which concluded that both the AMARANTH trial, in early Alzheimer's disease, and the DAYBREAK-ALZ trial, in mild Alzheimer's disease dementia, were not likely to meet their primary endpoints upon completion and therefore should be stopped for futility. As a result of this decision, the related AMARANTH extension trial will also be discontinued. "The complexity of Alzheimer's disease poses one of the most difficult medical challenges of our time, and we are deeply disappointed for the millions suffering from this devastating disease," said Daniel Skovronsky, M.D., Ph.D., president of Lilly Research Labs. "We are grateful for the contributions of the study participants and their families and encourage them to consider other Alzheimer's disease clinical trials. Lilly remains dedicated to Alzheimer's disease research as we have been for the last three decades. We won't give up on finding a solution for Alzheimer's patients." The IDMC recommendation to stop the studies was not based on safety concerns. The Lilly and AstraZeneca BACE Alliance for lanabecestat remains in place, and the companies will now work with the clinical trial sites involved to implement the discontinuations. Lilly does not anticipate significant costs associated with this decision and is reaffirming both its financial guidance for 2018 and its mid-term guidance for the remainder of this decade.
