19:10 EDT Williams Partners to resume Atlantic Sunrise Construction - Williams Partners announced that the U.S. Court of Appeals for the District of Columbia has denied an emergency motion to stay the Federal Energy Regulatory Commission's authorization of the company's Atlantic Sunrise pipeline project, allowing construction to immediately resume. "We are pleased that the court has lifted the administrative stay of construction activities and denied the emergency motion for stay filed by the project opponents. We will promptly resume construction activities on this important pipeline project, which will leverage existing energy infrastructure to deliver economic growth and help millions of Americans gain access to affordable Pennsylvania-produced clean-burning natural gas," said Micheal Dunn, Williams Partners' chief operating officer. "Thousands of workers in Pennsylvania will be back on the job tomorrow." Construction on the project commenced seven months ago after a nearly four-year, comprehensive federal and state regulatory review process. During peak construction periods, the project is anticipated to directly employ approximately 2,300 people in 10 Pennsylvania counties. In addition, the project could support an additional 6,000 jobs in related industries and generate up to $1.6B in economic activity, according to researchers at Pennsylvania State University. The nearly $3B project, which is designed to increase natural gas deliveries by 1.7B cubic feet per day, is expected to be placed into full service in mid-2018.

18:02 EDT Cameco to suspend operations at McArthur River, Key Lake, reduce dividend - Cameco announced that due to continued uranium price weakness, production from the McArthur River mining and Key Lake milling operations in northern Saskatchewan will be temporarily suspended by the end of January 2018 and that the company's annual dividend will be reduced to 8c per common share in 2018. "With the continued state of oversupply in the uranium market and no expectation of change on the immediate horizon, it does not make economic sense for us to continue producing at McArthur River and Key Lake when we are holding a large inventory, or paying dividends out of proportion with our earnings," said Tim Gitzel, Cameco's president and CEO. "We regret the impact these actions will have on our workforce and other stakeholders and are doing what we can to cushion it while ensuring the long-term sustainability of the company. We believe these actions will help shield the company from the nearer term risks we face and will benefit all our stakeholders for their continued patience and support of our strategy to build long-term value. As a result of the suspension, the workforce at the operations will be reduced temporarily by about 845 workers (560 employees and 285 contractors). About 210 workers (160 employees and 50 contractors) will be retained to maintain the facilities in safe shutdown state. We expect our share of the costs to maintain both operations during the suspension to range between $6.5 and $7.5 million per month. However, some of the items affecting these costs won't be known until the operations are actually shutdown. More details will be provided in our fourth quarter results which will be released in February 2018. Cameco plans to meet its commitments to customers from inventory and other supply sources during the suspension, which will be reviewed on an ongoing basis until inventory is sufficiently drawn down or market conditions improve. The duration of the suspension and temporary layoff is expected to last 10 months.As we have previously indicated, we will continue to evaluate the optimal mix of our sources of uranium supply to feed into our contract portfolio, which could see us make further changes to our inventory position, production profile or purchasing activity. Cameco will also review its corporate support activities for McArthur River and Key Lake operations, which may result in temporary workforce reductions at corporate office."

The West Coast Facilities include two waterborne refined product and crude oil terminals with a total of 64 storage tanks with approximately 5.4 million barrels of storage capacity. The facilities have extensive connectivity to domestic and international refined product and crude oil markets through significant marine, pipeline, truck and rail capabilities. The facilities are supported by multi-year, fee-based agreements with contract terms of up to 5 years. The purchase price reflects a less than ten times multiple of the Partnership's estimate of the 2018 EBITDA attributable to the West Coast Facilities based on current customer contracts and historical and anticipated activity levels, revenues and operating costs. The Partnership cautions that it cannot provide any assurance that the West Coast Facilities will achieve this anticipated level of EBITDA.

15:06 EDT Panera Bread announces definitive agreement to acquire Au Bon Pain - Panera Bread announced that it has entered into a definitive agreement to acquire Au Bon Pain Holding, the parent company of Au Bon Pain, a bakery-cafe chain with 304 units worldwide. The acquisition will bring Au Bon Pain and Panera together again. Ron Shaich, Panera's founder, Chairman and CEO, and his late partner Louis Kane created Au Bon Pain Co. Inc. in 1981. The company went public in 1991 and acquired Saint Louis Bread Company in 1993. Saint Louis Bread was renamed Panera and, in 1999, Au Bon Pain was sold. Terms of the transaction, which is expected to close during the fourth quarter, were not disclosed. The Fly notes that on October 30 a web report said a "source claiming to have knowledge of the matter" claimed that JAB Holding, the owner of Panera Bread, was considering a takeover of Dunkin Brands. Shares of Dunkin Brands are down nearly 3% to $56.78 in late day trading following the report of Panera's deal for Au Bon Pain.

11:02 EDT Sell Sally Beauty amid tougher competition from Target, Ulta, analyst says - Shares of Sally Beauty Holdings (SBH) dropped in morning trading after an analyst downgraded the stock to the firm's equivalent of a sell rating, saying its retail segment is facing tougher competition while its professional segment is decelerating. TOUGHER COMPETITION: Morgan Stanley analyst Simeon Gutman this morning downgraded Sally Beauty to Underweight, the firm's equivalent to a sell rating, and lowered his price target on shares to $15 from $22. In a note to clients, Gutman said the retail segment is facing tougher competition, which is leading to margin erosion and negative comps as well as intensifying EBIT pressure. Gutman, like several other analysts, noted the "more crowded" beauty landscape, and said competitive pressures from Target (TGT), Wal-Mart (WMT) and Ulta (ULTA) appear to be "catching up" with Sally, adding that Sally's value offering is relatively less compelling in the current highly promotional environment. Looking ahead, Gutman expects retail segment comps will be modestly negative for the foreseeable future and believes margins will also continue to erode. Sally's professional segment typically offsets weakness in the retail segment, but it is also decelerating, the analyst noted. WHAT'S NOTABLE: In October, Piper Jaffray analyst Erinn Murphy downgraded Ulta following a survey showing a slowdown in beauty spending by teenagers. At the time, Murphy said her firm's Fall 2017 Teen Survey results indicated spending declines of 13% in color cosmetics among all female teenagers. While skincare declines were "less bad," down 7% year-over-year, overall beauty wallet was down low-double digits. Sally Beauty and Ulta also face competition from department stores like Macy's (M), which are discounting high-end cosmetics and offering rewards, and Amazon (AMZN). DA Davidson analyst Linda Bolton Weiser has speculated whether Sally Beauty will be, or should be, an acquisition target for Amazon, as beauty "has been a hard category to crack" for Amazon. The analyst previously said Sally is more Amazon-proof than many retailers. UPCOMING EARNINGS: Sally Beauty is expected to report fourth quarter earnings on November 21. Analysts currently expect the company to report EPS of 48c on revenue of $991.17M. After reporting third quarter EPS that beat expectations, Sally backed its view of approximately flat full year consolidated same store sales growth, and expects full year net new store growth of approximately 1.5%. PRICE ACTION: In morning trading, shares of Sally Beauty are down 8% to $15.68. Shares are down over 40% year-to-date. Peer Ulta Beauty is also lower by 1.2% this morning.

10:53 EDT Snap resumes post-earnings plunge despite revelation of Tencent investment - Shares of Snap (SNAP) fell sharply in after-hours trading last night after Snapchat's parent reported disappointing third quarter results, with a revenue and Daily Active Users miss, leading several analysts to downgrade the stock. While Snap would go back up earlier this morning after disclosing a 10% stake was taken by China's Tencent (TCEHY), the stock quickly resumed the post-earnings plunge as Piper Jaffray analyst Sam Kemp argued that Tencent's stake was "not a material thesis changer." SELL SNAP: In a post-earnings research note, UBS analyst Eric Sheridan downgraded Snap to Sell and cut his price target on the shares to $7 from $12. The analyst told investors that he finds it very likely that Snap will continue to struggle on "multiple fronts" in the coming 12 months. A redesigned app could bring opportunity but also platform disruption, Sheridan contended. The analyst argued that trying to scale its ad business amid "tepid" user growth while competing against Alphabet (GOOG; GOOGL), Facebook (FB) and Amazon (AMZN) is likely going to prove difficult for Snap. His peer at JPMorgan also cut the stock's rating to Underweight, while lowering his price target on the shares to $10 from $14. Analyst Doug Anmuth pointed out that he believes the company's app redesign carries "significant risk" as its "heavily engaged "existing user base could be disrupted. Snap has now reported below Street expectations in each of its first three quarters as a public company, he added. Meanwhile, RBC Capital analyst Mark Mahaney downgraded Snap to Sector Perform from Outperform and lowered his price target to $15 from $20, citing the third quarter revenue miss and worse than expected Daily Active User activity. Mahaney highlighted that North America revenue and gross margins were below estimates and average revenue per user of $1.17 was below his $1.23 view, even though the decline in adjusted EBITDA was less than expected. The analyst attributed the miss to a shift to programmatic ad impression and also noted that the company's plans to redesign its Android platform version may be further disruptive to business in the short-term. Additionally, Stifel downgraded Snap to Hold, while Barclays cut the stock price to $11 from $13. TENCENT STAKE: This morning, Snap disclosed in its quarterly regulatory filing that China's Tencent notified the company in November that it acquired 145,778,246 shares of its non-voting Class A common stock via open market purchases. The stake represents around 10% of Snap's outstanding shares. Commenting on the announcement, Piper Jaffray's Kemp told investors that Tencent's 10% stake in Snap is "not a material thesis changer." The analyst pointed out that he does not believe Tencent would be able to acquire Snapchat as the result of its capital structure. Further, since Tencent has been an investor in Snapchat since its Series B round, its increased investment should not be seen as new interest in the company, Kemp contended. Over the 52-week extension period, the majority of patients treated with Taltz achieved at least a 20% mprovement in disease activity, as defined by the American College of Rheumatology, the primary endpoint of the study extension, Lilly said. It added that patients also maintained improvements in key secondary endpoints, including skin clearance and physical function, as measured by the Psoriasis Area Severity Index and the Health Assessment Questionnaire Disability Index respectively. The observed safety profile was consistent with initial findings from the double-blind treatment period of the SPIRIT-P2 study. During the extension period, the majority of treatment-emergent adverse events were mild or moderate in severity, including injection site reaction, upper respiratory infection, nasopharyngitis and sinusitis. Serious adverse events occurred in 15 patients in the extension period, including one death. Lilly has filed a supplemental Biologics License Application with the FDA for Taltz as a treatment of adult patients with active PsA. Lilly also submitted Taltz to the European Medicines Agency for the treatment for adult patients with active PsA. Taltz is approved for adult patients with active PsA in Japan. Submissions to other regulatory agencies around the world are expected later this year.

The data were presented in two posters at the 32nd Annual SITC Meeting, in National Harbor, Maryland. Using complementary approaches, including gene and protein modulation, RXDX-106 treatment resulted in the recruitment of both innate and adaptive immune cell subtypes to the TME. Using RNA sequencing, differential expression of immunomodulatory genes were observed in RXDX-106 treated compared to vehicle treated mouse cohorts, indicative of an enrichment in pro-inflammatory/anti-tumorigenic immune cell infiltration. In addition, RXDX-106 demonstrated immune-mediated, single-agent anti-tumor activity in multiple tumor models that was further enhanced by combination therapy with immune checkpoint inhibitors. These data further demonstrate the ability of RXDX-106 to activate both innate and adaptive immunity, as observed by treatment-mediated changes in relevant cytokine levels and immune cell biomarkers, and regulating cross-talk between immune and cancer cells. These promising early findings support further development of RXDX-106 to potentially treat a wide variety of cancers.

SYNB1020 was safe and well tolerated in subjects in multiple ascending dose cohorts who received total daily doses of up to 1.5x1012 CFU for 14 days. There have been no serious adverse events, and no cases of infection with the bacteria in this study. While the study is ongoing, there is no evidence of colonization by SYNB1020 as all subjects who have completed follow-up have cleared the bacteria from their systems within the expected timeframe. In the MAD component of the Phase 1 study, daily dosing of SYNB1020 over 14 days in healthy volunteers enabled identification of a dose-response relationship between SYNB1020 oral administration and changes in a nitrogen endpoint in plasma which was found to be statistically significant in the highest dose cohort compared to placebo. In addition, viability and evidence of mechanistic activity of the Synthetic Biotic was demonstrated in feces of subjects who received SYNB1020, but not in control subjects. As expected, SYNB1020 did not lower blood ammonia levels in these healthy individuals who had normal blood ammonia levels at baseline. Collectively, the data support the hypothesis that SYNB1020 treatment may enable metabolism of potentially neurotoxic blood levels of ammonia in patients with hyperammonemia stemming from UCDs or liver damage.

The primary objective of the trial is to assess the safety and tolerability of enfortumab vedotin in combination with CPI therapy. Secondary endpoints include the recommended dose in combination with CPIs, overall response rate, duration of response, progression-free survival, and overall survival (OS), among other measures.

On May 27, 2016, Digital filed a complaint against WatchGuard in the U.S. District Court for the District of Kansas alleging patent infringement based on WatchGuard's VISTA Wifi and 4RE In-Car product lines. In May 2016, WatchGuard filed an IPR petition with the Patent Office challenging the validity of the '950 Patent and filed a motion to stay litigation, pending at least a preliminary decision from the PTAB regarding the IPR petition filed challenging the '950 Patent and four additional IPR petitions filed by Axon challenging the '292 Patent and the '452 Patent. In doing so, WatchGuard agreed to be bound by the Patent Office's decision in connection with the four IPR petitions filed by Axon against the '292 Patent and the '452 Patent. A compromise was subsequently reached under which the court stayed the case, and ordered the parties to submit a report by January 5, 2018 notifying the court about the status of the pending IPR petitions. The Patent Office subsequently denied institution of all of Axon's IPR petitions against the '452 Patent, which means these requests will not proceed. The Company expects Patent Office to render its decision in the near future regarding whether it will grant institution of WatchGuard's IPR regarding the '950 Patent.

Under the agreement, FedEx Express is making a firm purchase of 30 ATR 72-600F aircraft with options to purchase up to 20 additional ATR 72-600Fs. Delivery of the first aircraft is expected in 2020, with subsequent deliveries of about six aircraft per year over a five year period. "The purchase of new, more advanced feeder aircraft like the ATR 72-600F is the next step in our very successful fleet modernization strategy, which has helped us greatly improve our fuel efficiency and fleet reliability in recent years," said David L. Cunningham, president and CEO, FedEx Express. "We worked closely with ATR, which developed this new aircraft with special features to help us grow our business, especially in the air freight market where shipments are larger and heavier." ATR 72-600Fs will have: a forward Large Cargo Door (LCD) and a rear upper-hinged cargo door; digital cockpits; advanced avionics technology and enhanced take-off performance; ADS-B "out" capabilities. Current FedEx feeder aircraft do not carry containers or palletized freight, so these new features will help the company better serve customers in the air freight market where palletized shipments are the norm. FedEx currently deploys more than 300 feeder aircraft in 45 countries. Most of these feeder aircraft are owned by FedEx, and are leased and operated by different third-party air carriers under their own operating certificates. The FedEx feeder fleet is comprised of aircraft under 60,000 pounds maximum gross take-off weight, and allows the company to provide fast, economical service to small and medium-sized markets around the world.
