Horton bid could prove superior - Forestar Group (FOR) announced it has amended its merger agreement with Starwood Capital to increase the merger consideration to $15.50 per share in cash. Forestar previously announced that it had entered into a merger agreement with Starwood on April 13 pursuant to which Starwood would acquire all outstanding shares of Forestar common stock for $14.25 per share in cash. Other than the increase in the consideration to $15.50 per share in cash, all other terms and conditions in the Starwood agreement remain unchanged. Forestar also previously announced that on June 5, it had received an unsolicited nonbinding proposal from D.R. Horton (DRI) to acquire 75% of the outstanding shares of Forestar common stock for $16.25 in cash. Today, Forestar's board determined that the proposal from D.R. Horton continues to be a proposal that could reasonably be expected to lead to a superior proposal, as defined in Forestar's amended merger agreement with Starwood. "Forestar's board of directors, which is committed to maximizing value for shareholders, will continue to take certain actions in accordance with the procedures set forth in the amended merger agreement with Starwood to further consider D.R. The Wall Street Journal added its sources to the pile of confirmatory reports later in the afternoon, saying Nike has agreed to sell "some" products directly on Amazon in exchange for the company policing counterfeit and third-party sales. GOLDMAN SACHS CHECKS: Goldman Sachs analyst Lindsay Mann says channel checks "indicate NKE could be close to commencing a direct relationship selling product on Amazon." She notes that Nike products are already "abundantly available" on Amazon through third-party sellers, but argues that this new step would give the company direct economic exposure to a significant distribution channel while improving brand presentation on the platform and expanding its access to millennial consumers. One day after implantation of two iStent inject stents in a standalone procedure, all subjects began a regimen of topical travoprost, which is a commonly prescribed ocular hypotensive medication. A total of 11 surgeons performed the procedures and no device-related adverse events occurred through 18 months. In addition: At 12 months, 91% of eyes achieved a greater than or equal to 20% decrease in IOP with the reduction of one medication. At 12 months, 100% of eyes achieved IOP less than or equal to 18 mm Hg, and 87% of eyes achieved IOP less than or equal to 15 mm Hg, with the reduction of one medication. Following medication washout at 13 months, mean unmedicated IOP decreased 33% to 16.6 mm Hg, versus 24.9 mm Hg preoperatively. Glaukos is the study sponsor and the pioneer of Micro-Invasive Glaucoma Surgery, or MIGS. The company's flagship MIGS device, the iStent Trabecular Micro-Bypass Stent, was approved by the U.S. Food & Drug Administration in 2012. Inserted through a small corneal incision made during cataract surgery, the iStent is designed to reduce IOP by restoring the natural physiological outflow of aqueous humor through the conventional pathway. The language of the relevant agreements is clear: Toshiba Corporation has no right to transfer its JV interests to a third party without SanDisk's consent. We note that Toshiba has acknowledged and validated SanDisk's consent rights on multiple occasions.
