At March 31,, Citizens had total assets of $254.3M, gross loans of $128.8M, and total deposits of $216.5M. On June 14, the company announced that it has received approvals from the Federal Reserve Board, the FDIC and the Louisiana OFI to acquire Citizens. Citizens has also received the requisite approval of its shareholders. No vote of the shareholders of the Company is required for completion of the transaction. Completion of the acquisition remains subject to the satisfaction of customary closing conditions under the terms of the Merger Agreement. Upon satisfaction of all closing conditions, the Company anticipates it will close the Citizens acquisition by early July 2017. Under the terms of the Merger Agreement, all of the issued and outstanding shares of Citizens common stock will be converted into an aggregate amount of cash consideration equal to $45.8 million. To finance the cash consideration, the Company will use $18.1 million in net proceeds associated with the issuance of its fixed-to-floating rate subordinated notes in a transaction completed on March 24, 2017, with the remaining using cash on hand at the Company. No additional financing will be required to complete the transaction. Branch and operating system conversions are currently scheduled to be completed in August 2017. 16:07 EDT United Insurance previews Q2 catastrophe losses, merger costs - United Insurance announced estimated net retained catastrophe losses incurred during the second quarter ending June 30 of approximately $20M before income taxes, or approximately $12.6M after tax. The company's Q2 catastrophe losses included claims from a series of hail, wind and other "severe convective storm events" primarily in Florida, Georgia, Louisiana, and Texas. UPC Insurance estimates it has now met the $30M retention under its catastrophe aggregate reinsurance program, which means the next $30M of catastrophe losses, other than named windstorms or earthquakes, incurred during the remainder of 2017 will be ceded to third party reinsurers up to the $60M exhaustion point of its catastrophe aggregate reinsurance program. In addition to the catastrophe losses described above, the company also incurred during Q2 approximately $7M of nonrecurring professional fee expenses from its merger with American Coastal, which completed on April 3.

However, B. Riley defended the company and stock in a note to investors this morning, advocating that the pullback in shares be used as a buying opportunity. "FALLING BACK TO EARTH": Kerrisdale said ViaSat's residential broadband business is "destined to fail" as terrestrial competitors increase speed, capacity and coverage through technological advancements and ViaSat launches satellites that exhaust capacity in two year cycles. The firm does not expect ViaSat-2, the company's latest satellite, to produce substantial subscriber growth and sees stranded capacity for ViaSat-3. Additionally, Kerrisdale said it expects satellite consumer home internet in the U.S. to become "nearly extinct" and ViaSat's average revenue per user to decline as contributions from add-ons decrease under competitive pressure. The firm also said while the company waits for its next satellite to be operational, EchoStar's (SATS) Jupiter 2 is already in the market. Kerrisdale said while the company may have the unmatched ability to deliver broadband to locations such as airplanes, there is only a small amount of revenue that can be generated in this area. "BUYING OPPORTUNITY": In an analyst note today, B. Riley analyst Mike Crawford said he views yesterday's selloff in shares of ViaSat as a buying opportunity. He said the report came from a "shop that dislikes satellite and spectrum plays," but ViaSat's "valuable" Government Systems business and "flexible, high-capacity, low-cost global" communications network is a "killer combo." Additionally, Crawford said Kerrisdale overlooks ViaSat's primary value proposition as the company has an "unbeatable" capacity build out cost and an "unparalleled" ability to deliver bandwidth to hard to reach locations. He keeps a Buy rating on the shares with an $89 price target. PRICE ACTION: ViaSat shares, which slid 3% yesterday, declined roughly another 1% to $68.95 in afternoon trading today.

Under the terms of the agreement, Basilea will receive an upfront payment of CHF 70M and will be eligible to receive up to $427M in additional payments upon achievement of pre-specified regulatory and sales milestones. In addition, Basilea will also receive royalties in the mid-teen range on Pfizer's sales in the territory. The agreement is subject to customary regulatory approval. Subject to the transaction closing, Basilea anticipates its financial guidance for 2017 to improve with total operating expenses reduced to approximately CHF 9-10M on average per month and an operating loss of approximately CHF 2-3M on average per month. Cresemba sales after closing will be booked by Pfizer. Considering the collaboration with Pfizer, Basilea's total product sales are expected at approximately CHF 11 million for the year. The contribution from the transaction in 2017 is estimated at approximately CHF 6M through revenue recognition and royalty payments. Estimates are subject to adjustment depending on the timing of regulatory approval for the transaction.

The Department intends to develop "fair, effective and improved" regulations to protect individual borrowers from fraud, ensure accountability across institutions of higher education and protect taxpayers. "My first priority is to protect students," said Secretary DeVos. "Fraud, especially fraud committed by a school, is simply unacceptable. Unfortunately, last year's rulemaking effort missed an opportunity to get it right. The result is a muddled process that's unfair to students and schools, and puts taxpayers on the hook for significant costs. It's time to take a step back and make sure these rules achieve their purpose: helping harmed students. It's time for a regulatory reset. It is the Department's aim, and this Administration's commitment, to protect students from predatory practices while also providing clear, fair and balanced rules for colleges and universities to follow." Due to pending litigation challenging the BDR regulations, the Department is postponing the effective date pursuant to section 705 of the Administration Procedures Act. While negotiated rulemaking occurs, the Department will continue to process applications under the current borrower defense rules. Postsecondary institutions of all types have raised concerns about the BDR regulations since they were published on Nov. 1, 2016. Colleges and universities are especially concerned about the excessively broad definitions of substantial misrepresentation and breach of contract, the lack of meaningful due process protections for institutions and "financial triggers" under the new rules. As part of the Department's regulatory review of its regulations, the agency will also convene a second negotiated rulemaking committee on Gainful Employment. As the Department worked on implementing this regulation, it became clear that, as written, it is overly burdensome and confusing for institutions of higher education. The Department plans to publish its Notice of Intent to Conduct Negotiated Rulemaking on BDR and GE in the Federal Register on June 16, 2017. The Department will conduct public hearings on BDR and GE on July 10, 2017, in Washington, D.C. and July 12, 2017, in Dallas, Texas. The oral presentation includes data from patients with relapsed or refractory CLL or MCL treated with TGR-1202 in combination with ibrutinib. 32 patients were evaluable for safety, of which 31 patients were available for efficacy. CLL patients had a median of 1.5 prior lines of therapy, in a range of 1-6, with two patients receiving prior ibrutinib and four receiving prior PI3K inhibitors. MCL patients had a median of 3 prior lines of therapy, with a range of 2-5), with two patients also receiving prior ibrutinib. 94% of CLL patients achieved a complete response, partial response, or a partial response with lymphocytosis, with one patient achieving a CR and three additional patients with radiographic CR. "We saw an increased level of discounting and promotional activity by our competitors in the month of April, especially in that less than 17-inch rim size segment of the market," the CFO noted. Thompson said volumes improved in May and in June so far "a notch" better. Goodyear Tire sees 2017 as a "foundation year," but sees increased tailwind in 2018 from "actions we've taken previously." Given the weakness in April the company expects its 2017 SOI to be approximately $1.9B. PRICE ACTION: Shares of Goodyear Tire fell during the presentation and are now off session lows but down almost 3% or $1.00 to $34.65 per share in morning trading.

08:55 EDT Epizyme reports Phase 2 results of tazemetostat in follicular lymphoma and DLBCL - Epizyme announced "positive" interim efficacy data from the company's ongoing Phase 2 clinical trial of tazemetostat, a first-in-class, oral EZH2 inhibitor, as a single-agent treatment for relapsed or refractory patients with follicular lymphoma or diffuse large B-cell lymphoma grouped by EZH2 mutational status. The data were presented at the International Conference on Malignant Lymphoma being held June 14-17 in Lugano, Switzerland. The company stated that "Interim data show that tazemetostat treatment resulted in a clinically meaningful benefit in patients with FL". The subset of FL patients with EZH2 activating mutations have a 92% objective response rate. Patients with FL with EZH2 wild-type have an ORR of 26% and 22% of patients with stable disease are still on study. As the size of the mutation study groups increase and patients remain on study, Epizyme expects the data will continue to evolve. Tazemetostat continues to demonstrate a favorable safety profile across all patient populations in this study. The company stated that its focus is on "engaging with FDA in the second half of the year to determine potential registration paths to bring tazemetostat to patients as quickly as we can." FL, an indolent form of non-Hodgkin lymphoma, is considered to be incurable with existing treatments. There are no approved treatments indicated for patients with FL with an EZH2 mutation. In April 2017, Epizyme was granted Fast Track designation for FL regardless of EZH2 mutational status. Epizyme plans to begin investigating tazemetostat as a combination agent in FL this year.

Further, any transaction with Privet would be subject to shareholder and all required regulatory approvals. The Right to Match Period expires on June 20.

The company services oil and gas producers in Western Canada and transports natural gas liquids such as propane, ethane, butane, condensate and iso-octane to markets throughout North America. The new agreement enables Jacobs to provide engineering services for the Wapiti Liquids Handling & Gas Processing Facility, a key part of Keyera's Wapiti Development project for constructing a natural gas gathering and processing complex in the Wapiti area south of Grand Prairie, Alberta. At full build-out of both phases of the project, the new facility is expected to process up to 300 million cubic feet of sour gas and 25,000 barrels of field condensate per day. Keyera is also looking at the possibility of connecting the new complex to its existing Montney asset base and network, further diversifying its service offering in the region.

07:34 EDT Celgene announces safety and efficacy data from Phase 2a SLE-001 trial - Celgene International, a wholly owned subsidiary of Celgene Corporation, announced results from the phase 2a SLE-001 trial evaluating CC-220, the company's investigational, oral immunomodulatory compound, at the Annual European Congress of Rheumatology 2017 in Madrid. A trend toward greater improvement with CC-220 treatment compared with placebo in multiple measures of disease activity, as measured by standard scores employed in clinical trials, was observed in patients with systemic lupus erythematosus, commonly known as lupus. The SLE-001 study randomized 42 patients who were diagnosed with lupus at least six months before and had a baseline SELENA-SLEDAI score greater than or equal to four. Participants were randomized to one of four escalating doses of CC-220 or placebo for 12 weeks, followed by 12 weeks of observational follow-up or long-term extension. The study evaluated safety, tolerability and pharmacokinetics. Efficacy endpoints, including changes in Cutaneous Lupus Area and Severity Activity Index and SELENA-SLEDAI score, were exploratory. The most common adverse events were nausea, diarrhea and maculopapular rash. Serious AEs were reported in two patients in the two highest CC-220 doses combined and in two patients in the placebo group. Five patients in the two highest CC-220 dose groups and one patient in the placebo group discontinued due to AEs. No opportunistic infections or other systemic infections were reported in any CC-220 dose groups. At day 85, reductions in skin-specific disease activity, as measured by CLASI, ranged from -4.3 to -7.8 in the CC-220 treatment groups, while a CLASI score increase of 0.4 was seen in the placebo group. Mean reductions in CLASI exceeded the minimal clinically important difference of -4.0 in the CC-220 groups. Additionally, more patients receiving CC-220 had at least a 4-point reduction in SELENA-SLEDAI score-an index used to assess lupus disease activity across 24 different disease descriptors. A trend toward greater improvement in tender joint count and swollen joint count was seen in the CC-220 treatment groups compared with the placebo group at day 85. A trend toward improvement in the Physician's Global Assessment score was also seen at day 85 in the CC-220 groups compared with the placebo group. All data are as observed. The low number of study patients and some variability in baseline disease characteristics across treatment groups limit the interpretability of a dose response. CC-220 is not approved for use in any indication in any country.

07:07 EDT MabVax Therapeutics reports 'positive' Phase 1 results for MVT-2163 - MabVax Therapeutics reported results from its Phase 1 clinical trial of its ImmunoPET imaging agent, MVT-2163, for patients with locally advanced or metastatic adenocarcinoma of the pancreas or other CA19-9 positive malignancies. To date, twelve patients have been treated in this first-in-human trial evaluating the safety and feasibility of MVT-2163 to image pancreatic tumors and other CA19-9 positive malignancies. MVT-2163 was administered alone and in combination with MVT-5873, and was well tolerated in all cohorts. The only toxicities were infusion reactions that resolved on the day of the injection, with some requiring supportive medication. Uptake of MVT-2163 was observed in primary tumors and metastases as early as day 2 and continuously through day 7. Standard Uptake Values, a measurement of activity in PET imaging, reached as high as 101 in the study. The investigators reported that the high SUV is amongst the highest lesion uptake they have ever seen for a radiolabeled antibody. Bone and soft tissue disease were readily visualized and lesion uptake of the radiotracer was higher than typically seen with PET imaging agents. The correlation with Computerized Tomography scans was high. Results showed that MVT-5873 cold antibody pre-dose reduces liver SUV facilitating detection of liver metastases. In addition, the MVT-5873 cold antibody pre-dose does not interfere with the uptake of MVT-2163 on cancer lesions. "We are delighted with the safety and quality of the PET images obtained with MVT-2163. The promising correlation with diagnostic CT warrants further studies correlating these findings with histopathology to assess the accuracy. The continual increase in high SUV values on cancer lesions in this study supports the use of the Company's MVT-1075 Radioimmunotherapy product which utilizes the same antibody to deliver a radiation dose for the treatment of patients with pancreatic, lung and colon cancers. We anticipate initiating patient dosing of our MVT-1075 radioimmunotherapy trial later this month," commented David Hansen, President and CEO of MabVax Therapeutics.

07:01 EDT BioTime says Renevia achieves primary endpoint in European pivotal trial - BioTime reported that, based on the analysis of top line data, the Renevia pivotal trial in Europe has met its primary endpoint. The primary endpoint was the change in hemifacial volume at six months in the treated patients compared to patients in the delayed treatment arm as measured by 3D photographic volumetric assessment. Treated patients received approximately 5cc of Renevia in each side of the face. On average, 5.1cc of hemifacial volume was measured after six months, which represents an approximate 100% retention of transplanted volume. Untreated patients had no incremental hemifacial volume after six months. Comparison of the two trial arms had a statistical p value less than.001. All Renevia transplants were shown to be safe and well tolerated. There were no serious adverse events during the trial. The next steps for the Renevia program include submission of an application for CE mark by the end of the year and conclusion of partner selection to begin preparing for European commercial launch next year. At the same time, BioTime will initiate additional pilot trials studying various dosages of Renevia by itself, Renevia in combination with autologous fat, and Renevia in combination with stromal vascular fraction cells (SVF) for any facial volume loss. Besides the studies mentioned by Dr. Llull, during the third quarter, BioTime will support a U.S. investigator initiated study by a leading plastic surgeon who will treat patients in need of facial volume restoration without underlying HIV disease. These patients will be treated with larger volumes of Renevia than in the European pivotal trial in combination with their own fat precursor cells obtained from a liposuction procedure. Successful results from this as well as additional trials with Renevia would position BioTime to quickly enter the global facial aesthetics market which is estimated to be $7B annually.

"While the one-point improvement relative to control component of the primary endpoint was not met, the threshold was approached in seasonal allergy patients, with peak changes of 0.8, and was exceeded on a percent change basis in this population 30 to 60 minutes after allergen challenge, which we believe represents a novel activity profile that addresses late phase inflammation generally not affected by antihistamines." Relative to levels of ocular itching in the control group, the primary endpoint required statistically significant improvement, and absolute levels of improvement of at least one point on a patient-reported scale of 0 to 4. The trial demonstrated statistically significant efficacy of 0.5% ADX-102 over vehicle in reducing ocular itching over one hour post-challenge, and effect sizes were generally larger than those observed in the prior Phase 2a clinical trial. Relative to vehicle, 0.5% ADX-102 achieved statistically significant reduction in itching at 10, 20 and 30 minutes post-challenge, exhibiting a late-phase anti-inflammatory profile that was differentiated from standard-of-care antihistamines, which are active around 5 minutes post-allergen challenge. In subjects with seasonal allergy, reductions in itching were up to 0.8 points over vehicle, approaching the one-point threshold of activity required for achievement of the primary endpoint of the trial.

The Commission will investigate whether the three companies, in their role as licensors of rights for merchandising products, may have breached EU competition rules by restricting their licensees' ability to sell licensed merchandise cross-border and online. These practices may ultimately harm consumers by preventing them from benefiting from greater choice and lower prices, both online and offline.

05:56 EDT GE Additive, Stryker announce additive manufacturing partnership - GE Additive (GE) and Stryker (SYK) have entered a partnership agreement to support Stryker's growth in additive manufacturing. The agreement covers new additive machines, materials and services for Stryker's global supply chain operations. The announcement was made at GE's Minds + Machines event, GE's premier industrial internet event dedicated to software, innovation and the sharing of the most powerful digital industrial outcomes. Stryker has already invested in Concept Laser and Arcam machines. The company's investment in additive manufacturing began in 2001 and, since then, Stryker has collaborated with leading universities in Ireland and the UK to industrialize 3D printing for the healthcare industry. Stryker recently opened a global technology development center with an additive technology manufacturing hub in Carrigtohill, County Cork, Ireland. Additive manufacturing allows Stryker to address design complexity and achieve previously unmanufacturable geometries. For many years, GE has been a leading end user and innovator in the additive manufacturing space. In addition to the $1.4B investment in Concept Laser and Arcam, GE has also invested approximately $1.5B in manufacturing and additive technologies over the past 10 years, developed additive applications across six GE businesses, created new services applications across the company, and earned 346 patents in powder metals used in the additive process. In 2016, the company established GE Additive to become a leading supplier of additive technology, materials and services for industries and businesses worldwide.

05:43 EDT Suncor provides update on Syncrude Mildred Lake Oil Sands facility - Suncor provided an update on the Syncrude Mildred Lake Oil Sands facility following the March 14 incident. Repairs are progressing as planned and the maintenance work scheduled for the fall has been added to the plan, extending the timing of full ramp up to mid-July. Shipments have been reduced to approximately 130 kbpd in order to complete the accelerated maintenance and are expected to ramp up as additional units complete turnaround activities. The cause of the incident was a split in a 6-inch carbon steel line on a naphtha hydrotreater recycle circuit. Damage was largely isolated to a piperack adjacent to the hydrotreater, containing piping, cables, and electrical circuits. The maintenance brought forward was included in Syncrude's 2017 production plan, and there is no change to Suncor's overall production guidance for 2017.

05:19 EDT Stepan agrees to acquire surfactant production facility, terms not disclosed - Stepan (SCL), through a subsidiary in Mexico, reported that it has reached an agreement with BASF Mexicana (BASFY), to acquire its surfactant production facility in Ecatepec, Mexico and a portion of its associated surfactants business. The facility is located close to Mexico City and has over 50,000 metric tons of capacity, 124,000 square footage of warehouse space, a large laboratory and office space. The definitive agreement is subject to closing conditions and the satisfaction of certain other requirements. The transaction is expected to close in the fourth quarter of 2017 and is expected to have minimal impact on Stepan's 2017 financial results. Financial terms of the transaction were not disclosed.
