19:36 EDT West Corp to be acquired by Apollo Global for $23.50 per share in cash - West Corporation (WSTC) announced it has entered into a definitive agreement with affiliates of certain funds managed by affiliates of Apollo Global (APO) pursuant to which the Apollo funds will acquire all of the outstanding shares of West common stock for $23.50 per share in cash. The purchase price represents a premium of approximately 17.5% over West's closing stock price on November 1, 2016, the last trading day prior to the announcement that the company initiated a process to explore strategic and financial alternatives. The proposed transaction has an enterprise value of approximately $5.1B, including net debt. Certain West stockholders, including Thomas H. Lee Partners, Quadrangle Group, Gary West and Mary West, who in the aggregate beneficially own approximately 45% of West's outstanding common stock, have committed to vote in favor of the proposed transaction. The transaction is expected to close in the second half of the year. Following the transaction West will become a privately held company. As a condition to the transaction, West has agreed to suspend payment of its quarterly dividend, effective immediately. "Over the past six months, we have evaluated a wide range of strategic and financial alternatives, including the sale or separation of assets; various balance sheet options; as well as continuing to operate under our current structure. We believe strongly that the transaction we are announcing today is the best outcome," said CEO Tom Barker. "West is the leader in global conferencing and collaboration services, and is well-positioned to capitalize on customer migration to cloud-based solutions," commented Apollo.

The company stated, "For the overall population in the trial, levodopa/carbidopa activity was primarily focused on the motor symptoms of bradykinesia and rigidity, while SAGE-217 activity as a monotherapy was primarily focused on tremor symptoms. In the five subjects with overt tremor -- tremor score over five at baseline -- an approximate 20%-30% improvement in tremor symptoms was observed on the four days of SAGE-217 open-label treatment, as assessed by change in the Movement Disorder Society-Unified Parkinson's Disease Rating Scale Part III tremor score. This improvement in tremor score during the SAGE-217 dosing phase was longer-lasting than the effect on tremor observed in these subjects during the levodopa/carbidopa-only phase. Administration of SAGE-217 during the day was found to be generally well-tolerated with no serious adverse events or discontinuations reported... While dosing was initiated at the 30 mg per day maximum tolerated dose established in the Phase 1 program, the majority of patients were down-titrated to 10 to 20 mg of SAGE-217 per day. Based on the signal of activity in reducing Parkinsonian tremor in these patients, Sage plans to proceed to an open-label Part B study evaluating SAGE-217 as an adjunctive treatment to anti-Parkinsonian agents in tremor-predominant patients, and intends to further evaluate non-motor symptoms of Parkinson's disease, including depression, anxiety, cognition and sleep."

Detailed data from a Phase IIb clinical trial evaluating the effects of two investigational delayed release formulations of linaclotide on abdominal pain in adult patients with IBS-C were presented. In addition, Ironwood and its collaborators delivered oral and poster presentations at DDW regarding a series of preclinical studies suggesting that linaclotide may have effects on pain associated with conditions affecting visceral organs outside of the gastrointestinal tract, such as the bladder or vagina. Regarding the presentation on "Effect of Linaclotide Delayed Release on Abdominal Pain in IBS-C," the company stated: "Data from the Phase IIb study of linaclotide delayed release-1 demonstrated dose-dependent improvements in abdominal pain as well as in complete spontaneous bowel movements and stool consistency, compared to placebo, across all studied doses. Additionally, improvements in abdominal pain and stool consistency were greater for the DR1 300 mcg dose compared to the 290 mcg immediate release formulation of linaclotide. Data from the Phase IIb study of linaclotide delayed release-2 showed that all studied doses improved abdominal pain and other abdominal symptoms, relative to placebo, with no apparent effect on bowel movement function, as intended. These comparisons reflect numerical differences. Diarrhea was the most common adverse event. Across all DR1 and DR2 dose groups, 0-3% of patients withdrew from the trial due to diarrhea... Ironwood and its U.S. collaboration partner Allergan (AGN) intend to engage with the FDA to discuss Phase III development plans, with trials in adults with IBS-C expected to begin in the second half of 2017. The companies are evaluating DR2 in adult patients with non-constipation subtypes of IBS, and plan to discuss next steps with the FDA for advancing DR2 into Phase IIb dose-ranging clinical trials." Another preclinical study [showed that] linaclotide did not directly inhibit DRG neurons, but rather its downstream mediator, cyclic guanosine monophosphate, was responsible for decreasing activity of these pain-sensing nerves. The study also showed that extracellular cGMP did not enter DRG neurons."

"These preclinical studies of OTX-TKI have demonstrated the ability to deliver and maintain high therapeutic tissue levels of TKI in the vitreous humor, retina and choroid," said Jonathan H. Talamo, M.D., Chief Medical Officer of Ocular Therapeutix. "With these positive results from our preclinical studies, we are looking forward to beginning our Phase 1 trial of OTX-TKI later this year."

The jury found no misappropriation of Aeroflex trade secrets but it did rule that the company tortiously interfered with a prospective business opportunity and awarded damages of $1.3M. The jury also ruled that Tel tortiously interfered with Aeroflex's non-disclosure agreements with two former Aeroflex employees and awarded damages of $1.5M. The jury also found that the former Aeroflex employees breached their non-disclosure agreements with Aeroflex. The court will conduct further hearings in the next few weeks which will include a punitive damages claim as well as our existing motion that the Kansas court lacks personal jurisdiction.

EARNINGS: Pandora reported mixed first quarter results Monday night, reporting a narrower than expected loss on revenue that fell short of analyst expectations. Pandora also lowered its revenue view for the current quarter. The company saw a decrease in listener hours to 5.21B in the quarter down from the 5.52B for the same period last year. Active listeners also fell to 76.7M at the end of the first quarter of 2017, compared to 79.4M for the same period of the prior year. The company anticipates strong tailwinds as the advertising technology investments it is making in the first half of 2017 come online in the seasonally strong second half of the year. KKR DEAL:Along with its quarterly earnings, Pandora announced an investment from private equity firm KKR. The investment will be in the form of a new designated Series A convertible preferred stock of Pandora. Under the terms of the investment, KKR will purchase an aggregate of $150M of the preferred stock. POSITIVE TURNING POINT:Piper Jaffray was upbeat on Pandora. Pandora is approaching a positive turning point, and the KKR deal increases the chances of the company being sold in the near-term, Piper said in a note. The research firm, which kept an $18 price target and an Overweight rating on the shares, added that Pandora's results indicate that its subscription offerings are demonstrating "early success." BOOMERANG STOCK ACTIVITY: After the company's earnings report and KKR deal, shares of Pandora spiked in after-hours trading, up as high as $11 per share. At the open the stock was up briefly, opening at $10.55 and trading as high as $10.70 per share.The optimism quickly faded as CNBC's David Faber chimed in that he didn't understand the markets optimism and that it makes it "less likely" they'll get a sale. Faber's comments sent Pandora shares down over 9% to a low of $9.41. Faber added that Pandora had to raise money as it faces increased competition from the likes of Apple and Spotify. The slide in shares continued until CNBC's Scott Wapner, citing his own sources, said Pandora is actively attempting to sell itself and is confident a deal can occur within 30 days. Shares rallied off their lows on the Wapner comments and are now down only 2% at 10.22. per share. PREVIOUS M&A CHATTER. On July 21, 2016, the Wall Street Journal said Liberty Media (LMCA) CEO Greg Maffei offered to buy Pandora for "roughly' $15 per share but the company's board rebuffed the advance as they believed the company's true value is closer to around $20 per share. Liberty owns satellite radio provider SiriusXM (SIRI). In early March, Maffei told investors at an industry conference, "We think the stock is overvalued, so it's unlikely we're going to buy them." Earlier today, Maffei, speaking on Liberty's Q1 earnings call, said Pandora has not capitalized on the free online radio space.

The data were presented in three posters at Digestive Disease Week. Specifically, the poster titled "Transoral Anterior Fundoplication with Medigus Ultrasound Surgical Endostapler for the Treatment of Gastroesophageal Reflux Disease; 6-Month Results from a Single-Center Prospective Study" showed that GERD quality of life questionnaires improved from a baseline of 43 to 18 six months after TAF with MUSE. The study also highlighted an improvement in Reflux Symptom Index from 21 to 10. A 79% reduction or withdrawal in PPI therapy was observed six-months after treatment, with 50% of patients stopping PPI use, 28.6% of patients halving PPI use, and 21.4% remaining on the same dose prior to treatment with TAF with MUSE. The poster titled "Interim Results From A Multi-Center Post-Marketing Surveillance Registry Study for Endoscopic Anterior Fundoplication" reported data from an ongoing post-market registry study of 68 GERD patients who underwent Endoscopic Anterior Fundoplication in 13 international centers. GERD-HRQL improved from 24.0 to 6.0 following treatment with MUSE, demonstrating patients experienced a clinically meaningful reduction in GERD-related symptoms. In addition, baseline patient satisfaction was reported at 0%, but improved to 70% at 6 months and 90% at 1 year. Of note, 76% of patients have eliminated or reduced their use of proton pump inhibitors, with 96% of patients that responded favorably to treatment with the MUSE System stopping daily PPI therapy. In addition, the poster titled "Endoscopic Predictors of Decreased Reflux After Endoscopic Anterior Fundoplasty" showed that, using the HOF criteria, the researchers identified and successfully treated 18 GERD patients, with Total Present of Time spent in Reflux showing a reduction in all patients with NAA configuration, and 75% and 71% TPTR reduction in individuals that had a 1 and 2 cm hiatal hernia, respectively. Average TPTR improvement was 53% for the NAA configuration patients, while average TPTR improvement in patients with 1 and 2 cm hiatal hernia was 56% and 46%, respectively. Chris Rowland, CEO of Medigus, commented, "We are extremely motivated by data presented this year at DDW. We are pleased with the results reported from the single center study, and look forward to continuing the ongoing post-market multi-center study, which have shown promising reductions in PPI reliance, as well as increases in patient quality of life and satisfaction."

Under the deal, which was announced yesterday morning, handbag and accessory maker Coach will acquire its rival for $2.4B in cash, or $18.50 per share. UBS: The transaction makes sense for Coach from a strategic perspective, wrote UBS analyst Michael Binetti. The deal will allow Coach to improve Kate Spade's international business and supply chain, while shutting down a number of Kate's underperforming offerings, Binetti explained. Additionally, Coach can exploit the favorable views that most millenials have towards Kate Spade to convince them to pay higher prices for its products, the analyst stated. Coach's estimate of $50M in synergies between the two companies is conservative, added Binetti, who kept a $49 price target and a Buy rating on Coach shares. CREDIT SUISSE: Coach will be able to apply its "effective distribution model" and "sales discipline" to Kate Spade, wrote Credit Suisse analyst Christian Buss. While Buss says that acquiring Kate Spade will enable Coach to bring Kate's products to Asian markets and target younger consumers, he is concerned about Coach's emphasis on "the challenged handbag category and U.S. distribution." Moreover, he thinks that the deal could "create revenue dis-synergies in the short-term," while it may be years before Kate Spade's international growth becomes meaningful. Nonetheless, he increased his price target on Coach to $55 from $46 and kept an Outperform rating on the stock. WHAT'S NOTABLE: Wells Fargo downgraded Kate Spade to Market Perform from Outperform in the wake of the deal. While a higher bid for Kate Spade could emerge, the stock's risk/reward ratio is "balanced" at current levels, the firm stated. PRICE ACTION: In morning trading, Coach added about 2% to yesterday's roughly 5% gain, while Kate Spade rose fractionally to $18.42.

Commenting on the announcement of Elliott Associates' stake in the company, the analyst said he believes a sale will be high on the list of "strategic alternatives," an opinion shared by his peer at Credit Suisse, who upped his target this morning for Gigamon. ACTIVIST INVESTORS: Yesterday, Elliott Associates reported a new activist stake in Gigamon in a filing with the SEC. With a combined economic exposure in the company of 15.3%, Elliott believes the shares are "significantly undervalued and represent an attractive investment opportunity," adding that they "intend to communicate" with the company's management and board about "a broad range of operational and strategic matters, and intend to encourage the issuer to undertake a strategic review process" including a potential sale of the company or certain of its businesses or assets. Today, Foglamp Capital voiced a similar opinion, saying it also believes Gigamon is significantly undervalued, and that the strategic review process that Elliott Management has recommended should unlock significant value. Foglamp Fund first acquired shares of Gigamon in January 2017, after the company pre-announced that it would miss its fourth quarter guidance, and has since built a significant position in the stock, the firm noted. POTENTIAL SALE, MOVING TO THE SIDELINES: In a research note this morning, DA Davidson's Kelleher downgraded Gigamon to Neutral from Buy, saying that while he continues to believe the company's network visibility products provide a key layer of functionality in support of critical security and network diagnostic applications that should enable Gigamon to return to growth, the recent stock appreciation now seems to anticipate this growth. Following the announced Elliott Associates' 15% stake in the company, the analyst noted that the activist investor indicated that it would seek to work with management to explore all strategic alternatives. A sale of the company will be high on the alternative list, Kelleher contended, adding that possible purchasers would likely be network instrumentation companies such as Viavi (VIAV) or NetScout (NTCT). However, the analyst pointed out that NetScout is still in the process of digesting a fairly large purchase of assets from Danaher (DHR) and is probably not in a position to initiate another large purchase. Meanwhile, Credit Suisse analyst Kulbinder Garcha raised his price target for Gigamon to $43 from $29, while reiterating a Neutral rating on the stock, citing increased shareholder activism and potential for sale of the company after Elliott management disclosed a 15.3% stake in Gigamon in its 13D filings. The analyst noted that Elliott management's activism will lead to two most likely scenarios, namely improved execution, streamlining of the business, or a sale of the company. For the second option, Garcha sees potential interest from security companies, networking vendors and private equity firms. WHAT'S NOTABLE: Yesterday, Atalan's Dave Thomas mentioned Gigamon as a long position at Ira Sohn Conference, which took place in New York, helping the stock extend the gains it was already seeing fueled by Elliott's disclosure. PRICE ACTION: In morning trading, shares of Gigamon have dropped over 1% to $40.70. The stock closed yesterday session with a gain of about 17.5%.

The proposed transaction will create a global water company that designs, manufactures and delivers solutions to residential, commercial and industrial customers. Strategic business groups include Filtration & Process, Flow Technologies and Aquatic & Environmental Systems. The company will retain the Pentair name and ticker symbol. Water generated approximately $2.8B in sales in 2016; and an electrical company focused on improving utilization, lowering costs and maximizing customer uptime. Strategic business groups include Enclosures, Thermal Management and Electrical & Fastening Solutions. The company will be named at a later date. Electrical generated approximately $2.1B in sales in 2016. The separation is expected to occur through a tax-free spin-off of Electrical by Pentair to its shareholders. Both Water and Electrical are expected to be well-capitalized and have investment-grade credit ratings. Until the planned separation is completed, Pentair expects to continue to pay its quarterly dividend and will set appropriate dividend policies for each business following completion. Upon separation, John L. Stauch, Senior Vice President and Chief Financial Officer of Pentair, will become Water's CEO and Karl R. Frykman, the current President of Pentair's Water segment, will become Water's COO. Pentair expects to complete the separation in the second quarter of 2018, subject to satisfaction of customary conditions, including obtaining final approval from the Pentair Board of Directors, receipt of tax opinions and rulings and effectiveness of appropriate filings with the U.S. SEC. Pentair shares are up 3% to $68.02 in early trading following the announcement.

In the first four months of 2017, Navios Partners has agreed to acquire five drybulk vessels (two Panamax and three Capesize vessels) with a combined capacity of approximately 690,000 dwt for a total price of approximately $114M.

Herendeen added "We think that completing the debt transaction [in March] was a significant event that, in my opinion, was underappreciated by the markets. By refinancing the debt, we now have a very manageable debt pay-down schedule for the next several years...Now I've heard chatter in the markets that Valeant doesn't have the ability to repay all of its debt. The interim data were presented on May 8, 2017 at the Annual Meeting of the Association for Research in Vision and Ophthalmology in Baltimore, Maryland by Eyal Banin, M.D., Ph.D. The presentation at ARVO reported new clinical trial data with two patients that were treated in cohort 2, where they received a dose of 200,000 cells. Imaging analysis suggests the transplanted OpRegen cells remained in place in an area of the scar that was completely depleted of retinal pigment epithelium because of the advanced stages of the disease. Cell engraftment occurred in four of the five patients treated thus far. There was also possible evidence of a biological response with some areas appearing to show structural improvement without any signs of retinal edema, a fluid build-up that can further compromise vision. Best corrected visual acuity remained stable in all treated eyes and importantly showed no signs of deterioration, which could be expected if no treatment was given. The data also continues to show that the procedure is well tolerated in all patients, including those patients with follow-up for more than one year after treatment.
